14、ftercompletionofloadinggivingdetailsnumber,nameofcommodity,grossweight,loadingdate,nameofvessel,approximateinvoicevalue,andetxatdischargeport.卖方应于货物装载完成后三个工作日内通知买方，内容应具体注明合约编号，商品名称，毛重，装运日期，船舶名称，发票概约值，到达卸货港的.预估日。10.paymenttermsprocedures付款条件及程序：aftercontractsign,thesellingpartyisopenbyfirst-ratebanki
15、n3workdaysacantcanceloffulfillcontractandperformancebond,with2%ofthetotalpaymentamount.thebuyerreceivestofulfillcontracttoprotecttheletter,beingopenedalistbythebankofchinain7workdaystheirrevocable,transferableconfirmedatsightdocumentaryletterofcredit,theamountofmoneyis100%ofthetotalpayment,fromopena
16、dayvalidfor60days,andshouldinthesellingpartybankintime95%documentsagainstpaymentincounter.5%paymentofthesurplus,atthearrivalofthegoodspurposeharbor,businessthebothpartiesexaminethereportattheportofdischargeciqresulttosettleaccounts.pbopenoncereceivel/c,l/cshallautomaticactiveoncepbopen.hastheciqtore
17、portin10workdays,businessthebothpartiessettleaccountsthetailstylewiththemethodoft/t.合同签订之后，卖方在3个工作日内由第一流银行开出不可撤销的履约保函，金额为总货款金额的2%；买方收到履约保函，在7个工作日内由中国的银行开出不可撤销、可转让，确认信誉证，金额为总货款的100%，从开证之日起60天内有效，信誉证应在卖方银行柜台95%付款交单。剩余的5%货款，在货物到达目的港，买卖双方以卸货港ciq检验报告结果来结算。pb开立一次信誉证，pb将自动积极一次启动信誉证。出具ciq报告10个工作天内，买卖双方以t/t方
18、式结算尾款。11.documentsrequiredforpayment付款所需单证：(1)signedcommercialinvoiceindicatingthecontractnumber,nameofthecarryingvesselandb/lnumber，thel/cnumber,3originalsand3copies.已签章的商业发票，包括合同号，信誉证号，货船名称以及提单号码：3份原件和3份副本。(2)fullset(3/3)oforiginalcleanon-boardbillsofladingmadeouttoorder;blankendorsedandmarkedfrei
19、ghtprepaid,indicatingthenameofthecarryingvesselwiththebuyerasthenotifyingparty.全套3/3正本已装船清洁提单;空白背书，标有运费预付写明装运船的名称，买方作为通知方(3)certificateofquantitycertificateissuedbysgs(pt.sucofindo)attheportofloading.:1originaland3copies.由sgs在装运港发出的重量检测证书：1份原件和3份副本。(4)certificateoforiginissuedbythechamberofcommercei

25、形下，卖方此时须于时限内重新提供符合合约条件的货品与买方，否则买方有权取消本合约，而卖方必须支付包括卸货港所有损失罚款费用于买方。17.weighment重量：theinvoiceweightshallbedeterminedbydraftsurveyatloadport,certifiedbysgs(pt.sucofindo)/ciqatsellersexpense,afteradjustmenttoobtainquantity(seebelow).weightasobtainedatloadport,intheabovemannershallbefinalandacceptedbysell
26、erandbuyer.发票上的实际重量应以船舶在装货港的吃水鉴定作为货品实际重量，鉴定报告是由sgs(pt.sucofindo)/ciq以实际货量调整额为基准所开出，费用由卖方负担，此一数量额为买卖双方共同所接受。buyershallbeentitled,atitsownexpense,tohavehisrepresentativepresentatthedraftsurvey,andanydifferenceofopinionistobesettledbythemasterofthechartervessel,whosedecisionshallbefinal.买方有权以自费方式指派代表人介
27、入船身吃水鉴定，且船公司得接受其意见，并共同决定鉴定结果。buyershallbeentitledtohavedraftsurveyconductedbysgsoranotherindependentinternationalinspectionagencyatthedischargeport,atitsownexpense.买方亦有权以自费方式，由sgs(pt.sucofindo)或其它国家检验公证机构于卸货港施行船身吃水鉴定。18.chemicalanalysis化学成分分析：thechemicalcompositionofthecargoshallbedeterminedbyaninde
28、pendentinternationalagencyatloadport,sellercost.货物之化学组成成份分析，须由独立的国际公证检验机构在装货港检验证明，所需费用由卖方负担。19.moisturecontent水分含量：themoisturecontentshallbedeterminedbyobtainingthemoisturelossat105degreescentigrade.ifthemoisturelossexceeds8%sellershalladjustthefinalweightobtainedfromdraftsurveybytheexcessmoistureco
29、ntentsofound,andinvoiceonlytheresultingnetweight.水份含量是以摄氏105下水气逸失后所测得知湿度值8%基准，若所测之知湿度值超过8%时，卖方必须根据船身吃水鉴定报告来调整出最后实际重量，发票仅依净重。20.slingandanalysis抽样及分析：allslingandanalysisrelevanttothecontracttermsshallbeconductedatloadport.按照合约内容所进行的采样及分析工作应于装货港口施行之。supposingthecargogetsanydiscrepancybetweentheinspect
30、ionatdischargeportandthesgs(pt.sucofindo)/ciq(accordingtotheagreement).theendingresultbyciqforthiscontract.若买方在卸货港检验时与卖方的sgs(pt.sucofindo)/ciq证明(符合合约规范)有所差异时，以ciq检验为最终检验标准结果。21.titletocargo货物所有权：thetitlewithrespecttotheshipmentshallpassfromthesellertothebuyerwhenthesellerreceivesreimbursementofthepr
31、oceedsfromtheopeningbankthroughthenegotiatingbankagainsttherelativeshippingdocumentsasforthherein.thesellershallhavefullrightandtitletodisposeofthecargoinanymannerthatheshouldthinkfit,ifthepaymentisdelayedoranyunreasonableobjectionisraisedbytheopeningornegotiatingbank.卖方于检附海运提单及相关文件经过押汇行向开状银行获得应收的押汇
32、款后，货物所有权同时归买方所拥有。若开状银行或押汇行以不合理之异议作为拒付或者有延迟付款情形产生时，卖方有完全的权利以其单方所认定的适宜方法对货物做任何的处理。22.inspection检测:draftsurveyweightatloadingportcertifiedbysgs(pt.sucofindo)attheloadingportshallbefinalsubjectto0.5%franchiseagainstb/lweight.incase,thereisadifferenceinweightcomparedtob/lweightexceeding0.5%,buyerorseller
33、willcompensatetheamountinexcessorshortage(including0.5%).sellermayappointasurveyoratdischargingportatthesellersexpense.inspectioncertificatesissuedbyciqatthedischargingportshallbedeemedasfinal.allcompensationamountsinexcessorshortagebetweenthebuyerandthesellerwillbepaidwithin7(seven)bankingdays.在装运港由sgs(pt.sucofindo)检测的重量与提单重量相差0.5%以内应为最终结算标准。假如与提单所示重量相差超过0.5%，买方或卖方应补偿超出或短缺部分包括0.5%。卖方能够自费指定卸货港检测员。在卸货港由ciq颁发的检测证书应为最终结果。买卖双方之间对超出或短缺部分的差额之补偿应在7个银行工作日内付清。【外贸合同中英文】
