4、卖方如遇未能及时装运情况，则有关信用证的装运期和有效期允许自动顺延 30 天.TheBuyershall，throughabankacceptablebytheSeller,openanIrrevocable，Transferable，DivisibleandWithoutrecourseLettersofCredittocoverthetotalvalueofshipmentasstipulatedabove，tobeavailablebydraftsatdayssight,toreachtoSellers daysbeforetherespectivetimeofshipmentstipu
5、latedaboveandtoremainvalidfornegotiationinChinauntilthe15thdayaftertherelativetimeofshipment。IncasetheSellersisunabletoshipthegoodswithinthespecifiedtimeofshipment,boththeshipmentandvaliditydatesoftheLetterofCreditshallautomaticallybeextendedfor30days.Transhipmentsandpartialshipmentsareallowed。 12.
6、信用证修改：AmendmentsofLetterofCredit: 如买方所开信用证不符合合同规定的要求,买方应在收到卖方通知后立即对其进行修改，否则，卖方有权撤销合同或延期交货并提出索赔。 BuyersshallopenLetterofcreditinaccordancewiththetermsofthiscontract。Ifanydiscrepancyisfound,amendmentsofLetterofCreditshouldbemadeimmediatelybytheBuyersuponreceiptoftheSellersadvice，failingwhichtheSellers
7、hallhavetherighttocancelthecontractorputoffthedeliverydateandremaintherightforcompensation。 13。 装运通知：ShippingAdvice: 卖方于货物装运后,应按合同号、品名、数量、船名、装船日期以电报或传真通知买方。 Afterloadingiscompleted，theSellershallnotifytheBuyerbycableorFaxofthecontractnumber,nameofcommodity，quantity，nameofcarryingvesselanddateofshipm
8、ent。 14. 索赔:Claim: 如买方提出索赔，凡属质量异议须于货到目的口岸之日起日内提出;凡属数量异议须于货到目的口岸之日起日内提出,但须提供经卖方同意的公认机构出具的检验报告.如果对所装货物提出任何异议属于保险公司、轮船公司、其他有关运输机构或邮递机构所负责，则卖方不负任何责任.Incaseofaqualitydiscrepancy,theBuyermay，within30daysafterthearrivalofthegoodsattheportofdestination,lodgewiththeSelleraclaim。Incaseofaquantitydiscrepancy，t
9、heBuyermay,within15daysafterthearrivalofthegoodsattheportofdesination，lodgewiththeSelleraclaim.Theclaim(s）shouldbesupportedbysurveyreportsissuedbyaninstitutionapprovedbytheSeller。ItisunderstoodthattheSellershallnotbeliableforanydiscrepancyofthegoods，whichShippingCompany，otherTranportationOrganisatio
10、nsorPostOfficeareliablefor。15. 仲裁：Arbitration: 由于本合同或者由于违背本合同、终止本合同或者本合同无效而发生的或与此有关的任何争端、争议或要求，双方应通过友好协商解决；如协商不能解决，应提交设在北京的中国国际贸易仲裁委员会,根据其仲裁规则进行仲裁，仲裁裁决是终局的，对双方都有约束力。Anydispute，controversyorclaimarisingoutrelatingtothiscontract,orthebreach,terminationorinvaliditythereof,shallbesettledamicablythroughn
11、egotiation。Incasenosettlementcanbereachedthroughnegotiation,thecaseshallthenbesubmittedtotheChinaInternationalEconomicandTradeArbitrationCommissionBeijingforarbitrationinaccordancewithitsRulesofArbitration。Thearbitralawardisfinalandbindinguponbothparties.16. 不可抗力：ForceMajeure： 如因战争、地震、水灾、火灾、暴风雨、雪灾或其
12、它不可抗力的原因，致使卖方不能部分或全部装船或延迟装船,卖方对这种不能装运、迟缓装运或不能履行合同的情况均不负有责任，但卖方须用电报（或电传）通知买方,并以航空信件向后者提出由中国国际贸易促进委员会出具的证明这种事件的证书。 Iftheshipmentofthecontractedgoodsispreventedordelayedinwholeorinpartbyreasonofwar,earthquake,flood，fire,storm，heavysnoworothercausesofForceMajeure，theSellershallnotbeliablefornon-shipment
13、orlateshipmentofthegoodsornon-performanceofthiscontract.However,theSellershallnotifytheBuyerbycableorfaxandfurnishtheletterbyregisteredairmailwithacertificateissuedbytheChinaCouncilforthePromotionofInternationalTradeattestingsuchaneventorevents. 17. 合同生效:Effectiveofthecontract： 本合同以英文书就，正本两份，双方各执一份，
14、具有同等效力。本合同以卖方最后确认生效。本合同正式生效后,以前有关本批交易的函电均为无效。 ThiscontractshallbewritteninEnglishwithtwooriginalsforeachsidewithequaleffect.ThiscontractwillbeeffectedbySellersfinalconfirmation.Aftertheeffectedofthiscontract，allproceedingnegotiationsandcorrespondencesshallbecomenullandvoid. 18。 备注：Remarks： _ _ （THEBUYER)(THESELLER)
