1、佣金协议书范本(中英文版本)1.协议双方ThePartiesConcerned甲方：地址：PartyA:Add:Tel:Fax:乙方：地址：PartyB:Add:Tel:Fax:2.委任Appointment甲方指定乙方为其在中国的全权采购代理，采购甲方指定的合法产品。ThePartyAappointsthePartyBasitsExclusivePurchasingAgencyinChina,purchasingthegoodsasPartArefers.3.双方的职责Dutiesoftwoparties:(1)甲方所需的采购业务应提交给乙方具体的询价单，比方材质、尺寸、数量、品质等详细要求
2、，乙方须在7天内提供产品报价单给甲方(若遇特殊情况和不可抗拒力因素除外)。(2)甲方直接下订单给乙方，由乙方全权负责从接单到出货服务。包括寻找甲方需要的样品以及物品，为甲方取样、验货、出货等事宜。(3)乙方应保证所采购产品的合法性以及保证产品符合订单的要求。4.货款的支付方式Paymentmethodforgoods甲方正式下单给乙方后，须在两个工作日内支付采购总额的%定金给乙方以备采购，交货时，乙方须提供有效提单给甲方，甲方在两个工作日内支付余下的货款给乙方，货款须汇入乙方指定银行。Partyashall,afterplacinganorderwithpartyB,paytopartyBwi
3、thintwoworkingdaysadepositof%ofthetotalpurchaseamountforpurchase.Upondelivery,partybshallprovideavalidbillofladingtopartyA,andpartyAshallpaytherestofthepaymenttopartyBwithintwoworkingdays,andthepaymentshallberemittedtothebankdesignatedbypartyB.5.佣金的计算、给付方式、给付时间COMMISSION甲方同意根据每笔采购发票总金额的%支付佣金给乙方，在出货后
4、的天内汇入乙方指定银行。ForthePurchasingAgentsservices,thePartyAshallpaythePartyBthefollowingcommissionpercentagewithindays:%ofPartBseachpurchasingaggregateamountoftheinvoicevalueagainsttheshipmentseffected.CommissionshouldberemittedtoPartyBsreferringbank.6.费用下面费用由甲方承当EXPENSES:AspartofthecompensationtothePartyB
5、,thePartyBshallalsobereimbursedforthefollowingexpenses:DescribeallexpensesforwhichtheAgentmaybereimbursed.TheCompanyshallnotbeobligatedtoreimbursetheAgentforanyadditionalexpensesincurredintheperformanceofservicespursuanttothisAgreementunlessagreedinwritingbytheCompanyinadvance.7.违约责任Responsibilityfo
6、rbreachofcontract(1)甲方若不按本合同第5条的执行，逾期一天应支付乙方滞纳金，滞纳金系数为：总佣金的5/天。Ifpartyafailstocomplywitharticle5hereof,itshallpaypartybanoverduefineof5ofthetotalcommissionperday.8.协议的修改Modification此协议书只要经双方共同签字后才能作修改，ThisAgreementmaynotbemodifiedexceptbyamendmentreducedtowritingandsignedbybothParties.Nowaiverofthis
7、Agreementshallbeconstruedasacontinuingwaiverorconsenttoanysubsequentbreachthereof.9.不可抗力ForceMajeure由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克制的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证实寄交对方。Eitherpartyshallnotbeheldresponsibleforfailureordelaytoperformallora
8、nypartofthisagreementduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelativeparty.However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftersendacertificateoftheeventis
9、suedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.10.仲裁Arbitration因履行本协议所发生的一切争议应通过友好协商解决。如协商不能解决争议，则应将争议提交中国国际经济贸易仲裁委员会(北京)，根据其仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力，仲裁费用，除另有规定外，由败诉一方负担。Alldisputesarisingfromtheperformanceofthisagreementshallbesettledthroughfriendlynegotiation.Shouldnos
10、ettlementbereachedthroughtnegotiation,thecaseshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommission(Beijing)andtherulesofthisCommissionshallbeapplied.Theawardofthearbitrationshallbefinalandbindinguponbothparties.Arbitrationfeesshallbebornebythelosingparty,unle
11、ssotherwiseawarded.11.协议有效期ValidityofAgreement本协议经有关双方如期签署后生效，有效期为年，从年月日到年月日。Thisagreement,whendulysignedbythebothpartiesconcerned,shallremainifforceformonthsfrom,to,anditshallbeextendedforanothermonthsuponexpirationunlessnoticeinwritingisgiventothecontrary.12.协议的终止Termination在本协议有效期内，假如一方被发现违犯协议条款，
12、另一方有权终止协议。Duringthevalidityofthisagreement,ifeitherofthetwopartiesisfoundtohaveviolatedthestipulationsherein,theotherpartyhastherighttoterminatethisagreement.13.本协议于年月日在签订，一式两份，双方各执一份。佣金协议应与采购订单同时具备才能生效，传真件具有同等效力。ThisAgreementissignedonatandisintwooriginals;eachPartyholdsone.TheFaxedappointmenthasthesame.甲方:乙方：(签字)(签字)PartyA:PartyB:(Signature)(Signature)
