1、1/6地产项目合作协议合作投资方:_ 法定代表人 _,地址 _。合作投资方:_ 法定代表人 _,地址 _。双方本着互利互惠、共同发展的原则,经充分协商,一致决定联合出资共同经营公司(以下简称公司),特订立本协议。第一条合作模式:双方同意共同维护合作公司的运营,尊重任何一方对外所签定的开发协议,并承诺严格执行开发协议所做出的承诺,共同维护好企业信誉。模式一、由一方主导的开发项目,经双方讨论同意,另一方可以以全额出资买断的方式进行参与,但在开发过程中必须认真执行与政府签的开发协议约定的所有的承诺。模式二、双方共同出资参与综合体项目的开发时,双方同意商业项目由上海亿丰集团全额投资开发,其他项目由一方

2、提出分配方案,由另一方对分配方案优先选择,以这种方式进行联合开发。模式三、参股经营,由一方出资51%及以上,另一方出资49%及以下,双方同意由股份多的一方经营,另一方派出财务负责人,双方根据股份确定分红比例。第二条合作范围:双方主要在商业地产和综合地产项目上进行合作,合作的任何一方都可邀请另一方参与项目的合作开发,邀请方有义务将项目的真实情况完整的向另一方介绍。双方的合作建立在自愿的基础上。第三条:合作采用模式一的方式,一方向另一方发出邀约并对转让价格达成一致时,另一方根据邀约的条件支付全款,同时承担合同约定的全部权利和义务。2/6以下条款使用于模式二、模式三。第四条合作投资期限为_ 年,自
