11、m.5.4 甲方有义务负责出租房屋及设施的正常维护和保养,如房屋或设施非因甲方原因出现故障,甲方应在收到乙方通知后二十四(24)小时内自行或通过其他方式解决故障,否则,乙方有权雇佣第三方进行维修,由甲方承担所有费用并承担相关责任。由于不可抗力(如地震、台风、洪水、非人为的火灾等)、自然损耗或乙方以外的原因造成的损坏,亦由甲方承担有关费用。-第 7 页PARTY A shall bear the responsibility of the saidpremises normal repairsand maintenance,and pay the cost related.In case the

15、and ensure proper maintenance ofequipment therein.5.7 房产税及与租赁有关的所有税费由甲方承担。Premises tax and other leasing related taxes shall be paidby PARTY A.6 承租方的责任PARTY BS obligations:6.1 乙方申明及保证其在中国拥有合法居留权,并按有关规定办理必要的居住登记手续。PARTY B assures to have the legal right of residence inChina,and shallcomplete the resi
16、dential formalities complying with the localregulations.6.2 住客应按时支付电话费含上网费、水电煤气费。The occupant shall pay the telephone bills and internet-第 9 页fee,extra waterelectricity gas fee on time.6.3 乙方只能将出租房屋用做住宅,不得将之用作公司及代表处的注册地址,亦不可作为公开的办公室。The premises are limited for residential use only byPARTY B,and are
17、prohibited from registering as legal address for any companyor agency,or usingas public office.6.4 乙方不得在出租房屋内进行违反法律及政府对出租房屋用途有关规定的行为。PARTY B shall not carry in the premises any unlawful orillegal activitieswhich are not allowed according to the leasing regulationsfrom thegovernment.6.5 租赁期内,未经甲方书面同意
18、,乙方不得将出租房屋部分或全部转租他人。PARTY B shall not partly or totally sublet the saidpremises without thewritten permission from PARTY A.6.6 若因乙方使用不当或不合理使用,出租房屋及其内的设施出-第 10 页现损坏或发生故障,乙方应及时联络管理机构或甲方进行维修,并负责有关维修费用.The damage of the premises or the fittings that are withinthe control ofPARTY B shall be borne by PART
19、Y B,and PARTY B shallcontact the managementoffice or PARTY A instantly.6.7租赁期内,乙方对出租房屋进行装修或增加水、电、消防等设施,须经甲方同意并经有关部门批准,并由甲方执行监理,所需费用由乙方承担。双方解约时,乙方不能移走自行添加的结构性设施,甲方亦不必对上述添加设施进行补偿。PARTY B,upon written permission of PARTY A,maymake additions oralterations dealing with water,electricity supply or firepro
20、tection,at his ownexpense,subject to necessary permits or licenses required bythe authoritiesconcerned and under the supervision of PARTY A.Nostructural alterations oradditions can be removed from the premises upon theexpiration of this contract.-第 11 页No reimbursement for the said additions.6.8乙方有权
21、在墙壁上悬挂画、图片或其他装饰性物品。合同履行期限届满或提前解约时,甲方应承担费用拔掉钉子、粉刷墙壁或使墙壁恢复原状,并承诺不以此为由扣留乙方的押金。PARTY B is entitled to hang pictures,paintings or otherdecorativearticles on the walls.Upon expiration or early termination ofthe contract,PARTY A shall bear the cost to remove the nails,repaint thewall or restore thewall to
22、the original state,and PARTY A shall not retain PARTYBS deposit forthe reason of doing things above.6.9 租赁合同期满的前一个月内,经合理事先书面通知,乙方应允许甲方或其授权人 引领潜在客人参观在出租房屋。During the last month of the contract,after reasonableprior writtennotice to PARTY B,PARTY A or his nominee shall be allowedto show the saidpremis
23、es to the potential clients.6.10 租赁期满,若甲,乙双方未达成续租协议,乙方应于租期-第 12 页届满时或之前迁离出租房屋并将钥匙及清理干净的房屋归还甲方.PARTY B shall return the premises in a clean condition toPARTY A(exceptwear and tear)at the expiration of the contract if there is norenewalthereupon.7 提前解约 Early termination:7.1 六(6)个月后,乙方如要退租,应提前一(1)个月书面通
24、知甲方终止本租约。在此情况下,甲方应在本租约终止后十(10)日内将押金全额退还乙方。After six(6)months,Party B may,upon one(1)monthadvance writtennotice to Party A,terminate this Tenancy Agreement withoutany liabilities.Under this circumstance,Party A shall return the deposit infull to Party Bwithin ten(10)days after the termination.7.2 若因自
25、然界的不可抗力,如火灾、洪水、台风、地震、战争等意外损害导致出租房屋无法居住,合同即自动终止,甲、乙双方互不承担责任。If the said premises are so damaged by force majeure(fire,flood,typhoon,-第 13 页earthquake,war,and etc)that its no longer habitable,thecontract shall beterminated automatically.Neither PARTY A nor PARTY Bshall bear anyresponsibility to each o
26、ther.8 续租Renewal:租赁期满,乙方有优先续租权,但须提前一个月通知甲方,并安排签订续租合同。PARTY B retains the priority to renew this lease uponexpiration,whileone-month prior notice to PARTY A is necessary,and PARTYA shall arrange thesignature for the renewal contract.9 争议的解决Dispute Resolution:9.1 本合同适用法律为中华人民共和国相关法律。The contract is go
27、verned by the laws of the PeoplesRepublic of China.9.2 在履行本合同过程中产生的任何争议由双方协商解决,协商不成,可向中国国际经济贸易仲裁委员会(北京)申请仲裁。In case of any dispute arising out of the performance of-第 14 页this Contract,PARTY A and PARTY B shall consulttogether to reach unanimity,otherwise both parties cansubmit the disputeto the Chi
28、na International Economic and Trade ArbitrationCommission(Beijing)for arbitration.10 其他Others:10.1 本合同以中英文两种文字拟成,两种文本同等有效。The contract is drawn in both Chinese and Englishversions.Both texts haveequal effect.10.2 本合同一式二份,甲、乙双方各执一份。Two copies of the contract will be drawn and remained inthe possessio
29、n ofPARTY A三天内给到乙方正规的费用发票。Any remaining or outstanding utilities and personalusage fees includingbut not limited to telephone fees or unpaid liabilities.Thecorrespondingofficial invoice shall be provided by Party A to Party B within-第 15 页three days aftersuch deduction.5.5 若根据本协议规定,甲方有权在乙方违约的情形下没收该保
30、证金的,则甲方应向乙方提供没收保证金的书面收据。In the event that Party A is entitled to confiscate theSecurity Depositdue to the breach of Party B according to the stipulationhereunder,Party Ashall provide Party B a written confirmation regarding suchconfiscation of theSecurity Deposit.6 甲方同意遵守以下条款和条件,否则视为甲方违反本协议:Party A
31、agrees to abide by the following terms andconditions,otherwiseParty A is in breach of this Agreement:6.1 甲方须负责该房屋各种结构之维修费用,如屋顶、天花板、以及主干结构包括墙壁等,并确保该房屋的主干结构处于良好状态。To be responsible for any repairs required to the roof,ceiling and mainstructure of the Property including walls,and to maintainthese struc
32、tures ingood repair and condition at its own expense.-第 16 页6.2 待本协议签署后,甲方需在交房日前按照本协议之附件四(该房屋内家具与设备电器清单)提供配备家具与电器设备。To furnish the Property according to the Attachment4(Furniture,Furnishings and Appliances Lists)before the handover date,after this Agreementhas been signed by both parties.6.3租赁期内,除乙方
33、发生违约或不可抗力因素(包括自然灾害袭击或政府政策变动)外,甲方不得无故提前终止本协议,否则甲方除返还乙方支付的保证金(除第 5.4.1 条和 5.4.2 条所涉及内容以外),还需以银行电汇方式支付乙方人民币元(大写:元)作为提前终止本协议的赔偿金。Not to prematurely terminate this Agreement during thelease term,unless abreach or event of force majeure(including Acts of God or ofgovernment)hasoccurred.Should Party A term
34、inate the lease prematurelywithout good cause thenin addition to repayment of the Security Deposit paid by PartyB(except asprovided in Sec.5.4.i.And 5.4.ii),Party A agrees to wire-第 17 页transferRMB to Party B as the penalty for such early terminationof theAgreement.6.4 在租赁期内,甲方所提供的家具或是家电由于质量原因或是老损而导
35、致其不能正常运作,甲方同意自担费用为乙方进行维修或更换同等级别或以上的产品.If any appliances provided by Party A become broken ormalfunction due tonormal wear and tear during the lease term,Party A will beresponsible forrepair or replacement to the same standard of appliance orbetter at its ownexpense.6.5租赁期内,甲方定期对房屋设备进行维修保养。甲方应保证租赁房屋及
36、附件四所列之所有家具、设备和电器的使用安全,且应负责修理和维护租赁房屋和所有上述家具、设备和电器,并保证所提供的家具、设备和电器符合安全性能标准和具备正常使用功能。如需紧急修理,甲方在收到乙方通知后十二小时内需安排人员进场查看和检修,如遇等待专门的第三方维修工作或等待专用的设备零部件的情况,则维修-第 18 页的截止日期为维修工作或零部件到达日,费用由甲方负责(除乙方使用不当造成的维修)。During the lease term Party A shall be responsible on aregular basis forall maintenance and repairs of t
37、he Property.Party A shallguarantee the safetyfor the use of the Property and all the furniture,equipmentand electricalappliances listed in Attachment 4.For emergency repairs,Party A should sendsomeone to inspect the problem within 12 hours of havingreceived notice fromParty B.If awaiting repair work
38、 by a specialized third party orthe delivery ofspecialized spare parts then the repair/delivery datebecomes the due date.Party A shall be responsible for the repair payment at its ownexpense(exceptwhere the maintenance or repair is due to improper use byParty B).6.6租赁期内,甲方和/或甲方所指定的代理人如需进入该房屋进行修理-第 1
39、9 页或维护、甲方需给予乙方居住人不少于 24 小时的预约通知,且不得影响乙方居住人的正常生活。除非任何一方认为情况紧急,应该安排甲方和居住人双方都方便的时间进行修理。During the lease term Party B and the Occupant agree togive Party A and/orhis appointed agent(s)access to the Property for repairs andmaintenance asneeded but without affecting the Occupants normal life.Intention to
40、undertakesuch maintenance will be preceded with no less than _24_hours prior noticefrom Party A to the Occupant(unless deemed more urgent byeither Party)andshall be arranged at a time convenient for both Party A andthe Occupant.6.7如因该房屋内的设备、设施发生故障,无法保证乙方正常居住,(因水、电、煤供应公司停止其服务及小区设备设施维护情形除外),且甲方收到乙方通知后
41、三日内仍无法完成修复的,在该等房屋修复或纠正期间,甲方应提供乙方(A)可替代的具有类似标准的全装修并配置齐全的房屋,(B)服务式公寓或酒店(最高价值人民币元/天)用于临时居住。如在甲方收到乙方通知后 14 日内,所涉问题-第 20 页仍无法修复,乙方有权书面通知终止本协议且不承担违约责任,甲方应自收到乙方发出的该等书面终止通知之日后 5 日内,不计利息全额返还乙方保证金。Because of the problems of the Property furniture andequipment,theProperty becomes uninhabitable,(exclusive the p
42、roblems ofwater,electric,gascompanies stop service and complex equipment stop service),and Party A cantfix the problems in 3 days after get notice from tenant,duringthe aforesaidproblem fixing period,Party A should provide either(a)alternative fullyfitted and furnished accommodation of a comparables
43、tandard,or pay for(b)serviced/hotel accommodation valued at maximum rmb perday while the Propertyis being repaired.If the Property is not repaired within 14days afterreceiving the notice from Party B,Party B has the right toterminate the leaseby serving a written notice without being held of and-第 2
44、1 页liabilities of breach ofthis agreement and Party A shall return the security depositin full amount toParty B within 5 days upon receiving the termination noticeof thisagreement.6.8甲方保留在本租赁期限内出售本出租房屋的权利,但需提前 60 日向乙方发出书面通知,在此情况下乙方放弃对该物业的优先购买权,此时乙方有权选择(1)终止本协议,甲方应把保证金全款退还(5.4 条款涉及的情况除外)以及退还乙方已向甲方支付但
45、尚未使用的租金;或者(2)选择要求继续履行本协议,甲方应确保新业主同意概括承受本协议项下剩余租赁期限内甲方的所有权利及义务,且甲方、乙方及新业主应当签署三方转让协议,明确本协议项下乙方已向甲方支付但尚未使用的租金以及其他任何乙方已付未用费用,以及租赁保证金应当由甲方直接转交至新业主,并由新业主向乙方开具新的租赁保证金收据。若前述三方转让协议未能签署导致乙方无法继续承租该房屋的,则甲方应赔偿乙方由此遭受的全部损失,并双倍返还保证金和所有已付未用的租金及其他费用给乙方。During the Lease Term,Party A reserves the right to sellthe Prope
46、rty,provided a prior 60 days written notice is given to Party B.-第 22 页Under the aboveconditions,Party B forgoes priority to purchase the saidproperty.Under thisthe situation,Party B shall have the right to choose to i)terminate the leaseand Party A shall return Party Bs Security Deposit in full(exc
47、ept as providedin Section.5.4)and return any rental which has paid by PartyB to Party A butnot yet used;or ii)keep executing this Lease Agreement,thenParty B shallensure the new property owner agree to bear all rights andobligations of PartyA during the remaining lease term under this LeaseAgreement
48、,and Party A,PartyB and the new landlord shall enter into a tri-party transferagreement,whichshall clearly stating that all the Security Deposit in full andany rental andother fees which has paid by Party B to Party A but not yetused shall beendirectly transferred from Party A to the new landlord,an

50、tyDeposit and returnany rental and other fees which has paid by Party B to Party Abut not yetused.6.9如甲方自交房日起延迟交付乙方房产壹个月,则视甲方违约,甲方需归还乙方租赁保证金和已支付的租金并另外再支付乙方与该保证金同等金额的赔偿金。If Party A delays the property handover to Party B formore than one monthfrom the due handover date,then Party A shall be deemed to
