1、-三 方 合 同Triangular Contract本合同议于_年_月_日在_（地点）由有关三方在平等互利基础上达成，按三方同意的下列条件发展业务关系：This contract is made and entered into by and between the three parties concerned on _ (Date) in _ (Place) on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as foll

Appointment 甲方为乙方在某地建立XX产线提供相关的技术支持、文件支持。乙方承诺从甲方处以散件形式采购xx，甲方将XX以散件形式发给丙方，丙方收到后在某地按甲方或乙方的技术要求组装成SKD形式产品发至乙方。Party A provides relevant
3、technical support, documentation support for Party B to set up a CKD XX product production line in place name. Party B should purchase XX product from Party A in CKD format. Party A should send the XX product to Party C in CKD format. Party C should assemble it accord to Parties A & Bs technical req
4、uirements and send it in SKD format to Party B.3. 商品：XX3. Commodity: 4. 数量：每年至少4万台4. Minimum Quantity per year : 40,000pcs /year5. 价格条款5. Price conditions 考虑到竞争对手的价格，甲方必须保证给乙方最有竞争力价格。每个产品的价格应由甲乙双方协商确定，甲方和乙方必须就每个季度的采购计划达成一致，以避免价格波动。每当原材料成本总变动变动+/- 3时，所有产品的价格应每季度协商一次。Part A must guarantee the best pri
5、ce to the part B, considering the Competitors prices.The price for each product shall be fixed through negotiations between Party B and Party A, the parties A and B must agree on a purchase plan for each quarter in order to avoid prices variation.Prices of all products should be negotiated every qua
6、rter whenever the total variation of raw materials cost change +/- 3%.6. 免费易损配件比例6. Free easy broken spare parts ratio 前三个订单2%，第四个订单开始1%。免费易损配件清单参照附录件1。2% of the order quantity from starting and it will reduce to 1% from the 4th order. The free easy broken spare parts list refer to Appendix 1.7. 额外收
7、费配件比例7. Extra chargeable parts ratio 订单数量的1%。甲方以贷记单形式先发出这些配件，甲乙丙三方每半年回顾结算贷记单的数量和金额。额外收费配件清单参照附录件2。1% of the order quantity. Party A shall send out 1% extra chargeable parts against a credit note. Party A, B and C will review and clearing the quantity and the amount of credit note in every half year.
8、 Extra chargeable parts refer to Appendix 2.8. 特殊条款8. Special condition 乙方和丙方可以要求生产产品的任何配件以满足其政府的要求。Party B and C Can request to make production of any part of the product in case to apply the requirements of their government.9. 付款方式9. Payment Terms 付款将通过不可撤销的可转让信用证即期付款。信用证将在甲方发货之前10天发出。Payment will
9、 be through Irrevocable Transferable Letter of Credit at sight.LC SWIFT will be 10 days before Part A makes Shipment.10. 违约责任10. Liability for breach of contract乙方或丙方在合同有效期间有以下行为视为违约：1）向合同以外的第四方透露甲方提供的任意文件信息或技术信息；2）未能按本合同要求完成条款4中规定的数量；Party B or Party C shall be regarded as a breach of contract duri
10、ng the period when the contract is valid:1) Disclose any documentary or technical information provided by Party A to a fourth party other than the contract;2) Failure to complete the quantity specified in Clause 4 as required by this contract;11. 合同有效期11. Validity of Contract 本合同经有关三方如期签署后生效，有效期为_1_

Warranty terms, Quality and procedure for acceptance of goods 货物的质量必须符合乙方和甲方批准的货物技术文件和要求，并且具有可销售的质量，没有缺陷并且适用于原有目的。The quality of the Goods must comply with the technical documentation and requirements for the Goods, approved by Party B and the Party A, and else be of merchantable quality, free
13、from defects and suitable for the purpose for which they are intended to. 交付的货物应受到定量控制。当实际订单数量与合同数量有差异时，甲方应在出货前通知乙方，经双方协商同意方可发货。当甲方声明的数量与乙方接受的数量之间的差异应在丙方收货之日起十（10）个工作日内向甲方披露，乙方可以拒绝接受货物剩余部分。 The delivered Goods shall be subject to quantitative control. When there is a difference between the actual or
14、der quantity and the contract quantity, Party A should notify Party B before shipping, and the goods can be shipped only after mutual agreement. The difference between the quantity stated by Party A and the quantity accepted by Party B shall be disclosed to Party A within ten (10) working days after
15、 Party C receives the goods, and Party B may refuse to accept the rest of the goods. 甲方交付的货物应受到质量控制。 如果交付的货物不符合批准的要求或由于质量原因遭到拒收，质量原因经由甲乙双方参照前期双方确认的货物质量标准来鉴定，鉴定为不合格的，乙方可选择更换货物或将货物退回给甲方，更换有缺陷货物（包括运输和海关费用）所产生的所有费用均由甲方承担。 除了隐藏缺陷和不合格情况外，交付的货物在到货时应被视为可用。因此，最初被接受的材料后来都被证明是有缺陷的情况下，乙方有权发回，得到更换和换回对应的货款。The de
16、livered Goods shall be subject to qualitative control. In case the delivered goods do not meet the approved requirements or are rejected due to quality reasons, quality reasons are identified by both Party A and Party B with reference to the goods quality standards previously confirmed by both parti
17、es. If they are identified as unqualified, Party B may choose to replace the goods or return the goods to the Party A. All costs incurred in replacing defective goods (including transportation and customs fees) shall be borne by Party A. The delivered Goods shall be considered usable at the arrival
18、except for the cases of hidden defects and non-conformity. Therefore, Party B shall have the right to dispatch back, obtaining the replacement or the crediting of money. 如果质量与乙方批准的样品和乙方图纸中所示的商品规格有任何偏差（甲方公差允许范围内的货物除外），乙方和丙方有权拒绝交付的货物.In case there is any deviation between the quality and the product s
19、pecifications shown in Party Bs drawings and the product specifications shown in Party Bs drawings (except for goods within the party As tolerance range), Party B and Party C has the right to reject the delivered goods.13. 合同的终止13. Termination 在本合同有效期内，如果一方被发现违背合同条款，另一方有权终止合同。 在本合同有效期内，如果一方要解除合同，一方想
20、解散合同，应至少提前3个月书面通知，以尊重所有确认的采购计划和已开具的订单。During the validity of this contract if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this contract.During the validity period of this contract, if one party wants to dissolution of the co
21、ntract, one party who wants to dissolution of the contract shall submit a written notice at least 3 months in advance a condition to respect all the confirmed purchase plan and opened orders.14. 不可抗力14. Force Majeure 由于水灾、火灾、地震、干旱、战争或合同一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本合同，该方不负责任。但是，受不可抗力事件影响的一方须尽
22、快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。Either party shall not be responsible for failure or delay to perform all or any part of this contract due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relevant party
23、.However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter shall send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.15. 争议解决15. Dispute
24、Resolution 因凡因本合同引起的或与本合同有关的任何争议，三方应首先尝试友好协商解决。如果一方向另一方发出协商通知之日起三十日内，争议仍未得到解决，则应将争议提交中国国际经济贸易仲裁委员会深圳分会，按照申请仲裁时该会实施的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。 Any dispute arising from or in connection with this contract shall first be attempted to be resolved through discussions and consultations between the Partie
25、s in good faith. If the dispute remains unresolved upon expiration of 30 days after written notice has been sent by one Party to the other Party, the dispute shall be submitted to China International Economic and Trade Arbitration Commission, Shenzhen Sub-Commission for arbitration, which shall be c
26、onducted in accordance with the Commissions arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both Parties.16. 语言16. Language 本合同以中英文书就，如中英文内容存在不一致，以英文为准。This contract is made in both Chinese. In the event of any discrepancy between the
27、 two versions, the English version shall prevail.17. 管辖法律17.
