1、合作协议文本样式(中文)国际交流处2005年注:1.合作协议书有两个构成部分:操作性条款和法律性条款。2.合作协议书需有中文和英文两个文本。3.合作协议 书的内容须经过合作双方的讨论确认方能以学校名义正式签署。序言此协议由中国上海立信会计学院与XXX 签署。上海立信会计学院是由中国教育部批准设立的高等教育院校,此大学可 以为高中毕业生提供高等教育及相关服务。XXX上海立信会计学院与XXX有意在XXX领域合作, 向立信学生提供XXX课程, 具体的合约条款如下:第一部分: 操作性条款1.0合作宗旨.2.0合作期限: 建议合作期限不超过六年。3.0合作目标4.0课程设计 拟包括年度招生数, 课程跨度
2、, 证书授予, 教学计划(详细表述,并不含学分转让)等5.0课程讲授 拟包括总课程数, 课程概要, 教材使用, 考试监督,考试标准等6.0双方分工职责 拟包括双方分工职责, 且须平等对应7.0学生学费 拟包括学费收入分配, 发票出具, 钱款转帐. 并包括双方收费及退费; 双方须提供预算报告8.0项目管理 以下具体条款可供借鉴1)所 有关于课程的教学大纲和授课方式的决定都必须有双方共同商议决定。2)各指定一名人员联系与监督根据本协议规定在立信开展的课程相关的总体学术 和管理事宜。3)本项目将根据双方的政策和程序运作，包括不时修订的教学措施与方案。4)双方每年举行一次项目负责人碰头会, 讨论协议的
3、执行情况, 地点在双方所在地轮换。5)有关实施本协议所必要的手续及材料, 由双方各自负责。第二部分 法律性条款协议终止1.如果协议一方违背了本协议条款，非违约方有权以书面形式通知违约方立即终止协议。如果发生在学期结束前，终止期将自动延期为 该学期结束日。2.如果此协议失效或终止于任何学生完成学业前，双方必须保证学生在协议失效或终止后按原课程计划完成学业，以维护学生权益。产权及机密在此协议下合作双方交换的任何及所有产权及机密资料, 在没有对方书面允许时, 任何一方及其雇员或代理人不得将这些产权及资料向第三者公开。各方对其包括名称, 标记, 产品, 材料及信息的所有权及知识产权保持其所有权。任何复
4、制及传播这些材料及信息必须得到所有方的书面许可。对此协议的任何公开声明必需事先经过双方的同意。照 会在此协议下, 所有要求的或准许的照会及通讯应以书面形式投递, 传真方式传递, 或其他能够打印成书面材料的电子方式传递。任何一方若改变地址, 应以书面方式通知对方.。双方的地址如下:(1)如果给SLUC上海市松江区文翔路2800号上海立信会计学院， 201620收信人: 教学副院长传 真: 86-21-67705001电子邮件:(2)如果给XXX仲裁与诉讼此协议应符合中华人民共和国法律.如果在理解和执行协议中发生争执，双方可向协议执行地法院提起诉讼。诉讼结果对双方都 有制约作用。通则1.本协议为双
5、方合作的正式协议, 替代了其他与本协议有关的条款包括谅解备忘录。对本协议的任何修订, 须经双方签字方可生效。2.协 议双方及后继法人应遵守本协议。3.本协议应取得中国教育部的许可，以及任何和所有有关的政府和管理部门批准。协议1.此协议由中文与英文两种版本, 协议双方各持一份. 两种文本内容相同并在教育部批准后具有同等效力。2.如果协议双 方有争议出现, 以协议的中文文本作为解释依据。3.为执行本协议而由双方共同制定的补充协议、规章制度，与本协议具有共同效力。报批有关为实施本协议所必要的报批手续与材料，由双方各自负责。本协议在得到管理当局批准后生效。协议修改合作领域除了本合作项目外, 双方在相关

8、hinese post-secondary institute approved by the China Ministry of Education and is authorized to provide higher education and related services to students who have completed secondary education;AND WHEREAS AND WHEREAS each of SLUC and desire to collaborate with each other in the offering and deliver
9、y of .program to SLUC students, upon and subject to the terms and conditions hereinafter set forth;NOW THEREFORE, IN CONSIDERATION of the mutual covenants of the parties, the parties hereby agree as follows:Part One: Administrative matters1.0 Purpose of Agreement2.0 Terms of AgreementIt is advisable

11、e outlines, textbook and reference materials, invigilation of examinations, grading and assessment standards.6.0 Roles and Obligations It may include roles and obligations of both parties that should be corresponding to that of each others.7.0 Student Fees It may include tuition fees allocation, inv
12、oice technique and payment transfer.Also include total tuition charge and refund of both parties. Both parties should provide financial budget report.8.0 Program Administration The following terms and conditions can be referred and considered;All decisions relating to program curriculum and instruct
13、ional delivery will be made jointly betweenshall each appoint a designated person to coordinate and oversee all academic and administrative matters relating to the program delivered at SLUC pursuant to the provisions of this Agreement.The program will operate in accordance with.policies and procedur
14、es including academic policies which may be revised from time to time.Person in charge of this program from both parties shall meet once every year to discuss on the performance of this agreement. The location for annual conference is to be shifted by turn between the two schools.Necessary formaliti
15、es and documents with regard to the performance of this agreement shall be taken care of respectively by .Part Two: Legal issuesTermination of AgreementShould one party violate this agreement, the abiding party shall have the right to give a written notice to the breaching party to dissolve promptly
16、 the agreement. Should this occur prior to the end of a semester, the actual date of dissolution will automatically be the date of the conclusion of the semester.Should this agreement become void or dissolved before any of the students has completed his/her coursework, the two parties concerned shal
17、l ensure that the said student can finish, after the invalidity and the dissolution of the agreement, all of his/her course work as required by the original syllabus, so that the legitimate right of the student is duly protected.Proprietary Rights / ConfidentialityAny and all proprietary or confiden
18、tial information or data exchanged between the parties within thecontext of this Agreement shall not be disclosed by the recipient party or its employees or agents to any third party without the express written consent of the party owning same. Each party retains all rights of ownership and intellec
19、tual property rights in its respective name, logo, products, materials and information. Any reproduction and/or dissemination of such materials or information will only be with written consent of the party owning same. Any public announcements made respecting this Agreement shall be subject to the p
20、rior approval of both parties.NoticeAll notices and communications required or permitted under this Agreement shall be in writing and hand-delivered or transmitted by facsimile or other electronic means which produces a physical copy. Either party may change its address by written notice to the othe

22、 the Peoples Republic of China.Should a dispute occur arising from the understanding and performance of this agreement, both parties may submit the case to a local court in an area where this agreement is executed for an arbitral award, which shall have a binding effect on both parties concerned.Gen
23、eralThis agreement constitutes the sole and entire agreement between the parties in respect of its subject matter and supercedes all prior agreements and arrangements including the MOU. Any and all amendments hereto shall be in writing duly executed by the parties.This Agreement shall be binding upo
24、n the parties and their respective successors.This Agreement shall be subject to and conditional upon the consent of the China Ministry ofEducation, and any and all applicable governmental and regulatory consents and approvals. In the event the consent of any Chinese governmental authority is subjec
25、t to conditions that are not acceptable to , then . may terminate this agreement forthwith upon written notice to SLUC, and in such event, neither party shall be liable to the other party, except for obligations incurred prior to termination.AgreementThis agreement is made in two copies in both Chin
26、ese and English to be held one copy each by Party. Both copies are of equal legal validity and come into effect upon the approval by the China Ministry of Education.Should the disagreement arise between the two parties, the Chinese version of this agreement shall serve as the basis for interpretatio
27、n.Any supplementary agreement and/or rules and regulations as formulated jointly by both schools to ensure the execution of this agreement will be of the same validity as this agreement.Application for ApprovalNecessary formalities and documents with regard to the application for approval to ensure
28、the performance of this agreement shall be taken care of respectively by the two parties concerned. This agreement is effective upon its approval.Amendment to AgreementAreas of CooperationAside from the cooperated education program, areas of cooperation may include the compilation and revision of te
29、aching materials, scientific researches and investigations, and seminars.
