4、rks in the Company, or he refuses to make a correction even though the Company has pointed it out员工同时与其他用人单位建立劳动关系,对完成本公司的工作任务造成严重影响,或者经 本公司提出,拒不改正的;10.03 The Company may not terminate this Contract and dismiss the Employee under any of the following circumstances:有下列情况之一的,公司不得解除本合同和解雇员工:(i) if the
5、Employee suffers from occupational disease or work related injury, and is confirmed by the relevant authorities to have lost or partially lost the ability to work;员工患职业病或者因工负伤并被确认丧失或者部份丧失劳动能力的;(ii) during the period of medical treatment stipulated in Article 10.02 (i) above for a non-work-related il
6、lness contracted or injury suffered by the Employee; or员工非患职业病或者非因工负伤但在以上第10.02条款规定的医疗期内的;或者(iii) when the Employee (if female) is in pregnancy, maternity, or nursing period.女员工在孕期,产期,哺乳期内的。10.04The Company may suspend the duties of the Employee when he/she is subject to an investigation of any disc
7、iplinary matter. If the investigation reveals that the Employee has committed any offence, the Company shall be entitled to terminate this Contract pursuant to Article 10.02 (iv), (v) or (vii).如果员工正在接受纪律调查,公司可以暂停员工职务。如果调查证明该员工确实犯 罪,公司有权根据本合同第10.02条(iv)、(v)或者(vii)款解除本合同。10.05During the term of this C
8、ontract the Employee may discharge this Contract underany of the following circumstances:在本合同期限内,有下列情况之一的,员工有权辞职或者解除本合同:(i) when the Employee is coerced into working by the Company by means of violence, threat or illegal limitation of personal freedom; or公司以暴力、威胁或者非法限制人身自由的手段强迫劳动;或者(ii) when the Com
9、pany has failed to pay the Employee s wage in accordance with this Contract;公司未按照劳动合同约定支付员工的工资;(iii) the Company has failed to pay social security premiums for the Employee according to the law;公司未依法为员工缴纳社会保险费的;(iv) the rules and regulations of the Company are inconsistent with any law and impair th
10、e Employees rights and interests.公司的规章制度违反法律、法规的规定,伤害员工权益的。10.06If the Company terminates this Contract pursuant to the circumstances stipulated inArticle 10.02 (i), (ii), (iii),(vi) or (viii) it shall give one (1) months prior written notice to the Employee and his/her labor union or pay the Employ
11、ee one months basic wage in lieu of such notice to the Employee如果公司在第10.02条(i), (ii), (iii),(vi)或者(viii)款规定的情况下解除本合同,应提前 一(1)个月以书面形式通知员工和他/她的工会,或者支付员工一个月基本工资代替该通知。10.07 If the Employee terminates this Contract pursuant to circumstances other than those stipulated in Article 10.05 (i), or (ii) above,
12、 he/she shall give the Company one (1) months prior written notice.如果员工在以上第10.05条、或者(ii)款规定以外的情况下解除本合同,他/她应 向公司发出提前一(1)个月的书面通。10.08 If the Employee resigns or terminates this Contract pursuant to circumstances other than those stipulated in Article 10.05 (i), or (ii) above and if he/she has received
13、 training at the Companys expense within three (3) years prior to the resignation or discharge, the Company shall have the right to require the Employee to reimburse the training fee and expenses in the manner set forth in the Employee Handbook.如果接受过由公司承担费用的培训的员工,在三年服务期内,在以上第10.05条、 或者(ii)款规定的情况以外辞职
14、或者解除本合同的,公司有权按员工手册规定的方式 要求员工偿付培训费用和开支。10.09 In case of any situation as follows, the contract shall be terminated:有下列情形之一,本合同终止:(i) The term of this contract has expired; 本合同期满的;(ii) The Employee has begun to enjoy the basic old-age insurance treatments;员工开始依法享受基本养老保险待遇的;(iii) The Employee is deceas
15、ed, or is dead or missing as announced by the court;员工死亡,或者被人民法院宣告死亡或者宣告失踪的;(iv) The employer is announced bankrupt according to law; 公司被依法宣告破产的;(v) The employer is revoked of business license thereof, or is ordered to close down or is discharged, or it determines to go to liquidation before the sch
16、edule.公司被吊销营业执照、责令关闭、撤销或者公司决定提前解散的。10.10 In case of the following situation, the company has to pay compensation to the Employee.有下列情形之一,公司应当向员工支付经济补偿:(i) the Employee discharged the contract according to Article 10.05员工根据10.05的约定解除本合同的;(ii) the Company and the Employee agree to discharge the contra
17、ct;公司与员工商议一致解除本合同的;(iii) the Company discharged the contract according to Article 10.02 (i), (ii), (iii);公司依照10.02 (i)、(ii)、(iii)约定解除本合同的;(iv) the contract expired, except that the Employee disagrees to renew the contract even though the conditions offered by the Company are the same as or better th
18、an those stipulated in the current contract;除公司维持或者提高本合同约定条件续订合同,员工不允许续订的情形外,本合同期满的;(v) the contract terminated according to Article 10.09 (iv), (v)o依照 10.09 (iv) (v)终止本合同的。ARTICLE 11 - LIABILITY FOR BREACH OF CONTRACT MH一条 违名勺责任11.01 If either Party commits a breach of this Contract that results in
19、 economic losses to the other Party, he/she/it shall be liable for damages to the extent of such losses and his/her/its responsibility for the breach.如果一方违反本合同造成另一方的经济损失,他/她/应在该损失及其违约责任范围 内承担伤害赔偿责任。ARTICLE 12 - LABOR DISPUTES 第十二条 劳动争议12.1 1 If any labor dispute arises between the Company and the Em
20、ployee, the Parties shall attempt in the first instance to resolve such dispute through friendly consultations. Labor disputes which are not resolved within ten (10) days after a Party serves the other Party a written notice requesting the commencement of consultations will be settled by the procedu
21、res set forth in Article 12.02 below.公司与员工如发生任何劳动争议,双方应首先通过友好商议解决争议。一方书面要 求另一方进行商议解决,在书面通知之日起十(10)天内没有解决的劳动争议,将按照本合 同以下第12.02条所规定的程序解决。12.2 2Labor disputes that are not resolved through friendly consultations in accordancewith Article 12.01 above shall be settled according to the following procedure
22、s:劳动争议根据以上第12.01条无法通过友好商议解决的,应按照下列程序解决:(i) either Party may apply to the Shanghai Municipal Labor Dispute Arbitration Tribunal for adjudication; and任何一方可以向上海市劳动争议仲裁委员会申请仲裁;和(ii) if any Party does not agree with the adjudication of the Shanghai Municipal Labor Dispute Arbitration Tribunal, it may ins
23、titute legal proceedings at the local Peoples Court within fifteen (15) days after receiving the Shanghai Municipal Labor Dispute Arbitration Tribunals ruling.任何一方对上海市劳动争议仲裁委员会的仲裁决不服的,在接到上海市劳动争议仲裁委员会的裁决之日起十五(15)天内,可以向当地人民法院起诉。The Parties hereby waive the right to mediate labor disputes.双方特此抛却调解劳动争议的
24、权利。ARTICLE 13 - CONFIDENTIALITY 第十三条保密13.01The Employee agrees at all times during the term of the Employee/s employmentand thereafter to hold in strictest confidence, and not to use, except for the benefit of the Company, or disclose to any person, firm or corporation without written authorization
25、of the Company, any trade secrets, confidential knowledge, data or other proprietary information relating to products, processes, know-how, designs, formulas, developmental or experimental work, computer programs, data bases, financial information or any other subject matter pertaining to any busine
26、ss of the Company or any of its clients, consultants or licensees. The obligations set forth in this Article 13.01 shall remain effective for a period of two years following the expiration or termination of this Contract. The Employee shall be responsible for all legal consequences of any violation
27、of these obligations, including payment of compensation to the Company for any financial loss suffered.员工允许在员工受雇期限内及之后的一切时候均对以下各项严格保密,并且未经公 司书面授权,除为公司利益外,不使用或者向任何人、商行或者公司泄露以下各项:与公司 或者其 任何客户、顾问或者被许可人的业务有关的任何商业秘密、保密资料、数据或者其 它关于产品、工艺、诀窍、设计、配方、开辟研究工作、计算机程序、数据库、财务资料 的专有信息或者任何其它题材。本第13.01条规定的义务在本合同期满或者解除后
28、继续有 效为期二年。员工违反 任何上述义务的,应承担一切法律后果,包括赔偿公司遭受的任何 经济损失。13.02The Employee acknowledges that the remuneration received from the Company inthe course of his/her employment constitutes sufficient reward and remuneration for his/her involvement in the creation or development of any invention (if any). The Emp
29、loyee shall have no claim whatsoever for any additional reward or remuneration in respect of such involvement and the Company/s exploitation of such invention.员工承认,在雇佣期间,公司向他/她支付的薪酬包含了由于他/她参预公司任何发 明(如有的话)的创造或者开辟而获得的充分报酬。员工无权就参加之述活动和公司使用上 述 发明而向公司要求任何额外的奖励或者报酬。ARTICLE 14 - NON-COMPETITION 第十四条 不竞争14.
30、01 The Employee agrees that, during the term of the Employees employment with the Company, the Employee shall not engage in any other activities that conflict with the Employees obligations to the Company.员工允许,在雇佣期间,员工不得从事任何与员工对公司应尽的义务有冲突的任何 其它活动。14.02 The obligations covered in Article 14.01 shall
31、continue for a period of 6 months following termination or expiration of this contract. Any violation of this undertaking shall be deemed as a breach of this Contract.第14.01条规定的义务应于本合同终止或者期满后继续有效为期6个月。任何违反此项承诺 应视为违反本合同。14.03 As the compensation to the Article 13.01 & 14.02, the company will pay the
32、compensation according to the Labor Contract Law of the Peoples Republic of China.作为员工遵守第13.01及14.02条所述契约承诺的补偿,公司将依据中华人民共和国劳动 合同法的规定赋予员工相应的补偿。ARTICLE 15 - MISCELLANEOUS第十五条 其它规定15.01 This Contract is executed in the Chinese language in two originals and in the English language in two originals. Each
33、 Party shall hold one executed original of each language version and both language versions shall be equally authentic.本合同签署两份中文原件,两份英文原件。双方各持经签署的中、英文原件各一份, 两种文本同等有效。15.02 Any amendment of the terms of this Contract shall be subject to the written agreement of the Parties.本合同条款的任何修改须经双方书面允许。15.03 Th
34、is Contract shall take effect after it has been executed by the Company and the Employee and the conditions set forth in Article 2.01 above have been satisfied.本合同在公司和员工签署本合同以及第2.01条所述的条件满足后才干生效。15.04 The Employee Handbook is an inseparable part of this Contract. Upon the signature of this contract,
35、 the Employee agrees to obey the Employee Handbook and other rules and regulations issued by the Company.员工手册是本合同不可分割的组成部份。员工一旦与公司签订劳动合同,视为 员工已确认接受员工手册和其他公司规章制度。15.05 In the event of any discrepancy between the Employee Handbook and this Contract, the provisions of this Contract shall prevail.如果员工手册
36、与本合同之间存在差异,以本合同为准。By signing this Contract, the Employee declares that he/she has read, fully understands and agrees to comply with the terms and conditions of this Contract.员工签署本合同即为声明他/她已阅读并充分理解和允许服从本合同的全部条款。Signatures:CompanyYour nameDate:Date:PRELIMINARY STATEMENT 前言The parties hereby agree that
37、 the Company shall employ the Employee according to the following provisions:双方特此允许公司按照下列条款雇佣员工:ARTICLE 1 - GENERAL PROVISIONS AND GOVERNING LAW 第一条 总则和合用法律1.01 This contract shall be subject to and governed by the Labor Contract Law of the Peoples Republic of China and the Regulations of Shanghai M
38、unicipality on Labor Contracts and other published and publicly available laws and regulations applicable to foreign investment enterprises in Shanghai Municipality, PRC.1.01本合同须遵守中华人民共和国劳动合同法、上海市劳动合同条例及在中华人民 共和国上海市公开辟布的有关外商投资企业的法律和法规并受其管辖。ARTICLE 2 - TERM OF CONTRACT第二条 劳动合同期限2.01 This Contract wil
39、l be for a term ofyears commencing onunless earlierterminated in accordance with provisions of this Contract, provided that this Contract shall not become effective unless and until all the following conditions are satisfied:本合同从日起生效,为期 年。按照本合同有关条款,可以提前解除合同,但本合同须在下列条件全部满足后才干生效。(1) the personnel file
40、 of the Employee has been received by the Company or the institution designated by the Company; and公司或者公司指定的机构已收到员工的人事档案,及(11) the Employee completes a satisfactory medical examination at a hospital/clinic designated by the Company.员工已在公司指定的医院/诊所完成体检,且体检结果令人满意。(12) This Contract may be renewed if bo
41、th Parties agree to the renewal and sign a new labor contract within thirty (30) days before the expiry of this Contract. In the absence of a new employment contract duly signed by both Parties, this Contract shall terminate automatically upon its expiration.在本合同期满之前30天内,经双方一致允许后,本合同可以续订并由双方签署一个 新的劳
42、动合同。如果双方没有签署新的雇佣合同,则本合同于期满时自动失效。ARTICLE 3 - PROBATIONARY PERIOD 第三条 试用期3.1 1 The Employee will serve a probationary period of month . At the end of this period, the Company will appraise his/her performance, and subject to good conduct and performance, his/her employment will continue with the Compa
43、ny.员工试用期为个月。试用期期满,公司对员工进行业绩评估,在符合行为和业绩良好的前提下,该员工将由公司继续雇佣。3.2 2 During the probationary period, the Company has the right to terminate this Contract if the Employee is deemed unqualified on giving written notice of seven (7) working days, or by the payment of seven (7) days/ wages in lieu of notice.在
44、试用期内,如果公司认为员工不符合录用资格,公司有权解除本合同。(公司可 提前七(7)个工作日书面通知员工,或者支付员工七(7)天工资代替通知。)ARTICLE 4 - APPOINTMENT AND DUTIES 第四条 岗位和职责4.01 The Employee during the term of employment hereunder shall serve the Company in the position of Toilet Engineer and shall perform the duties specified by the Company and any addit
45、ional duties assigned to him/her by the Company time by time.在本合同期间,员工在 岗位工作。员工应履行公司具体分配的职责以及公司 不时分配的任何额外职务。4.02 The Company shall have the right to, upon agreement between the Parties, re-deploy theEmployee to work in another position and/or to vary the duties and powers assigned to him/her by Comp
46、any based on the business requirements of the Company and his/her performance.经过双方允许,根据公司的业务需要和员工的业绩,公司有权重新安排员工的工作 岗位和/或者改变公司分配给该员工的职责和权力。4.03 The Employee shall devote his/her full working time and attention to the performance of his/her duties. During the term of employment hereunder, he/she shall
47、 not be employed by or engaged in any business activities of any other entity or person without the prior written consent of the Company. The Employee shall be subject to immediate dismissal for any violation of these obligations.员工应投入其全部的工作时间和注意力履行其职责。在本合同规定的受雇期内,在 未得到公司书面允许之前,员工不得受雇于其它单位或者个人或者从事任何
48、其它单位或者人 的任何商业活动。违反该规定的员工将被即将解雇。4.04 The Employee represents and warrants that at the effective date of this Contract, he/she is not employed by any other entity or person, that his/her employment by the Company under this Contract does not violate any contractual or statutory obligations pertaining to him/her and that he/she has full capacity to enter into this Contract. The Employee shall compensate the Company for all expenses that the Company may incur if this Contract violates any contractual or statutory obligations of the Employee.
