3、约。its entry into and performance of its obligations under this Agreement do not violate any legal requirements in the Peoples Republic of China as of the date hereof or any material agreements to which it is a party.例：甲方为依照公司设立地法律依法设立并存续的有限责任公司，具备签署执行本协议、依照本协议规定行使本协议规定权利和履行本协议规定义务的所有法人权力。Party A is
4、a limited liability company duly incorporated and validly existing under the laws of its place of incorporation， and has all corporate power and authority to executed this agreement, exercise the rights and perform the obligations hereunder in accordance with the provisions of this agreement。例：甲方保证如
5、下： PARTY A represents and warrants that:it is duly incorporated with limited liability and validly exists under the laws of New Zealand;本公司是依照新西兰法律成立的并有效续存的有限责任公司；it has corporate power and has taken all necessary corporate and other action to enter into and complete this AGREEMENT.本公司具有法人权利,已采取必要的法

14、乙方。就本合同及出租此房屋予以乙方之事,甲方已取得所有有关机构的批准,包括政府批准及抵押权人的同意.甲方于本合同所做出的声明及保证，如有错误或违反者，甲方须就因此而引起的任何损失、损害、支出及费用做出全部补偿。Party A hereby represents and warrants that Party A is legal owner of the leased property and has the necessary legal capacity to lease the property to Party B. Party A has also obtained all the

23、ES 质量保证条款The Seller guarantee that the Equipment supplied under this Contract is made of the best quality materials with first class workmanship， brand new， up to standard in all respects and in good condition。卖方保证提供的设备是全新制造的，用最好的材料及新设计，符合各方面的标准并状况良好.例：:让与人将保证按合同要求向引进方提供的技术资料和软件是让与人实际使用的和最新的并被证实了的技术
24、资料和软件,并保证在合同执行过程中及时向引进方免费提供改进、修改和开发的新的技术资料和软件.The Licensor shall guarantee that the Technical Documentation and Software supplied by the Licensor to the Licensee in accordance with the Contract shall be of the latest and wellproved Technical Documentation and Software which are actually used by the
25、Licensor and that the improved, modified and developed Technical Documentation and Software shall be supplied in time by the Licensor to the Licensee in the course of implementation of the Contract， without charge.例:许可方保证是本专有技术的合法所有者或持有者，并且有权许可被许可方使用 Licensor guarantees that it is the legitimate own

33、y Bs_kissanime。ru_ websites placement (for detail please see Attachment 1, Attachment 1 is an integral part of this Contract) position Party Bs ads. Party A place the following two types of ads in Party Bs website: 1。1.1、在_下，Banner的规格_160_pixed_600_pixed.每个月的展示量不低于4。5亿，甲方即支付35,000。00（叁万伍千)美金，以上所有的展示
34、量需要有55来自于Desktop.若乙方的展示量达不到4.5亿，则甲方的支付金额进行相应的递减.1.1。1 At kissanime。ru, the Banners dimension is 160 pixel 600 pixel。 Each months impressions are not lower than 0。45 billion times， Party A will pay USD 35，000.00 (thirty-five thousand dollars)， and out of the total impressions, 55 must come from Deskt
35、op。 If Party Bs impressions do not reach 0。45 billion times, then Party As payment amount will correspondingly decrease. 1。1。2、乙方上述Banner的展示量低于甲方要求的20（即3。6亿展示量）,或者展示量来自于Desktop低于55，则甲方有权要求解除本协议。1.1。2 If the above Banners impression in Party Bs website is lower than Party As request by 20 (0。36 billi
36、on impressions), or less than 55% of the impressions are from Desktop, then Party A has the right to terminate this contract。 1。1。3、Skin 每个月的展示量不低于2亿,甲方即支付15,000.00（壹万伍千）美金，以上所有的展示量需要有55来自于Desktop。若乙方的展示量达不到2亿,则甲方的支付金额进行相应的递减。1.1。3 Skins monthly impressions shall not be lower than 0.2 billion, Part
37、A will pay USD$15,000.00 （fifteenthousand dollars)， and out of the total impressions， 55 must come from Desktop. If Party Bs impressions do not reach 0。2 billion times, then Party As payment amount will correspondingly decrease。 1。1.4、乙方上述Skin的展示量低于甲方要求的20（即1.2亿展示量），或者展示量来自于Desktop低于55%，则甲方有权要求解除协议.
38、1。1.4 If the above Skins impression in Party Bs website is lower than Party As request by 20% （0.12 billion impressions）， or less than 55% of the impressions are from Desktop， then Party A has the right to terminate this contract.1。2、甲方后续需要对广告的功能做调整,乙方应予配合1.2 Party A will need to make adjustment to
39、the ads function， Party B shall cooperate。 1.2、投放期限为_12_个月，广告链接到甲方的指定链接或代码，广告投放时间从_2021_年_3_月_10_日至_2021_年_3_月_9_日.双方从2021年4月份开始，于每个自然月的10号之前进行核对展示量的数据,双方确认数据后，乙方在10个工作日内开具invoice，甲方收到invoice后,10个工作日内支付款项。1。3 The advertising period is 12 months, advertising link to Party As designated link or code，
40、advertising period starts on March 10, 2021 until March 9， 2021。 Both sides will start in April of 2021, before the 10th of every natural month to verify impressions data. After confirming data, Party B will sent out invoice within 10 working days。 After Party A receives the invoice， will pay the pa
41、yment within 10 working days.1。4、本合同所指的广告内容是指甲方拟在乙方公司网站所有广告载体上发布的有关甲方业务的信息，广告形式为静/动态GIF图、视频，视频最长时间不超过20秒.1。4 The ads content in this Contract means the ads relating to Party As business that Party A plans to advertise on Party Bs website within all ads. The ads mode is static/animated GIF or video，
42、video cannot be longer than 20 seconds.二、合同的生效和履行II. Contracts Validity and Implementation2.1、本协议自签定之日开始生效，一方可在收到对方盖章签字的扫描件后进行盖章签字，再将有双方签字盖章的扫描件发至另一方。此种签订方式即为生效.2。1 This Contract becomes valid starting from the signature date。 One party after receiving the scan copy of other partys signature and sta
43、mp can sign and stamp， then send the scan copy of both partys signatures and stamps to the other party。 This signature method is valid。2.2、甲方指定负责人需尽快提供广告条的磁盘文件或者将该广告条作为附件的邮件以及广告所对应到的链接或代码，并在发出5个工作日内通知乙方指定负责人；乙方指定负责人必须在收到该文件后的3个工作日内返回收到的确认信息给甲方的指定负责人；2.2 Party As designated person in charge shall pro
44、vide the disk file of the advertisement as soon as possible or the mail the link or the corresponding codeof the advertisement as the attachment and notify Party Bs designated person in charge within 5 working days; Party Bs designated person in charge must within 3 working days after the receipt of
45、 the document feedback confirmation of information received to Party As designated person in charge。 2。3、如果甲方指定负责人在通知乙方指定负责人后5个工作日内没有获得反馈消息，应该立即与乙方指定负责人取得联系,如果乙方不能解释逾期反馈的理由,视为乙方违约；如果双方指定负责人在10个工作日内仍旧无法完成广告条交换，造成甲方损失，视为乙方违约,需赔偿甲方违约金；2.3 If after Party As designated person in charge, after noticing Pa
46、rty Bs designated person in charge， within 5 working days did not receive feedback information， shall immediately contact Party Bs designated person in charge. If Party B cannot explain delay in sending back feedback， then Party B violates the contract; if both partys designated person in charge wit
47、hin 10 working days still cannot complete exchange of advertisements， leading to Party As loss, then Party B violates the contract and need to compensate Party A with late fee。 2.4、乙方在接到甲方的广告条后的5个工作日，必须将接到的广告条放在本合同中要求的位置。2.4 Within 5 working days after Party B receives Party As advertisements, Party
