3、明尺碼、包裝箱號碼、毛重、淨重及此端向上、防潮、小心輕放等標記。The packing of the goods shall be preventive from dampness,rust,moisture,erosion and shock,and shall be suitable for ocean transportation/multiple transportation.The Seller shall be liable for any damage and loss of the goods attributable to the inadequate or improper
4、 packing.The measurement,gross weight,net weight and the cautions such as Do not stack up side down,Keep away from moisture,Handle with care shall be stenciled on the surface of each package with fadeless pigment.8.嘜頭Shipping Marks：9.裝運期限Time of Shipment：10.裝運口岸Port of Loading：11.目的口岸Port of Destina
5、tion：12.保險Insurance：由按發票金額 110%投保險和附加險。Insurance shall be covered by the _ for 110%of the invoice value against _ Risks and _ Additional Risks.13.付款條件Terms of Payment：(1)信用證方式：買方應在裝運期前/合同生效後日，開出以賣方為受益人的不可撤銷的議付信用證，信用證在裝船完畢後日內到期。Letter of Credit:The Buyer shall,_ days prior to the time of shipment/aft
6、er this Contract comes into effect,open an irrevocable Letter of Credit in favor of the Seller.The Letter of Credit shall e*pire _ days after the completion of loading of the shipment as stipulated.(2)付款交單：貨物發運後，賣方出具以買方為付款人的付款跟單匯票，按即期付款交單D/P方式，通過賣方銀行及銀行向買方轉交單證，換取貨物。Documents against payment:After sh
7、ipment,the Seller shall draw a sight bill of e*change on the Buyer and deliver the documents through Sellers bank and _ Bank to the Buyer against payment,i.e D/P.The Buyer shall effect the payment-immediately upon the first presentation of the bill(s)of e*change.(3)承兌交單：貨物發運後，賣方出具以買方為付款人的付款跟單匯票，付款期限
8、為後日，按即期承兌交單(D/A日)方式，通過賣方銀行及銀行，經買方承兌後，向買方轉交單證，買方在匯票期限到期時支付貨款。Documents against Acceptance:After shipment,the Seller shall draw a sight bill of e*change,payable_ days after the Buyers delivers the document through Sellers bank and _Bank to the Buyer against acceptance(D/A _ days).The Buyer shall make
9、the payment on date of the bill of e*change.(4)貨到付款：買方在收到貨物後天內將全部貨款支付賣方不適用於 FOB、CRF、CIF 術語。Cash on delivery(COD):The Buyer shall pay to the Seller total amount within _ days after the receipt of the goods(This clause is not applied to the Terms of FOB,CFR,CIF).14.單據Documents Required：賣方應將以下單據提交銀行議付/
10、托收：The Seller shall present the following documents required to the bank for negotiation/collection:(1)標明通知收貨人/受貨代理人的全套清潔的、已裝船的、空白抬頭、空白背書並注明運費已付/到付的海運/聯運/陸運提單。Full set of clean on board Ocean/Combined Transportation/Land Bills of Lading and blank endorsed marked freight prepaid/to collect;(2)標有合同編號、
11、信用證號信用證支付條件下及裝運嘜頭的商業發票一式份；Signed commercial invoice in _copies indicating Contract No.,L/C No.(Terms of L/C)and shipping marks;(3)由出具的裝箱或重量單一式份；Packing list/weight memo in _ copies issued by；(4)由出具的品質證明書一式份；Certificate of Quality in _ copies issued by；(5)由出具的數量證明書一式份；Certificate of Quantity in _ cop
12、ies issued by；(6)保險單正本一式份(CIF 交貨條件)；Insurance policy/certificate in _ copies(Terms of CIF)；(7)簽發的產地證一式份；Certificate of Origin in _ copies issued by；(8)裝運通知(Shipping advice):賣方應在交運後_小時內以特快專遞方式郵寄給買方上述第項單據副本一式一套。The Seller shall,within _ hours after shipment effected,send by courier each copy of the ab
13、ove-mentioned documents No.15.裝運條款Terms of Shipment：(1)FOB 交貨方式賣方應在合同規定的裝運日期前 30 天，以方式通知買方合同號、品名、數量、金額、包裝件、毛重、尺碼及裝運港可裝日期，以便買方安排租船/訂艙。裝運船隻按期到達裝運港後，如賣方不能按時裝船，發生的空船費或滯期費由賣方負擔。在貨物越過船弦並脫離吊鉤以前一切費用和風險由賣方負擔。The Seller shall,30 days before the shipment date specified in the Contract,advise the Buyer by _ of
14、the Contract No.,commodity,quantity,amount,packages,gross weight,measurement,and the date of shipment in order that the Buyer can charter a vessel/book shipping space.In the event of the Sellers failure to effect loading when the vessel arrives duly at the loading port,all e*penses including dead fr

16、R terms,the Seller shall advise the Buyer by _ of the Contract No.,commodity,invoice value and the date of dispatch two days before the shipment for the Buyer to arrange insurance in time.16.裝運通知Shipping Advice：一俟裝載完畢，賣方應在小時內以方式通知買方合同編號、品名、已發運數量、發票總金額、毛重、船名/車/機號及啟程日期等。The Seller shall,immediately up
17、on the completion of the loading of the goods,advise the Buyer of the Contract No.,names of commodity,loading quantity,invoice values,gross weight,name of vessel and shipment date by _ within _hours.17.品質保證Quality Guarantee：貨物品質規格必須符合本合同及品質保證書之規定，品質保證期為貨到目的港個月內。在保證期限內，因製造廠商在設計製造過程中的缺陷造成的貨物損害應由賣方負責賠償
18、。The Seller shall guarantee that the commodity must be in conformity with the quatity,specifications and quantity specified in this Contract and Letter of Quality Guarantee.The guarantee period shall be _ months after the arrival of the goods at the port of destination,and during the period the Sell
19、er shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.18.檢驗Inspection 以下兩項任選一項：1賣方須在裝運前日委託檢驗機構對本合同之貨物進行檢驗並出具檢驗證書，貨到目的港後，由買方委託檢驗機構進行檢驗。The Seller shall have the goods inspected by _ days before the shipment and have the Inspection Certificate iss
20、ued by_.The Buyer may have the goods reinspected by _ after the goodsrrival at the destination.(2)發貨前，製造廠應對貨物的品質、規格、性能和數量/重量作精细全面的檢驗，出具檢驗證明書，並說明檢驗的技術資料和結論。貨到目的港後，買方將申請中國商品檢驗局(以下簡稱商檢局)對貨物的規格和數量/重量進行檢驗，如發現貨物殘損或規格、數量與合同規定不符，除保險公司或輪船公司的責任外，買方得在貨物到達目的港後日內憑商檢局出具的檢驗證書向賣方索賠或拒收該貨。在保證期內，如貨物由於設計或製造上的缺陷而發生損壞或品質
21、和性能與合同規定不符時，買方將委託中國商檢局進行檢驗。The manufacturers shall,before delivery,make a precise and comprehensive inspection of the goods with regard to its quality,specifications,performance and quantity/weight,and issue inspection certificates certifying the technical data and conclusion of the inspection.After
22、 arrival of the goods at the port of destination,the Buyer shall apply to China Commodity Inspection Bureau(hereinafter referred to as CCIB)for a further inspection as to the specifications and quantity/weight of the goods.If damages of the goods are found,or the specifications and/or quantity are n
23、ot in conformity with the stipulations in this Contract,e*cept when the responsibilities lies with Insurance Company or Shipping Company,the Buyer shall,within _ days after arrival of the goods at the port of destination,claim against the Seller,or-reject the goods according to the inspection certif
24、icate issued by CCIB.In case of damage of the goods incurred due to the design or manufacture defects and/or in case the quality and performance are not in conformity with the Contract,the Buyer shall,during the guarantee period,request CCIB to make a survey.19.索賠Claim：買方憑其委託的檢驗機構出具的檢驗證明書向賣方提出索賠包括換貨
25、，由此引起的全部費用應由賣方負擔。假设賣方收到上述索賠後_天未予答覆，則認為賣方已承受買方索賠。The buyer shall make a claim against the Seller(including replacement of the goods)by the further inspection certificate and all the e*penses incurred therefrom shall be borne by the Seller.The claims mentioned above shall be regarded as being accepted
26、 if the Seller fail to reply within _days after the Seller received the Buyers claim.20.遲交貨與罰款Late delivery and Penalty:除合同第 21 條不可抗力原因外，如賣方不能按合同規定的時間交貨，買方應同意在賣方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時扣除，罰款率按每天收%，缺乏天時以天計算。但罰款不得超過遲交貨物總價的_%。如賣方延期交貨超過合同規定天時，買方有權撤銷合同，此時，賣方仍應不遲延地按上述規定向買方支付罰款。買方有權對因此遭受的其它損失向賣方提出索賠。Sho
27、uld the Seller fail to make delivery on time as stipulated in the Contract,with the e*ception of Force Majeure causes specified in Clause 21 of this Contract,the Buyer shall agree to postpone the delivery on the condition that the Seller agree to pay a penalty which shall be deducted by the paying b
28、ank from the payment under negotiation.The rate of penalty is charged at_%for every _ days,odd days less than _days should be counted as _ days.But the penalty,however,shall not e*ceed_%of the total value of the goods involved in the delayed delivery.In case the Seller fail to make delivery _ days l
29、ater than the time of shipment stipulated in the Contract,the Buyer shall have the right to cancel the Contract and the Seller,in spite of the cancellation,shall nevertheless pay the aforesaid penalty to the Buyer without delay.The buyer shall have the right to lodge a claim against the Seller for t
30、he losses sustained if any.21.不可抗力Force Majeure：凡在製造或裝船運輸過程中，因不可抗力致使賣方不能或推遲交貨時，賣方不負責任。在發生上述情況時，賣方應立即通知買方，並在天內，給買方特快專遞一份由當地民間商會簽發的事故證明書。在此情況下，賣方仍有責任採取一切必要措施加快交貨。如事故延續天以上，買方有權撤銷合同。The Seller shall not be responsible for the delay of shipment or non-delivery of the goods due to Force Majeure,which migh
31、t occur during the process of manufacturing or in the course of loading or transit.The Seller shall advise the Buyer immediately of the occurrence mentioned above and within_ days thereafter the Seller shall send a notice by courier to the Buyer for their acceptance of a certificate of the accident
32、issued by the local chamber of commerce under whose jurisdiction the accident occurs as evidence thereof.Under such circumstances the Seller,however,are still under the obligation to take all necessary measures to hasten the delivery of the goods.In case the accident lasts for more than _ days the B
33、uyer shall have the right to cancel the-Contract.22.爭議的解決(Arbitration):凡因本合同引起的或與本合同有關的任何爭議應協商解決。假设協商不成，應提交仲裁委員會(中國廣東)，按照申請仲裁時該會現行有效的仲裁規則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。Any dispute arising from or in connection with the Contract shall be settled through friendly negotiation.In case no settlement is reached,t
34、he dispute shall be submitted to Zhuhai Arbitration Commission(GuanDong China),Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration.The arbitral award is final and binding upon both parties.23.通知Notices):所有通知用文寫成，並按照如下位址用傳真/電子郵件/快件送達給各方。如果地址有變更，一方
35、應在變更後日內書面通知另一方。All notice shall be written in _ and served to both parties by fa*/courier according to the following addresses.If any changes of the addresses occur,one party shall inform the other party of the change of address within _days after the change.24.本合同使用的 FOB、CFR、CIF 術語系根據國際商會2000 年國際貿易
36、術語解釋通則。The terms FOB、CFR、CIF in the Contract are based on INCOTERMS 2000 of the International Chamber of Commerce.25.附加條款(Additional clause)：本合同上述條款與本附加條款抵觸時，以本附加條款為准。Conflicts between Contract clause hereabove and this additional clause,if any,it is subject to this additional clause.26.本合同用中英文兩種文字寫
