5、ation and probation periodDuration and probation period 合同期和试用期合同期和试用期3.1This Contract,signed by the Company and the Employee,shallcontinue from,for a period ofyears(hereinafterreferred to as“The Term”),unless the Contract is earlier terminatedin accordance with its provisions.本合同由甲方和乙方共同签订。除非其因合同相关

7、heend of,theprobationary period if the Company considers that the Employeesperformancecannotsatisfytherecruitmentconditionsorthestandards in the job description during the probationary period.If theCompany considers that theEmployees performance hasbeensatisfactory during the probationary period,the
8、 Employee shallbecome a regular employee of the Company in accordance with theterms of this Contract,and the probation period will be within thecontract term.在试用期中的任何时间或试用期末,甲方如果认为乙方的表现没有达到雇佣的条件或工作描述的标准,可以随时解雇乙方。如果甲方对乙方在试用期间的表现满意,则根据合同条款乙方将成为甲方的正式员工,并将试用期计入合同期内。3.4Execution of this Labor Contract sh
9、all terminate at its expiration.Atleast 30 days prior to the scheduled expiration of the Term,theCompany shall offer the Employee a renewal of the Contract if theCompany intends to renew the Contract.If the Company offers torenew the Contract,the Employee shall accept or refuse the renewalprior to t
10、he expiration of the Term.In the event that the Employee failsto respond prior to the expiration of the Term,the Employee shall bedeemed to have refused to renew the Contract.合同期满后本合同将终止。如果甲方打算续签合同,应当在本合同期满之日至少30 天前向乙方发出续签的要约。在甲方发出续签合同的要约后,乙方应当在合同期满前接受或拒绝该要约。如果乙方在本合同期满前没有表态,视为放弃续约。4 4Work scope and
11、work timeWork scope and work time 工作范围与工作时间工作范围与工作时间4.1The scope of the Employees duties shall be determined from time totime in accordance with the needs of the Company by the deputygeneral manager or a manager of the Company designated by thedeputy general manager.The Company has the right,after c
12、onsultingwith the Employee,to adjust the scope of the Employees duties interms of the Companys administrative requirements,and theEmployees professional capability and working performance.TheEmployee shall diligently perform his/her duties to the best of his/herability in accordance with the instruc
13、tions of his/her supervisors,可编辑.work in co-operation with his/her supervisors and colleagues,andobserve the term of this Contract and the work rules of the Companycontained in the Employee Handbook of the Company or otherwiseissued by the Company.乙方的职责范围由甲方的副总经理或指定的管理人员根据甲方的需要随时进行规定。在与乙方商议后,甲方有权根据甲
14、方的管理需要、乙方的专业能力与工作表现调整乙方的职责范围。乙方应当按照上级的指示勤勉地履行职责并发挥最大能力,与上级和同事通力合作,遵守本合同的条款以及包括在甲方员工手册或甲方发布的其他文件中的工作规章。4.2The Employee shall be entitled to legal holidays,annual leave,andother paid leaves of absence in accordance with applicable law and theCompanys work rules,which are in force from time to time.The
15、terms of leaves of absence at the date of commencement of the Term isdescribed in the Remuneration Scheme attached to this contract.乙方有权享受法定节假日、年假和其他不时生效的相关法律及甲方工作规章所规定的带薪假期。有关合同生效日起假期的条款请参照本合同所附的报酬表。5 5RemunerationRemuneration劳动报酬劳动报酬5.1The monthly salary of the Employee during his/her probationary
16、period shall be as set forth in the Remuneration Scheme.After thesatisfactory completion of the probationary period,the Company willconduct an assessment of the Employees technical level,workattitude and efficiency etc.Thereafter the Company may change thewage of the Employee from time to time based
17、 on the performance ofthe Employee.乙方在试用期内的月薪将在报酬表中列明。如果乙方在试用期的表现令甲方满意,甲方将对其技术水平、工作态度、效率水平等进行评估。此后,甲方可根据乙方的表现适时对其工资进行调整。5.2It is stipulated that during period of legal holidays and Marriage orBereavement Leaves and legal participation in social activities,theCompany shall pay the wage.乙方在法定休假日和婚丧假期间
18、以及依法参加社会活动期间,甲方依法支付工资。5.3As for other subsidy and allowance of the Employee,the Companyshall conduce according to relevant regulations of P.R.C or theCompanys own remuneration system.乙方的其它津贴、补贴等待遇,甲方按国家和本单位有关规定执行。可编辑.5.4The Company will pay all remuneration directly to the Employee incash,less any a
19、mount required to be withheld by the Company asindividual income tax.The Employee shall,however,have soleresponsibility for any individual income tax and any other charges ortaxes imposed on the Employees remuneration.甲方将所有报酬在扣除依法由甲方代扣的诸如个人所得税等费用后以现金形式直接支付给乙方。乙方将对缴纳个人所得税以及与报酬相关的其他任何费税义务承担全部责任。6 6Soc
20、ial insurance and welfareSocial insurance and welfare 社会保障和福利社会保障和福利6.1According to the stipulations of P.R.C,the Company shall pay SocialInsurance Fund for the Employee,the Employee shall undertake hisown part of Social Insurance Fund.甲方按国家规定为乙方缴纳社会保险金,乙方按规定缴纳个人应当承担的部分。6.2In case the Employee is il
21、l or injured for non-work reasons,theCompany shall offer the Employee a period of medical treatmentaccording to the patient s circumstances and the length of his/herservice in the Company.The living expenses and medical fees are paidin accordance with relevant regulations of P.R.C.乙方患病或非因工负伤,甲方按其病情及
22、在本单位工作时间长短,给予一定的医疗期。医疗期间的生活费用和医疗费用,按国家有关规定执行。6.3As for other items of insurance and welfare,the Company shallconduce according torelevant regulations of P.R.C.乙方的其他保险和福利待遇,甲方应将按国家有关规定执行。7 7Work condition and labor protectionWork condition and labor protection 劳动条件与劳动保护劳动条件与劳动保护7.1The Company shall s
23、trictly observe rules and standards of P.R.C onoccupational safety and hygiene and regulations on working hours,rest and holiday system as well as special protections on femaleemployees;and provide occupational safety and health conditionsconforming to relevant provision of P.R.C and necessary artic
24、les toensure the Employee will be safe and healthy during process ofproduction or work.If the Employee is to be engaged in work withoccupational hazards,regular medical check should be provided.甲方严格执行国家劳动安全卫生规程和标准、工作时间和休息、休假制度及女职工特殊保护规定,为乙方提供符合国家规定的劳动安全卫生条件和必要的劳动保护用品,保障乙方在工作(生产)过程的安全和健康。如安排乙方从事职可编辑.
25、业危害的作业,需对乙方定期进行健康检查。7.2The Employee must strictly abide by rules of safe operations duringworking process,and has the right to refuse peccant command.乙方在生产过程中必须严格遵守安全操作规程,并有权拒绝违章指挥。8 8Labor disciplineLabor discipline劳动纪律劳动纪律8.1The Employee shall comply with all aspects of the Companys rulesrelating
26、to labordiscipline and other work rules and procedures of the Companycontained in the Employee Handbook or otherwise issued by theCompany from time to time.乙方应遵守甲方包括在员工手册或甲方不时发布的其他文件中的所有有关劳动纪律、工作制度与程序的规定。8.2The Employee is required to devote his/her full working power andability to the Company,and i
27、s not allowed to perform work in his/herleisure time for other employers or him/herself during the term of thisContract.乙方应向甲方贡献他全部的工作能力和才干,在合同期内不得利用工作时间为其他雇主或自己本人服务。8.3The Employee is not allowed to accept gifts or loans from any person ororganizationcommercially related or in other ways related to
28、 the Company.乙方不得从与甲方有商业或其他往来的任何个人或组织处接受礼物或贷款。8.4The Employee shall not accept gifts,loans or other benefits from othercompany or persons because of his/her work in the Company eitherdirectly or indirectly,乙方不得利用其在甲方的工作关系直接或间接从其他任何组织或个人处接受礼物、贷款或其他好处。8.5The Employee shall not behave exceeding the Emp
29、loyees aut horityor abuse theEmployeespower,obeyarrangementsandordersfromtheEmployees supervisor,and maintain good relationship with theEmployees colleagues.乙方不得越权行事和滥用职权。乙方应遵循上级的安排和指示行事,并与同事保持良好的工作关系。可编辑.8.6The Employee shall protect the assets of the Company.The Employeeshall never use the assets
30、of the Company for the purpose except forthe Employees work.乙方应当保护甲方资产,不得将甲方的资产用于工作以外的其他目的。8.7Any violation of the above mentioned articles shall constitute a seriousviolation ofdisciplines and cause the termination of this Contract by the Companyin accordance with Article 9.1.2 and 9.1.3 of this Co
31、ntract.如果乙方违背了以上任何一条都将视为严重违纪,甲方将以此根据本合同9.1.2条和9.1.3 条之规定终止合同。9 9Termination of Contract by the CompanyTermination of Contract by the Company 甲方单方面解除合同甲方单方面解除合同9.1The Company may dismiss the Employee at any time without furthernotice if the Employee:乙方有下列情形之一的,甲方可以不发出通知而随时直接解雇乙方:9.1.1Is proven to be
32、incompetent for the employing requirement duringhis/her period ofprobation;在试用期内被证明不符合录用条件的;9.1.2Seriously breach labor disciplines or regulations as stipulated by theCompany;严重违反劳动纪律或甲方依法制定的规章制度的;9.1.3Seriously neglects his duty and engages in malpractices for selfishends,thuscausing significant ha
33、rm to the interests of the Company;or严重失职、营私舞弊,对甲方利益造成重大损害的;9.1.4is found guilty according to the laws of P.R.C.被依法追究刑事责任的9.2The Company may dismiss the Employee with 30 days prior written noticeif:乙方有下列情形之一的,甲方应提前30 天以书面形式通知乙方解除合同:9.2.1the Employee suffers from a disease or has sustained an injury
34、that isnot work related,and is unable to resume his/her original work uponthe expiration of the medical treatment period,and continues to be可编辑.incapable of achieving an adequate level of performance after transferto a different position;乙方患病或非因工负伤,经治疗不能复工或调整工作岗位后仍不能从事正常工作的;9.2.2the Employee is inca
35、pable of performing the duties of his/her positionand continues to be incapable of achieving an adequate level ofperformance after training or transfer to a different position;乙方不能胜任本职工作,经培训或调整工作岗位仍不胜任工作的;9.2.3a major change in the objective circumstances pursuant to which thisContract wasentered in
36、to has rendered the Contract incapable of being carried outand theCompany and the Employee have failed to reach agreement on theamendment ofthe Contract;or合同订立时所依照的客观环境发生重大改变使合同无法正常履行,并且甲方和乙方对合同的修改无法达成一致的;9.2.4the Company needs to reduce the number of its personnel in order toavoid seriouseconomic p
37、roblems or as a result of the occurrence of major productionoroperational problems,and has consulted with the Companys tradeunion or theEmployee.为避免严重的经济问题或作为甲方生产、运行上出现重大问题的结果,甲方经与工会或乙方本人协商后需要裁员的;9.3If the Company dismisses the Employee pursuant to Article 9.2,theCompany shall pay compensation to th
38、e Employee in accordance withapplicable law.如果甲方依照9.2 条解雇乙方,甲方将根据相关法律向乙方支付补偿金。9.4The Company can not take Article 9.2 as basis to terminate the Contract,if one of thefollowing cases occurs to the Employee:乙方有下列情形之一的,甲方不得依据本合同9.2 条解除合同:9.4.1the Employee suffers from occupational disease or is injured
39、 fromwork,and loses可编辑.his labor capacity or part of the labor capacity,the fact of which isapproved by therelevant government organization;乙方患职业病或因工负伤,经相关政府机构确认丧失或部分丧失劳动能力的;9.4.2the Employee is ill or injured and is within the stipulated medicaltreatment period;乙方患病或者负伤,在规定的医疗期内的;9.4.3female staff
40、during her pregnancy,puerperium or breast-feedingperiod;or乙方在孕期、产期、哺乳期内;9.4.4under other conditions stipulated by laws and regulations.法律、行政法规规定的其他情形;1010Termination of the contract by the EmployeeTermination of the contract by the Employee 乙方单方面解除合同乙方单方面解除合同10.1The Employee may at any time resign f
41、rom employment with theCompany with 30 days written notice.If the Employee does so resign,theCompany shall have no obligation to pay any compensation to theEmployee in respect of the termination of the Contract.乙方可以在任何时间辞退工作,但应提前30天以书面形式通知甲方。如果乙方主动辞职,甲方将对合同的解除不承担任何赔偿义务。10.2If an Employee who has rec
42、eived training from the Company resignspursuant to Article 10.1 before the end of the term of the Contract,theEmployee shall,on resignation,repay to the Company training expensesaccording to the relevant Company rules.如果乙方在合同期满前依照10.1 条辞退工作时已经接受了甲方培训,则乙方必须依照甲方相关规定向甲方偿还该培训费用。10.3Notwithstanding the p
43、rovision of Article 10.1,the Employee may resign atany time without notice:尽管合同10.1 条有所规定,但存在下列情形之一的,乙方可以随时解除劳动合同:10.3.1during his/her period of probation;在乙方试用期内;10.3.2if the Company fails to pay remuneration or provide workingconditions in accordance with the terms of this Contract;可编辑.甲方没有按照合同规定向
44、乙方支付报酬或提供工作环境的10.3.3other cases governed by applicable laws or regulations of P.R.C.中华人民共和国的相关法律或法规列明的其他情形。1111ConfidentialityConfidentiality保密保密11.1The Employee agrees to maintain the confidentiality of this LaborContract and allinformation which may be disclosed to the Employee concerningmanufactu
45、ring andmanagementprocessesandtechnology,marketingorfinancialinformation of the Company or any business entity affiliated with theCompany,information relating to the products,procedures,businessand services of the Company,in the strictest confidence and agrees notto disclose,directly or indirectly,i
46、n any manner,any such informationto any person inside or outside the Company without the prior writtenconsentoftheCompanyorforanypurposeotherthantheEmployees performance of his/her duties and obligations under thisContract.The Employee specifically agrees that this obligation willsurvive the termina
47、tion of the Contract.乙方应允诺对本合同以及所有可能向乙方披露的有关甲方的生产和管理程序与技术,甲方或甲方的关联经济实体的营销或财务信息,甲方的产品、工艺、经营、服务信息等进行严格保密。事先未经甲方书面允许或出于履行合同规定的职责或义务之外的任何其他目的,乙方均不得直接或间接以任何方式向甲方的内部或外部的任何人员透露相关信息。乙方同意上述义务在合同终止后仍然有效。11.2Upon termination of the Contract,the Employee shall promptly returnto the Company all drawings,blueprin
48、ts,memoranda,client lists,business cards both personal and those collected during the time ofemployment,keys,computer disks,clothing,formulae,financialstatementsandmarketinginformation oftheCompanyinthepossession of the Company.在合同终止时,乙方应当立刻向甲方归还工作中占用或掌握的所有图纸、蓝图、备忘录、客户名单、个人名片和在工作期间收集的名片、钥匙、计算机磁盘、制服、
49、配方设计及甲方的财务报表和市场营销信息。11.3In the event of violation of duties of confidentiality,the Employee shallpay penalty to the Company for breach of contract equaling to theEmployees one-year income from the Company.If the penalty forbreach of contract cannot cover the losses of the Company caused by可编辑.the Em
