5、ail due tomanufacturing fault within the said 12months，the Seller shall repair and exchange them free ofcharge。The Seller shall take an active response in 2 working days upon receipt of the Userswriting advice of the breakdown of the contracted equipment。1.6 售后服务售后服务 Post Sales Service:Post Sales Se
6、rvice:保修期后卖方负责终身维修及技术支持，并收取合理费用。The Seller shall be held responsible forthe post-sales service after the warranty period and take in charge lifetime repairs and technologicsupports for the products at reasonable price。1。7 操作培训操作培训 Operating TrainingOperating Training：在设备安装验收过程中，卖方在现场向用户提供对操作人员的基本培训，
7、培训内容包括设备结构介绍，操作软件使用，设备操作使用，日常保养及维护等。During the equipment installation andacceptance test-run，the engineer from the Seller shall train the operators at the users sites。This training includes introduction of equipment structure,software operation，equipmentoperation，routine maintenance etc.2 2。装运期限装运期限

11、packing and for any damage attributable to inadequate or improper protective measures taken bythe Sellers,and in such cases any and allexpenses incurred in consequence thereof shall beborne by the Sellers.The Seller shall submit to the Buyer Certificate of nonwood packing or heattreat Certificate of

16、king days after shipment by express delivery:A.空运单正本一份，注明“运费已付”，收货人为买方。Air Waybill in one original,marked”FREIGHT PREPAID”and consigned to the Buyer.B.按合同金额 110%投保一切险和战争险至呼和浩特机场的全套保单或保险证明。Full set of Insurance Policy or certificate covered by the Seller for 110%of the Contract valueagainst All Risks
17、 and War Risks.C.商业发票五份正本，注明合同号，唛头和运输工具名称等。Commercial Invoice in 5 originals，indicating Contract number，Shipping marks and the Flight No.etc。D.装箱单五份,注明毛重,净重，尺码和所装货物的品名、数量。Packing list in 5 originals with indication of both gross and net weights,measurement,commodityname and quantity of each item pac
18、ked.E。按照本合同规定由制造商签发的品质和数量/重量证明书五份。Certificate of quality and quantity/weight,in 5 originals,issued by the Manufacturer.F.商品装运后 48 小时内发给买方出运通知传真副本一份。Copy of fax to the Buyer advising particulars of shipment within 48 hours after shipment。G.原产证书正本三份，由制造商或销售方出具。Certificate of Origin in 3 originals，issu

23、listed in Clause 9 within 3 working days。In caseof dangerous goods,the Sellers shall fax to notify the Buyers of its property and its disposing.13.13.质量保证质量保证 GUARANTEE OF QUALITYGUARANTEE OF QUALITY卖方保证定货系用最上等的材料和头等工艺制成的全新产品,并完全符合合同规定的质量、规格和性能。The Seller shall guarantee the goods are made of best m

25、ical Agreement signed by the Seller and User14.2 索赔 CLAIMS:在本合同第 1。5 条规定的保证期限内,如发现货物的质量及/或规格与本合同规定不符或发现货物无论任何原因引起的缺陷包括内在缺陷或使用不良的原料，买方应申请商检局检验，并有权根据商检证向卖方索赔.Within the guarantee period stipulated in Clause 1.5 hereof should thequality and/or specifications of the goods be found not in conformity with
26、 the contracted stipulations，or should the goods prove defective for any reason，including latent defect or the use of unsuitablematerials，the Buyers shall arrange for an inspection to be carried out by the China CommodityInspection Bureau，and have the right to claim against the sellers on the streng
27、th of the inspectioncertificate issued by the same Bureau。14。3 卖方收到买方索赔通知后,如果在三十天内未答复,应视为卖方同意买方提出的一切索赔。Anyand all claims shall be regard as accepted if the Sellers fail to reply within 30 days receipt of theBuyers claim。15.15.索赔解决办法索赔解决办法 CLAIMSCLAIMS如货物不符合本合同规定应由卖方负责,同时买方按照本合同的规定在索赔期限或质量保证期内提出索赔，卖方
28、在取得买方同意后，应按下列方式理赔。In case that the sellers are liable for thediscrepancies of the above mentioned equipment and a claim is lodged by the buyers within thetime-limit of inspection or quality guaranteeperiod as stipulated in this contract,the sellers shallsettle the claim upon agreement of the buyers
29、in one or combination of the following ways.15。1 设备经卖方安装、调试后不能正常运转或达不到技术协议规定的技术要求,卖方同意买方退货，并将退货金额以成交原币偿还买方，并负担因退货而发生的一切费用，包括运费，保险费，商检费，仓租，码头装卸费等其它必要费用。Agree to the rejection of the goods and refund to the buyers thevalue of the good so rejected in the same currency as contracted herein and to bear a
30、ll directexpenses in connection therewith includingfreight，insurance premium,inspection charges，stevedore charges，and all other necessary expenses.15.2 按照货物的疵劣程度,损坏的范围将货物贬值。Devaluate the goods according to the degree ofinferiority,extent of damage。15.3 用符合本合同规定的规格，质量和性能的全新零件调换有缺陷的零件,卖方应承担一切费用和风险Page
31、 3 of 5并负担买方承受的全部直接费用。同时，卖方应按合同规定,相应延长所更换货物的质量保证期。Replace defective parts with new parts,which conform to the specifications,quality,andperformance as stipulated in this contract.15.4 如果卖方在接到买方索赔 30 天内未予答复则表明卖方已经接受索赔,卖方需在接受索赔 30 日内完成赔偿。The claim mentioned above shall be regarded as being accepted if
32、 the Sellers fail toreply within 30 days after the Sellers receive the Buyer s claim.The buyers claim shall besatisfied within 30 days counting from sellers acceptance of the claim.1616。不可抗拒。不可抗拒 FORCE MAJEUREFORCE MAJEURE由于人力不可抗拒的事故，导致卖方交货迟延或不能交货时，责任不在卖方,但卖方应立即将事故通知买方，并于事故发生后十四天内将事故发生地政府主管机关出具的事故证明
33、书用空邮寄交买方为证，并取得买方认可，在上述情况下，卖方仍负有采取一切必要措施从速交货的责任。如果事故持续超过十个星期，买方有权撤消本合同（同时，卖方无条件在合同撤消后 15 个工作日退回全部预付货款)。The Sellers shall not be responsible for the delay in shipment or non delivery of the goodsdue to Force Majeure cases,which might occur during the process of manufacturing or in the courseof loading
34、 or transit。The Sellers shall advise the Buyers immediately of the occurrence mentionedabove and within fourteen days thereafter，the Seller shall send by airmail to the Buyers for theiracceptance a certificate of the accident issued by the competent Government Authorities where theaccident occurs as
35、 evidence thereof under such circumstances the Sellers,however,are still underthe obligation to take all necessary measures to hasten the delivery of the goods.In case theaccident lasts for more than ten weeks the Buyer shall have the right to cancel the Contract。（atsame time，the seller within 15 da
36、ys after the cancellation of the contract unconditionally return allprepaid)。17.17.迟交和罚款迟交和罚款 LATE DELIVERY AND PENALTYLATE DELIVERY AND PENALTY除人力不可抗拒的事故外，若卖方不能按合同规定及时交货，经买方同意,卖方可在缴纳罚金的条件下延期交货。此项罚款总额不超过全部迟交货物总额的5%,付罚金的比例为每一星期按迟交货总值的0。5交罚款,不足一星期的迟交日数作为一星期计算,如迟延交货超过原定期限十星期时,买方有权终止本合同。但卖方仍应向买方缴付以上规定之罚
37、款,不得推诿或迟延。(同时卖方无条件退回全部预付货款)Should the Sellers fail to make delivery on time as stipulated in the Contract,with exception offorce majeure causes specified in Clause 18 of this Contract，the Buyers shall agree to postponethe delivery on condition that the Sellers agree to pay a penalty。The penalty，howe
38、ver,shall notexceed 5%of the total value of the goods involved in the late delivery.The rate of penalty is chargedat 0。5%for every seven days odd days less than seven days should be counted as seven days。Incase the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in
39、 theContract，the Buyers shall have the right to cancel the contract and the sellers，in spite of thecancellation,shall still pay the aforesaid penalty to the Buyers without delay。at same time，theseller unconditionally return all prepaid。18.责任与赔偿 Ability and Indemnity:18.1The Seller shall indemnify th
40、e Buyer against liabilities incurred or suffered by the Buyer inconnection with any death or personal injury caused by the Sellers negligence or resulting fromany defect in the goods caused by the Seller。卖方应确保，买方不因卖方过失或其产品的任何缺陷而承担任何人身损害赔偿责任；就该等损害赔偿责任,应由卖方予以承担。18.2The Seller shall be liable to the Bu
41、yer for physical loss of or physical damage to property of theBuyer caused by the Sellers negligence or which results directly from a breach of this contractby the Seller or directly from any defect in the goods caused by the Seller。因卖方过失、卖方违约行为或卖方原因造成的产品缺陷,直接导致买方实体损失或买方有形财产的损失,卖方应当向买方承担责任。18.3The S
42、ellers total liability to the Buyer in respect of loss or damage arising under section 18.2shall be limited to the total amount payable by the Buyer under this contract.就第 18.2 条中所约定的损失或损害,卖方的全部责任应限定于买方根据本合同所应支付的全部价款。18.4 In no event shall the Seller be liable for any indirect,special or consequenti
43、al losses includingbut not limited to loss of use，business,production,goodwill,revenue，profits or opportunity在任何情形下，卖方均不承担任何特别、间接、附带或从属损失,包括但不限于基于对丧失用途、业务、生产、商誉、利润损失或商机的主张所提出的损失。18.5 The Buyer shall indemnify the Seller，its officers，employees，subsidiaries，parents andaffiliates against liabilities fo
44、r death or personal injury to any person or for loss of any propertyPage 4 of 5caused by the Buyers negligence。买方应确保，卖方及其经理人员、雇员、分支机构、母公司及联属机构不因买方过失而承担任何人身损害或财产损失；就该等人身损害及财产损失,应由买方予以承担.1919。仲裁。仲裁 ARBITRATIONARBITRATION19。1 仲裁：凡因本合同引起的或与本合同有关的任何争议，均应通过友好协商解决。如协商不成应提交中国国际经济贸易仲裁委员会，依照申请仲裁时该会现行有效的仲裁规定，在
45、北京进行仲裁。仲裁裁决是终局的，对双方均有约束力。All disputes arising from or in connection with this Contract or theexecution thereof shall be settled by friendly negotiation。In case no settlement can be reached,thedisputes shall be submitted to China International Economic and Trade Arbitration Commission inBeijing，China
46、 for arbitration in accordance with the Commissions arbitration rules in effect at thetime of applying for arbitration。The arbitration award shall be final and binding upon both parties，and neither party shall seek recourse to a law court nor other authorities to appeal for revision of thedecision。T
47、he arbitration fee shall be borne by the losing party。19.2 标准法 Governing Law本合同受中华人民共和国法律管辖并依其进行解释。This Contract shall be governed by andconstrued in accordance with the Laws of the Peoples Republic of China。2020。银行费用。银行费用 BANKING CHARGESBANKING CHARGES中国境内发生的银行费用由买方负责，境外发生的银行费用由卖方负责.All the banking
48、 chargesincurred in China shall be borne by the Buyers while all the banking charges incurred outside Chinashall be borne by the Sellers.21.21.商务保密约定商务保密约定 BUSINESS CONFIDENTIALITYAGREEMENT买卖双方应严格保守商务秘密，不得向与本合同无关的个人及单位泄漏，包括合同的任何内容.The buyer and seller shall keep the contract information confidential
