6、aid Agreement by giving theLandlord two(2)calendar months notice in writing,and agree thelandlord to show the apartment to potential tenant.在乙方付清本合同项下规定其应该支付的费用后十五个工作日内全额无息将二个月保证金如数归还乙方。如乙方在已经办理了退房手续支付所有的费用后十五个工作日内未收到甲方归还的全额押金,则视为逾期未归还押金,每逾期一天超出归还日期后未支付,乙方须按日加付租金 3%的滞纳金。The two months deposit shall

12、Agreement.Party A will then be entitled totake back the leased property and have recourse against Party Bfor breach of contract.保证金:保证金:Security Deposit:Security Deposit:为确保租赁房屋及其设施之安全与完好及租赁期内相关费用之如期结算,乙方应在甲方提供该租赁房屋的产权证复印件(或预售/预租许可证)支付给甲方二个月租金额及管理费的租赁保证金计人民币圆整,做为乙方确保合同履行之保证金,保证金的支付日不得晚于起租日。乙方可以人民币形式
13、支付保证金。甲方应在收到保证金的七个工作日内提供相应的正式收据给乙方。To ensure the welfare and good condition of the leased property aswell as the prompt payment and settlement of all related chargesduring the term of the tenancy,Party B agrees to pay Party Asecurity deposit equal to two months rent and management fee inthe amount o
14、f RMB as security for PartyBs hereunder once the copy of ownership certificate(or pre-sell/pre-lease permit)of the premises is provided.Party A shallprovide the formal receipt to Party B within 7 working days afterreceiving the deposit.除合同另有约定之外,甲方应于租赁期满或此合同提前终止之日且双方确认该租赁房屋的归还和乙方付清所有相关费用后的十五个工作日内将保证
15、金全额无息退还乙方。Unless otherwise provided in this Agreement,Party A shall returnto Party B the entire security deposit without interest in15workingdaysafterexpirationofthetenancyorearlydetermination of this Agreement and both parties have confirmedthereturnofthepremisesandPartyBhaspaidallrelatedoutstandin
16、g fees.6.3甲方因乙方违反本合同的规定而受的损失,可在保证金中扣抵合理数目,不足部分乙方必须在接到甲方付款通知后十天内补足。Party A may deduct a reasonable amount of security deposit towardspaymentofanyactualdamagesPartyAshallhaveincurredorsuffered as a result of Party Bs breach of this Agreement.Ifthesecuritydepositisnotsufficienttocoversuchamounts,Party

18、ueaccording to the bills from Shanghai Utility Bureau therefor received byParty B.八、八、出租人的责任出租人的责任:Landlords Obligations:Landlords Obligations:8.1甲方须按时将租赁房屋以良好可租赁状态交付乙方使用。办理 交 房 手续 前,甲,乙双 方 必 须 清 查 该 物 业 及 其 内 部 所 有 设 施 的 运 行情 况。如 有 任 何 设 施 无 法 正 常 运 作,则 应 被 视 为未 能 按 时交 房,直 至 视 察 时 所 有 设 施 及 设 备 均 呈
19、 正 常 运 作 状 况。在此 情 况 下,双 方 应 签 署 一 份 视察 情 况 记 录 一 式 两 份 并 且 作为 本 合 同 的 一 部 分 以 示 房 屋 交 接 完 毕。Party A shall deliver on schedule to Party B the leased property in goodand tenantable condition for Party Bs use.Prior to hand over bothparties shall participate in a walk through inspection of the premises
20、toinventory all facilities therein and ensure their proper workingcondition.Should any of the facilities or fixtures not be in workingorder the hand over will be deemed incomplete until such a time as theyare in correct working order and inspected.The inventory/hand overinspection record will be mad
21、e in duplicate and forms an integral part ofthis agreement.8.2租赁期内甲方不得无故收回租赁房屋。(除非本合同另有规定)Party A shall not take back the leased property,without cause,duringthe term of the tenancy(unless otherwise stipulated in this Agreement).8.3在乙方遵守本合同的条款及支付租金的前提下,乙方有权于租赁期内拒绝甲方或其他人骚扰(中华人民共和国法律规定除外)而安静享用租赁房屋。在租赁
22、期内,租客将在租期开始时搬入自己的家具并在租期结束时搬出并承担此费用。该条款在合同的其他条款适用。Provided that Party B paying the rent and performing and observing PartyBs terms and conditions herein contain shall peaceably hold and enjoythe leased property throughout the term of this Agreement without anyinterruption by Party A or any other pers
23、on save and except as requiredby the law of the Peoples Republic of China.Duringtheleasedterm,furnitureandgoodsoftheoccupantwillbedelivered to the apartment in the beginning of the Lease Term,andtaken out of the apartment,at its end by his own expense and respectingtheotherprovisionsoftheAgreement.8
24、.4甲方应维修并保持约定之物业外墙和主体结构,电力供应系统,有线电缆,下水道,地板,水管和外部窗架在良好及可使用状态下供居住人使用。租赁房屋的基本设施和结构(包括非乙方原因损坏的家具和电器)损坏时,甲方有修缮的责任并承担有关的费用,并对其作定期修保。若修缮 7 天后此租赁房屋仍无法居住,甲方应提供乙方一个同等于租赁房屋每日租金的房屋或酒店使用。To maintain and keep or cause to be maintained and kept the outsidebuilding main walls of the said premises and the said buildi
25、ng and themain structure,electricity supply cables,drains,floors,manholes,water pipes and exterior window frames of the said building at all timesin a proper state of repair and condition.Party A is responsible forrepairing and maintaining the basic facilities(including furniture andappliances not d
26、amaged by Party B),the structure of the leased propertyand for bearing all costs related thereto.During the repair period,Party A shall provide Party B another premise or hotel at the same dailyrent if the leased property is not livable after 7 days.8.5甲方谨在此声明及保证甲方为租赁房屋的合法拥有人并有合法 地位出租此租赁房屋予乙方。就本合同及出
27、租此租赁房屋予以乙方之事,甲方已取得所有有关机构的批准,包括政府批准及抵押权人的同意(如适用)。Party A hereby represents and warrants that Party A is legal owner of theleased property and has the necessary legal capacity to lease the propertyto Party B.Party A has also obtained all the necessary authorizations fromall relevant authorities in the
28、 Peoples Republic of China in respect ofthisAgreementandtheleasingofthepropertytoPartyB,includinggovernmentapprovaland/ormortgageconsent(ifapplicable).8.6如在租赁期内,租赁房屋发生所有权全部或部分转移、和其他影响乙方权益的事情时,甲方应保证所有权人或其他影响乙方权益的第三者,能继续遵守本合同所有条款。如乙方于本合同下的权益受此等所有权人或第三者所影响或损害,甲方须负责补偿乙方的所有损失、损害、支出及费用。若甲方出售该租赁房屋,则乙方承诺将放弃
29、优先购买权。If during the term of the tenancy,all or part of the leased property istransferred or Party Bs right to use leased property is affected,PartyA shall ensure that such transferee or third party having an effect onParty Bs right to use the leased property will continue to abide by theterms of thi
30、s Agreement.Party A shallkeep Party B indemnified againstany costs,expenses,losses and damages incurred to or suffered by PartyB as a result of any of Party Bs interests herein are affected orprejudiced by such transferee or third party.Party B hereby agrees togive up the priority of purchasing if P
31、arty A sells the leased property.87在 租 赁 期 间,甲 方 保证 提供 乙方承 租 的 房 屋是安全的,且不会 因甲方的原因干 扰 乙 方 的 正 常 居 住。如 因甲方的原因出现 周 围 房屋 的 影 响,导 致 乙 方 不 能居住,乙 方 有 权 终 止 合 约。乙方须接受并遵守物业管理处之管理公约.During the lease term Party A mustguarantee that Party B can livesafely in the rented premises and that Party A will not disturb
32、Party Bsregulardwelling.PartyBhastherighttoterminatetheagreementshouldthegenerallivingconditionssurroundingthePremisesaffectthePremisesinsuchdegreethatapeacefullivingcannotbeobtained.PartyBshallacceptandabidebyallruleandregulationsofthePremises management.8.8 甲方应根据中华人民共和国的税法规定负责缴纳对因乙方支付租金而可能产生所有与租赁房
33、屋有关的一切税项,包括但不限于土地使用费,房产税,印花税,营业税及企业所得税。甲方必须在收到租金后的七个工作日内向乙方开具印有税务局监制章的正式发票。如若拖欠有关发票,乙方有权延付租金。Party A shall be responsible to pay all taxes in respect of the leasedproperty(including but not limited to land use fee,real estate tax,business tax,stamp duty and enterprise income tax)in accordance withth
34、e Peoples Republic of China tax laws and regulations.Party A shallprovide to Party B the official invoice printed under the authorizationof the relevant tax bureau in the PRC within 7working days afterreceiving the rental.In case Party A fails to do so,Party B shall havethe right to withhold any ren
35、tal payment.8.9任何由于非乙方疏忽而造成房屋内由甲方提供的如水、电、煤供应设施、供应设备或电子仪器包括空调在内的电器无法正常工作,乙方应及时通知甲方。甲方必须维修恢复其正常使用,甲方应承担由此而引起的费用。但因乙方疏忽或使用不当而引起的该等保养、维修费用,甲方将不负责。Shouldanyoftheservicesorfacilitiessuchaswater,electricity and gas supplies and supplied mechanical or electricalapparatus or appliances,including air conditio
36、ners,provided byParty A in the Premises fail to function normally,provided thatsuch mal-function is not the result of the improper use or thenegligence of Party B.Party B shall promptly notify Party A,andParty A shall restore the normal functioning of the services andfacilitiesandPartyAshallberespon
37、siblefortheexpensesincurred.But Party A shall not be responsible for maintaining andrepairingthesaidconduitsandpipelinesresultingfromtheimproper use or the negligence of Party B.九、九、承租人的责任承租人的责任Tenants Obligations:Tenants Obligations:9.1乙方应按合同的规定,按时支付租金,保证金及其它各项应付费用。Party B shall promptly pay all re
38、nt,security deposit and othercharges payable by it in accordance with the terms of thisAgreement.乙方经甲方事先同意(甲方不得无理拒绝或延迟给予乙方该同意),可在租赁房屋内进行软装饰装修及添置设备。租赁期满必须恢复原状(正常损耗除外),并承担其合理费用,经甲方验收认可后归还甲方。Party B may,with the prior consent of Party A(such consent shallnot be unreasonably or delayed),renovate and ins
39、tall additionalfacilities in the leased property.Upon expiry of the tenancy,the leased property shall be returned to Party A in its originalconditions(fairwearandtearexcepted)whichisacceptedbyParty A,and all reasonable expenses arising therefrom shall beborne by Party B.乙方应爱护使用租赁房屋,如因乙方的过失或过错致使租赁房屋及
40、设施受到损坏(正常损耗除外),乙方应负赔偿责任。Party B shall treat the leased property with care.If,as aresult of party Bs negligence or misconduct,the leased propertyand the related facilities suffer any damage(fair wear and tearexcepted),Party B shall be responsible for compensating Party Afor such damages.9.29.39.4乙方应按
41、本合同的约定合法使用租赁房屋,不得擅自改变使用性质,不应存放中华人民共和国法律下所禁止的危险的物品,如因此发生损害,乙方应承担全部责任。Party B shall use the leased property legally as agreed in thisAgreement and may not change such use on its own.Party B shallnot store any dangerous items which are prohibited by the laws ofthe Peoples Republic of China in the lease
42、d property and shallbe fully responsible for any damages or losses as a result thereof.未经甲方事先同意,乙方不得将租赁房屋转租或分租给其他的第三方,乙方本公司人员除外。WithoutPartyAspriorconsent,PartyBmaynotassignthetenancy or sublet the leased property to a third party,save andexcept any associated person of Party B.若无甲方的书面同意,不得在所租赁物业内饲养
43、任何宠物或动物。Not without the written consent of Party A to keep any pets or anylivestock in the said premises.9.59.69.7 保持该物业内部非结构性部分的良好状态,(合理的损坏除外),包括:地板;内墙地板,天花板的石灰或粉刷及甲方安装在该物业内的固定设备,附件及所有的门,窗,电器设备,电线,洁具和所有设备清单上所列的物件。To keep in good and tenantable repair and condition(exceptingfair wear and tear)the in
44、terior non-structural part of the saidpremises including the flooring and interior plaster or otherfinishes or rendering to walls,floors and ceilings and theLandlords fixtures and fittings therein and all doors,windows,electrical installations and wiring,and sanitary and waterapparatus and all other
45、 fixtures and additions thereto and theitems listed in the Inventory.十、十、违约处理:违约处理:Breach of Agreement:Breach of Agreement:10.1甲、乙任何一方如未按本合同的条款履行,构成违约,应承担相应的违约责任,双方同意违约方应赔偿另一方之直接损失(间接和结果性损失除外)。甲方若有违约并七日内未予补救,乙方则有权延付租金。If either Party A or Party B fails to perform its obligationshereunder,it shall co
46、nstitute a breach of this Agreement and thedefaulting party shall undertake the liabilities for such breach.The parties agree that the party in breach shall pay the otherpartythedirectlossanddamage(excludingindirectandconsequential loss and damages).If party A is in breach of thisAgreement and does
47、not rectify the said breach within 7 days,thenParty B is entitled to withhold the rent.10.2乙方有下列行为之一的,甲方有权终止本合同,收回租赁房屋,并且保证金不予退还。Party A shall have the right to terminate this Agreement,re-possess the leased property and forfeit the security deposit ifParty B commits one of the following:(a)在未经甲方的同意
48、下,将租赁房屋擅自转租,但转租给乙方本公司人员除外;withoutobtainingPartyAspriorconsentsubletstheleasedproperty to another person or entity except associated person ofParty B(b)未得甲方同意将租赁房屋擅自拆改结构或改变用途的;或alters the structure of the leased property without authorizationor uses the leased property other than for the purpose stat
49、edherein;or(c)无故拖欠租金超过 15 天。fails to pay rent without any reason for more than 15 days afterthe due date十一、不可抗力:十一、不可抗力:Force MajeureForce Majeure若由于不可抗力的自然灾害(包括但不限于火灾,洪水,地震,施工,战争,暴动,敌对等行为等)或其他非乙方过错所造成的对租赁房屋的损毁致使其无法居住或使用本物业,双方均有权终止本合同,甲方必需全数退还乙方所有保证金和当月所余租期之相应租金,但乙方须支付其实际使用的公共事业费用If the leased prope
