17、be provided that: In case that the buyer fails to inspect and accept the installation or relating governmental inspection and acceptance does not finished due to the buyer, the buyer shall pay the installment provided within 30 days after the seller inform the buyer the completion of installation. 如

Abovementioned other reasons include but not limited to:1) 因买方运输过程中造成的问题；Defect due to tr
21、ansportation by the buyer; 2) 因买方使用不当而造成的问题； Defect due to improper operation or usage by the buyer; 3) 未经认可或授权的维修公司维修或未经卖方认可或授权的安装公司不适当的安装所导致的问题；Defect due to improper installation or maintenance by company not approved or authorized by the seller; 4）因不可抗力造成的问题，包括不限于洪水、地震、泥石流、海啸等；Defect due to forc
22、e majeure, include but not limited to flood, earthquake, mudslide, tsunami. 5）因失窃、火灾等人为因素造成的问题；Defect due to theft, fire; 6）未经卖方认可的配套设备或配套部件材料造成的问题；Defect due to supporting facility or material; 7）耗材需要更换；Consumable parts or materials;建议双方约定质量保证期少于两年。否则无须约定，法定为两年。It is suggested that the quality guar

24、tual property(name and symbol, patent, trademark, commercial secret, copyright) contained in the goods in any methods(include but not limited to counterfeiting, copying). The parties is obliged to keep the content of this contract in confidential. 九、 违约责任9. Liability on breach of the contract买方延迟付款，
25、应承担每天0.01%未付款的违约金，但违约金不超过合同价值的30%；如延迟付款超过xxx天，买方亦可选择解除合同收回货物，并以追索违约金、运费以及按每日0.2%计算的折旧费；In the event of the buyers late payment, the buyer shall bear a daily penalty at 0.01% of outstanding payment. If the late is more than x days, The seller shall has the right to choose to terminate the contract ,

27、ent from the buyer. 十、不可抗力十. Force Majeure卖方如因不可抗力而造成交货的延误，可得以免责。如发生不可抗力情形，卖方应立即于五天内将情况书面通知买方，并尽快传真和航空快递发送相关证明，作为相应的证据。在此情况下，卖方仍然有义务采取一切必要的措施来促成货物的交付。The seller shall not be held responsible for the delay in delivery due to Force Majeure. The seller who encounter Force Majeure shall advise the buyer
28、 of the occurrence mentioned above within five days thereafter, shall fax and send by airmail to the buyer as evidence thereof. Under such circumstances the seller, however, is still under the obligation to take all necessary measures to hasten the delivery of the goods. 十一、争议解决11. Dispute Settlemen
29、t本合同适用中华人民共和国法律；如在合同执行过程中有争议，双方应当进行协商；如协商无法解决，因本合同引起的或与本合同有关的任何争议，均提请深圳仲裁委员会按照该会仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。败诉一方应当承担对方发生的相关费用，包括不限于律师费、差旅费等。This Contract will be interpreted in accordance with the law of the Peoples Republic of China. All disputes arising from or in connection with this Contract shal
30、l be submitted to Shenzhen Arbitration Commission for arbitration in accordance with its rules of arbitration in effect at the time of applying for arbitration. The arbitral award is final and binding up on both parties. The losing party shall be responsible to the other partys relating expenses inc
