2、米,以产权证或相关合同文件记载为准)出卖给乙方;乙方表示自愿购买该套通过丙方居间介绍的甲方全部的房屋。二、房屋价款:该物业的买卖价款为人民币(大写):_元整(:)。成交价含该物业现有及所属的设施和装修,现有配套设施有:乙方对甲方所要出售的房屋已实地查看并充分了解对房屋现状无异议,情愿购买该房地产。三、办理该物业交易变更登记过户所产生的税费由甲、乙双方按政府相关规定缴纳:买卖双方须付税费;营业税契税个税土地增值税印花税公证费查档费工本费评估费其他费用买方需支付 项,卖方需支付项。按约定由_方完全担当;按约定由一方担当_项税费,其余由_方担当,如在合同履行的过程中因政策缘由发生税务种类的增加,则由

6、,若需办理过户,相关手续费由乙方支付,该物业在本合同签定时未开通设施由乙方自行开通。九、该物业是以签约时的现状售予乙方,而乙方已检查或已授权代表代为检查该物业,故乙方不得借物业瑕庛拒绝交易。十、甲方须保证对该物业享有完全全部权及处分权,产权清楚,无争议,能完全支配和处分。有关该物业在本次转让之前已产生的产权纠纷、债务、税项及租赁(甲方承诺该物业不存在任何优先购买权人,或优先购买权人己放弃优生购买权)等事宜己结清或处理妥当;甲方应在转让完成前清理完毕,并保证转让后乙方无需负责,否则甲方应赔偿由此引起的一切损失。十一、本合同在履行过程中如甲方违反上述约定,以致本合同目的无法实现,则甲方应双倍返还定
7、金予乙方,同时马上退还已收取的其它款项。若因乙方缘由导致无法实现合同目的,则无权向甲方索取所交定金,若甲方收取该定金后在约定的时间内拒绝签订房屋买卖合同并经公证,则应双倍返还定金给乙方;若乙方在约定的时间内拒绝签订房屋买卖合同并经公证,则无权向甲方索取定金。双方签订的需经公证的房屋买卖合同的主要内容应与本合同约定的主要内容一样。十二、居间酬劳及支付:该物业系丙方供应信息促成,本合同一经签订,丙方的居间任务即告完成。基于丙方已供应之服务,本合同签订完成,丙方向乙方收取佣金人民币(大写):元整(: );向甲方收取佣金人民币(大写): 元整(: )。甲方或乙方除不行抗力因素外,任何一方未依本合同之条
8、款卖出或买入该物业,则违约一方必需赔偿守约方房价的%作为违约金,另即时付予丙方经纪佣金人民币(大写): 元(:)逾期未按本条约定支付居间酬劳的,违约方应向丙方担当居间酬劳30%的违约金,造成丙方其它损失的另行赔偿。十三、丙方可为甲、乙方的后续协助工作供应免费的服务,但涉及专项事务的应另行支付酬劳,酬劳另行约定。十四、签署本合同后,除丙方缘由导致合同不能履行、终止、解除外,甲、乙双方仍需按上述约定支付居间酬劳。十五、甲乙双方均承诺并保证在交易各环节均能供应符合相关部门规定的相关材料证件文书等,并对真实性、有效性负责,否则将担当由此引发的一切后果。十六、本合同签订前上述三方在商谈中的声称、理解、承

12、oduction and operation, the Borrower intends to borrow money fromthe Lender. For the mutual benefits, both Parties agree to conclude thisContract.第一条 借款金额 Article 1 Amount of Loan借款金额280,000美元 (大写:贰拾捌万美元)US$280,000(Capital Letter: Two Hundred Eighty Thousand US Dollars)贷款方在签订本书面合同之前,已向借款方供应280,000美元
13、贷款。借款方在此确认已经收到贷款方通过银行转账方式供应的280,000美元贷款。The Lender agrees to advance the Loan US$280,000 to the Borrower prior tothe signing of this Contract. The Borrower hereby confirms that it has receivedthe Loan US$280,000 advanced by the Lender through bank transfer.其次条 借款用途Article 2 Scope for Use本合同所约定的贷款仅用于
14、借款方生产销售砂石品业务,不得挪作它用。The loan hereof is only for Borrowers Stone Business and shall not beappropriated for other use.第三条 利率及还款期Article 3 Interest and Term Repayment1. 假如借款方在合同约定的还期限内还清借款,贷款方则不收取借款利息。The Lender agrees that no interest will be payable on the Loan for the termof the loan while the Borro
15、wer is not in default of repayment.2. 借款方应根据以下还款期向贷款方偿还借款:The Borrower agrees to repay the Loan to the Lender in accordance with thefollowing repayment schedule:在本合同签订之日起十二个月内偿还借款 美元;Repayment due on or before the date 12 months from the date of thisagreement.在本合同签订之日起二十四个月内偿还借款 美元;Repayment due on

17、icle 4 Management Fee1.借款方同意在借款期内,向贷款方支付管理费用,管理费用的金额为借款方砂石品业务销售总额1.4%.The Borrower agrees to pay to the Lender a sum equivalent to 1.4% of thetotal income received by the Borrower, from the sales turnover of the StoneBusiness, during the term of the loan.2. 借款方同意按第4.3条约定自每一财务季度结束之日起三十日内向贷款方支付管理费用,付款
18、时辰表如下:Subject to clause 4.3 the Borrower agrees to pay the Management Fee to theLender in arrears on or before the date 30 days following the end of theprevious financial quarter in accordance with the following paymentschedule:每年一月一日至三月三十一日期间的管理费用;Management Fee calculated for the period 1 January
19、31 March eachyear.每年四月一日至六月三十日期间的管理费用;Management Fee calculated for the period 1 April 30 June each year.每年七月一日至九月三十日期间的管理费用;Management fee calculated for the period 1 July 30 September eachyear.每年十月一日至十二月三十一日期间的管理费用。Management Fee calculated for the period 1 October 31 December eachyear.3.本合同签订之日起的

22、w and in the future by theBorrower.2.抵押物清单对抵押物价值的约定,并不作为贷款方依本合同对抵押物进行处分的估价依据,也不构成贷款方行使抵押权的任何限制。The value of the Mortgaged properties stipulated in the shall neither bedeemed as the price of sale nor as any limit on the Mortgagees right, while theLender exercises its right.3. 抵押物的相关有效证明和资料由当事人确认封存后,由
23、借款方交与贷款方保管,但法律法规另有规定的除外。Subject to any the laws and regulations, any information and certificationsin respect of the Mortgaged properties shall be handed over by the Borrower tothe Lender after sealed.4.浮动抵押担保的范围为本金、利息、管理费、违约金、赔偿金以及实现债权所发生的一切费用,包括但不限于诉讼费、公证费、仲裁费、律师费、财产保全费、差旅费、执行费、评估费、拍卖费等。The floati
24、ng Mortgage hereof secures the principal, interests, managementfees, compensation, and any other cost arising from the enforcement of theLenders right pursuant to this Contract, including but without limitation courtfee, cost for notarization, arbitration fee, attorney fee, fee for custody,traveling
25、 expense, compulsory execution fee, assessment fee and auction fee.5. 借款方应自本合同签订之日起三十日内向有关部门办理本合同的审批、备案和登记等事宜,所产生的费用由借款方担当。The Borrower shall apply for administrative approval, record-keeping andregistration on its own fee in thirty days from the signing of thisContract.6.借款方应当合理运用和妥当保管抵押物,如抵押物的价值比本
26、合同签订时的评估价削减15%以上的,借款方应当在三日内通知贷款方。贷款方有权要求借款方接着供应相应担保或者提前还款。The Borrower shall use and keep the Mortgaged properties in a reasonablemanner, in case the value of the Mortgaged properties have been reduced by 15%from the agreed value at the date of signing this Contract, the Borrower shallinform the Len

The Lender is entitled to require the Borrower forappropriate securities or for repayment immediately.7. 贷款方在借款方发生以下情形之一时,可以行使抵押权:The Lender is entitled to exercise its Mortgagees right, in the followingcases:(1)借款方违反本合同所约定的义务;The Borrower is in default of its obligation hereof;(2)经营状况严峻恶化、削减注册
28、资本;The Borrowers business has seriously deteriorated or reduced theregistered capital.(3)借款方分立、合并; The Borrower is to be or has been divided or merged;(4)借款方涉及重大纠纷诉讼,涉案标的30万元人民币以上;The Borrower is involved in an important litigation or any other dispute ofwhich the amount is above 300,000RMB.(5)借款方破产
29、、歇业、解散、被停业整顿、被吊销营业执照;The borrower risks to bankruptcy or goes bankrupt, closes out, dissolves,has been asked to suspend business to raise standards or has its licenserevoked;(6)借款方居处或法定代表人发生变更;The business place or the legal representative has been changed;(7)其他因借款方缘由可能导致贷款方拥有抵押权无法实现的情形。The Lender c
30、ould not enforce the Mortgagees right because of any otherevent due to the Borrower.借款方发生或很可能发生以上情形之一的,贷款方书面通知借款方之日为浮动抵押财产确定之日。若借款方不签收通知回执的,贷款方有权按本合同第十四条所示方法通知,视为乙方已经收到。If any case above said occurs or more than likely to occur, the floatingMortgage converts into being fixed Mortgage at the date of

If the Borrower refuses to sign receipt, it is deemed to have receivedthe notice sent by the Lender in according article 14.第六条 陈述与保证Article 6 Presentations and Warranties借款方在此陈述并保证以下事项属实,否则担当欺诈的法律责任:The Borrower hereby presents and warrants all the following facts,otherwis
32、e it shall be liable for fraud.1.借款方是本合同项下抵押财产完全的、有效的、合法的全部者;该抵押财产不存在权属方面的争议。The Borrower has the entire, valid and legal ownership of the Mortgagedproperties without any dispute or claim.2. 本合同项下抵押财产不存在瑕疵。No defect on the Mortgaged properties.3. 本合同项下的抵押财产依法可以设定抵押,设立本合同的抵押不会受到任何限制。The Mortgaged pro
33、perties are legally available for Mortgage without anylimitation.4. 本合同项下的抵押财产未被依法查封、扣押。The Mortgaged properties havent been sealed or seized.借款方在此保证在合同存续期间,未经贷款方书面同意,不从事以下行为:Without the Lenders prior written consent, the Borrower hereby warrantsthat during the term of this Contract, it will not:1.
34、对公司的利润进行分红;Pay any dividend in respect of its profits to its shareholders;2. 在一个财务季度内购买价值合计25,000美元以上的生产设备;Not acquire an aggregate of more than US$25,000 worth of plant or equipmentin a calendar quarter;3. 对抵押财产再次设立抵押、质押或者出租、赠予抵押财产。Remortgage, reMortgage, rent or give the Mortgaged properties to an
35、y otherperson;第七条 经销Article 7 Distribution借款方同意贷款方在本合同约定的条件下,在世界范围内销售借款方生产的喷砂和抛光研磨纤维石产品(“砂石产品”)The Borrower agrees that the Lender may distribute the “spray-stone” and“super-stone” products (“Stone Products”) anywhere in the world and on whateverterms it sees fit for the term of this agreement.在本合同订
36、立之日至20_年12月31日期间,借款方向贷款方出售砂石产品的价格不高于当次交易时最近三个月借款方出售砂石产品的最低价格。The Borrower agrees that from the date of this agreement until 31 December20_ it will sell the Stone Products to the Lender at a price no higher than thelowest price for which it sold the Stone Products in the immediately preceding 3month

38、Only those customers of the Borrower confirmed in writing by the Parties hereofat the time of this agreement have the binding effect.第八条 监督检查Article 8 Supervision贷款方和保证人有权检查贷款运用状况。检查时,借款方对调阅有关文件、账册和记账凭证,查核物资库存,生产状况以及其它与借款人的清偿实力有关的信息,必需赐予便利。The Lender and the Surety have the right to supervise the us

TheBorrower shall provide all kinds of facility to the Lender and Surety to checkthe relevant documents, accounting books, accounting vouchers, inventory,production and any other information relating to the solvency of theBorrower.第九条 违约责任Article 9 Liability1. 借款方不按合同规定的用途运用借款,贷款方有权提前收回全部
40、贷款,对违约运用的部分,收取12%/年的利息。1. As if the Borrower appropriates the loan from use stipulated herein, theLender is entitled to get back the entire loan immediately and to claim forinterests on the amount of loan appropriated at the rate of 12%/year.2.借款方如逾期不还借款,贷款方有权追回借款,并按0.05%每天加收罚息。As if the Borrower fa
41、ils the repay the loan in time, the Lender is entitledto get back the entire loan immediately and to claim for delayed repaymentinterest at the rate of 0.05% per day.第十条 法律适用Article 10 Governing Law本借款合同的效力、履行、变更、终止和说明均适用 有关法律法规。The validity,performance, modification, termination and interpretation
42、ofthis Contract are governed by law.第十一条 争议解决Article 11 Dispute Resolution对本合同的效力、履行、变更、终止或说明发生争议,由当事人双方协商解决。协商不成,双方同意向有管辖权的人民法院起诉。Any dispute arising from the validity,performance, modification,terminationor interpretation of this Contract, may be settled by negotiation. If anagreement could not be
