4、rty B.22甲方向乙方提交的有关资料和。Related information and documents submitted by the Party A.2.3乙方采用的主要技术：Main tenical standards adopted by the Party B can be showed as follows:幕墙技术要求应符合GB/T 21086-2007?建筑幕墙?、JGJ1022003?玻璃幕墙工程技术?和JGJ1332001?金属与石材幕墙工程技术?、?企业?的相关要求。 The tenical requirements of curtain wall should
5、conform to relevant requirements in National Standard GB / T 21086-2007 Building Curtain Wall, JGJ102-2003 “Tenical Code for Glass Curtain Wall Engineering as well as JGJ133-2001 Tenical Code for Metal and Stone Curtain Walls Engineering and Enterprise Standard.第三条 合同的优先次序构本钱合同的可视为是能互相说明的假如合同存在歧义或不一

10、le Eight Terms of Payments81本合同生效后7天内甲方向乙方预付设计费总额的50计_元作为定金本合同履行后定金自动抵作设计费。Within seven days on the effectiveness of this Contract, the Party A shall pay 50 of total amount for design arges in advance, namely_yuan as the down payment. The down payment shall be counted as the design arges on settleme
11、nt of the Contract).82乙方提交本合同规定的设计后一个月内支付其余设计费。After submitted the design documents stipulated in the Contract, the Party B shall pay the rest design arges within one month.第九条 双方责任Article Nine Responsibilities of the Parties91甲方责任Responsibilities of the Party A911甲方按本合同第五条规定内容在规定的时间内向设计人提交根底资料及并对其完
12、好性、正确性及时限负责。甲方不得要求乙方违背有关进展设计。甲方提交上述资料及超过规定限乙方按本合第六条规定的交付设计时间顺延。The Party A shall submit basic materials and documents to the Designer within specified period as stated in Article 5 of this Contract and shall be responsible for the pleteness, accuracy and time limit of the materials and documents. Th
13、e Party A shall not require the Party B to conduct design in violation of relevant national standards. In case there is a delay exceeding the specified time limit for the delivery of the above materials and documents by the Party A, the time limit for the delivery of design documents submitted by Pa
14、rty B shall be extended accordingly; 912甲方变更委托设计工程、规模、条件或因提交的资料错误或所提交资料作全套修改以致造成乙方设计返工时双方除另行协商签订补充协议或加订、重新明确有关条款外甲方应按乙方所耗工作量给予补偿。In case of the Party Bs re-work on the design caused by anges of design project, size and conditions by the Party A or mistakes of submitted materials, or plete revisions
15、on submitted materials, the Parties shall conclude splementary agreement separately (or conclude additional agreement) and redefine relevant terms and conditions, and the Party A should pay arges for re-work to the Party B according to the workload.913在合同履行间甲方要求终止或解除合同乙方未开场设计工作的不退还已付的定金；已开场设计工作的甲方应根
16、据乙方已进展的实际工作量缺乏一半时按该阶段设计费的一半支付；超过一半时按该阶段设计费的全部支付。During the performance of the Contract, if the Party A requires to terminate or cancel the Contract before the Party B starts the design work, the Party B will not return the down payment already deposit paid by the Party B; if the Party B has started
17、the design work, the Party A shall pay for the actual workload already done by the Party B. When the actual workload of the design is less than half of the work at the stage, the Party A shall pay half of design arges at the stage. When the actual workload of the design is more than half of the work
18、 at the stage, the Party A shall pay all the arges for design work at the stage.914甲方应按本合同规定的金额和日向乙方支付设计费逾支付的每天承当应支付金额百分之一的违约金且乙方提交设计的时间顺延。逾超过30天以上时乙方有权暂停履行下阶段工作并书面甲方。甲方或其他审批对设计不审批或本合同工程暂停缓建甲方均应支付应付的设计费。 The Party A should pay the design arges to the Party B based on the amount and date provided in
19、this Contract. For overdue payment, the Party A should pay 1 of overdue payment as penalty, and the time for delivery by the Party B shall be will be extended accordingly. If the delay of the payment exceeds more than 30 days, the Party B shall have the right to suspend the performance of the work a
20、t the next stage and give the written notice to the Party A. In case the Party A or other approval units would not approve the design documents or the construction of this Contract is suspended, the Party A should also pay the payable design arges.915甲方要求乙方在合同规定时间提早交付设计时须征得乙方同意不得严重背离合理设计周且甲方应给予补偿。If
21、 the Party A requires the Party B to delivery the design documents in advance within specified time, it should get the prior consent of the Party B without serious deviation from the reasonable design circle, and the Party A shall pay the pensation.916甲方应为乙方派驻现场的工作人员提供工作、生活及交通等方面的便利条件及必要的劳动保护装备。The
22、Party A should provide convenient conditions including working, living and traffic and so forth as well as necessary labor protection equipments for the workers whom the Party B appoints to the jobsite.92乙方责任Responsibilities of the Party B921乙方应按规定和合同约定的技术进展设计按本合同第六条规定的内容、时间及份数向甲方交付设计出现912、913、914、9
23、15规定有关交付设计顺延的情况除外。并对提交的设计的质量负责。The Party B should carry out design work in accordance with tenical standards provided in national regulations and the Contract, and submit design documents to the Party A according to the contents、time、and copies specified in Article Six of this Contract(except for th
24、e circumstances provided in Article 912、913、914、915 under whi the delivery of design documents may be extended ), and shall be responsible for the quality of the design documents.922设计合理使用年限为25年胶、五金配件等附件为10年。The reasonable design life is 25 years (10 years for sealant, hardware fittings and so forth
25、).923负责对外的设计资料进展审查负责该合同工程的设计联络工作。The Party B shall be responsible for the inspection on foreign investors design materials and contact on the design of the project.924乙方对设计出现的遗漏或错误负责修改或补充。The Party B shall be responsible for the revision or splement to the mistakes or omission of the design document
26、s.925由于乙方原因延误了设计交付时间每延误一天应减收该工程应收设计费的百分之一。If the delay for delivering design documents is produced by the Party B, ea day overdue will result in the reduction of 1 of the design arges for this project.926合同生效后乙方要求终止或解除合同乙方应赔偿甲方十万元人民币。After the mencement of Contract, if the Party B requires the termi
27、nation or cancellation of the Contract, the Party B should pensate 100,000 RMB for the Party A. 927乙方交付设计后应参加甲方组织的有关/部门的设计审查并根据审查结负责不超出原定范围的内容做必要调整补充。on delivery of the design documents, the Party B should take part in the inspection on the design by relative units /sections organized by the Party A
28、, and shall be responsible for necessary adjustments and splements to the content within the original scope of the design according to the inspection conclusion. 第十条Article Ten Confidentiality 双方均应保护对方的未经对方同意任何一方均不得对对方的资料及擅自修改、复制或向第三人转让或用于本合同工程外的工程。如发生以上情况泄方应承当一切由此引起的后果并承当赔偿责任。Both parties shall pro
29、tect ea others intellectual property rights, without prior consent of the other party, neither party can revise any materials and documents, copy or transfer to a third party or use for the project other than that of this Contract. In case of the above circumstances, the disclosing party shall be re
30、sponsible for any consequences they resulted and shall bear the relevant pensation. 第十一条 争议Article Eleven Disputes凡因本合同引起的或与本合同有关的任何争议由双方当事人协商解决协商不成的：Any disputes arising out of this Contract or related to this contract, both parties should resolve them through consultation. Where the disputes can n
31、ot be settled by mediation:1、 由建立行政主部门调解；To be submitted to the construction administrative department for mediation. 2、 调解不成的向当地人民提起诉讼。If failing to rea an amicable settlement agreement, the parties shall apply to local peoples court.第十二条 合同生效及其他Article Twelve Contract Effectiveness and Miscellaneo
32、us121甲方要求乙方派专人长驻施工现场进展配合与解决有关问题时双方应另行签订技术咨询效劳合同。As per the request of the Party A for dispat of personnel to stay long on construction site so as to coordinate and solve relevant issues, the individual tenical consultant service Contract shall be signed by both parties.122乙方为本合同工程的效劳至幕墙报批完毕为止。The se
33、rvice provided by the Party B will be concluded until the pletion of submission and approval for curtain wall.123本工程工程中乙方不得指定建筑材料、设备的消费厂或供货商。甲方需要乙方配合建筑材料、设备的加工订货时所需费用由甲方承当。In the project, the Party B shall not appoint manufacturers or spliers of construction materials and equipments. Where there is
34、a necessity that the Party B shall cooperate with the Party A in ordering the process of construction materials and equipments, the relevant expenses shall be paid by Party A.124甲方委托乙方配合引进工程的设计任务从、对外会谈、国内外技术考察直至建成投产的各个阶段应吸收承当有关设计任务的设计人员参加。出国考察费用由甲方承当。The Party A entrusts the Party B to cooperate wit
35、h the engineering work of imported project and design personnel undertaking relevant design assignment shall be included in all stages from enquiry, business negotiation, domestic and overseas tenical inspection until the production period. The expenses for overseas inspection will be paid by Party
36、A.125甲方委托乙方承当本合同内容以外的工作效劳需另行签订协议并支付费用。Additional agreement for any other service, whi the Party A entrusts the Party B to provide, however, out of the scope of the Contract, shall be signed and the payment shall be paid correspondingly.126由于不可抗力因素致使合同无法履行时双方应及时协商解决。For any failure to perform any ter
37、m or condition of this Contract due to the force majeure, both parties shall, in good faith, att to settle amicably and by mutual agreement.127本合同经双方签字盖章后生效本合同一式两份甲乙双方各执一份。The Contract will go into effect once after both parties stamped and signed.
