1、2020 集团公司年度经营目标责任书一、目的二、年经营考核年度期间:20 xx 年 01 月 01 日至 20 xx 年 12 月31 日。三、双方的权利和义务(一)甲方的权利和义务1、甲方有权对乙方的经营活动进行检查和监督,并提出改进意见。2、甲方有义务为乙方在经营过程中提供必要的服务和支持。3、甲方有权在乙方生产经营活动出现失控和重大失误时,对本责任书提出修订或决定终止本责任书的执行。(二)乙方的权利和义务1、乙方应严格遵守国家各项法律、法规及集团公司制订的各项经营政策和管理规定。2、乙方享有集团授权范围内独立开展经营管理活动,进行正常的经营决策的权利。3、乙方应在市场竞争中积极拓展经营范

2、围,加强内部管理,降低营运成本,加强市场体系建设,提升营销管理水平,提高盈利能力。4、乙方必须保障经营资产的安全与完整,不得使经营资产遭受损失。5、乙方必须定期或不定期地按甲方要求报送(提交)与经营活动有关的各项文件和资料,包括:(1)年度和月度的经营计划及投资计划。(2)年度和月度工作计划。(3)年度和月度的财务预算和财务会计报表。(4)年度销售政策。(5)甲方要求提供的其它文件和资料。四、经营责任考核指标薪金构成:年薪总额=月基础工资 12+绩效工资 2+奖金 1、基础工资:1 万元/月;2、绩效工资:3 万元/月,根据每半年一次的考核结果进行支付;3、奖金:完成部门年度利润指标后,根据超

3、额利润计算的奖励薪酬。奖金以分段方式计算,具体标准如下:工作目标及所占权重五、考核过程1、以责任人每月的工作总结与计划为依据,根据上月的工作计划对当月工作达成率进行评估;2、针对责任人每月的工作总结与计划中下月计划部分由总经理与其进行面谈,对目标进行调整。3、每年 1 月、7 月是每半年的考核期,以6 个月的工作总结与计划及相关部门所提供的数据为依据,以工作目标的达成率为标准进行半年考核;4、考核实行百分制,最后分值为各单项得分的总和;(单项得分=单项分值单项权重)5、如责任人上半年未发生重大工作失误,且考核成绩到达85 分,则可于 7 月分支取目标资金中的50%,其余部分于年终考核后进行支取

11、签订XXXX 年度经营目标责任书,以明确双方的责任、权利和义务。本责任书一经签字即对甲乙双方具有法律约束力,甲乙双方应共同遵守。一、目的在完善公司以经理负责制为主要内容的经营管理机制的基础上,充分调动下属公司经营管理人员积极性,充分挖掘人力资源潜力;建立总部对下属公司的经营目标责任考核体系,以加强总公司对下属公司的有效监控;推动下属公司乃至整个XX集团经营管理工作逐步向理性、科学、精细和规范的方向发展,用科学的指标评价体系替代粗线条的考评;推动下属公司管理手段和经营风格的转变,增强下属公司管理层的责任意识和经营管理能力。二、XXXX 年年度考核期间:200X年 1 月 1 日至 200X年 1

19、经营活动出现失控或重大失误而乙方又无有效解决办法时,修订责任书有关条款或决定终止本责任书的执行。6、连续两月未完成相关业绩指标,甲方有权向乙方提出警告;7、连续三月未完成相关业绩指标,甲方有权终止本责任书(新建公司适当放宽 2-3 月);8、甲方有权对乙方的经营业绩进行定期的审计与考核;四、乙方的权利和义务1、乙方应严格遵守国家各项法律、法规及集团公司制订的各项管理规定。2、乙方应在计划年度内完成下列主要经营管理指标,见附表;注:(1)、净利润率=税前利润总额/实际销售收入;(2)、净利润=销售收入销售成本管理费用销售费用财务费用公共分摊费用税金;(3)、销售成本:直接材料、直接工资、直接费用

27、7(9)、应分担的固定资产原值:20 xx 年度折旧:(10)、其它各项费用依实际发生情况负担。(11)、以上金额数均以到帐为准。3、乙方应在双方签字生效后半个月以内向甲方提供具体的可操作的、可测量的、可实现的、有时间性的目标实施详细计划,在获得甲方批准后以此作为对乙方进行绩效考评、监督和控制的依据。4、乙方必须定期或不定期地按甲方要求报送(提交)与经营活动有关的各项文件和资料,包括:(1)年度、月度等各项工作计划执行情况的分析报告。(2)各种财务报表。(3)年度销售政策及实施情况的跟踪报告。(4)甲方要求提供的其它文件和资料。(5)考核当月未完成业绩指标,乙方必须向总裁说明未完成成绩的原因,

28、并拿出改进措施。5、乙方享有生产经营管理人员的指挥权;6、乙方享有高层经营管理人员任用和辞退建议权以及中层和普通员工的任用和辞退决定权;7、乙方拥有中层及以下全体员工的考评指标体系设计,考评方式和分配方案决定权,但是方案必须提交总裁核准后方可实施;8、乙方拥有对集团公司公共分摊费用的异议权,但是在获得合理解释后必须承担相应分摊份额;9、乙方拥有原材料采购规模、时机、定价和产品销售定价等建议权,但是每项建议须有书面分析报告,获总裁核准后执行;10、乙方在核定的费用管理额度内享有600 元以下(含 600 元)单据报销终审权;600 元以上的单据报销审核权;文档编码:CS1J9O9W7X5 HY4
