6、urer/Public recognized surveyor.b)下列单据应在发货时与货物一起交付承运人或用快递寄送买方.If necessary,the following document shall be sent along together with the consignment,or sent to the Buyer by express airmail.Certificate of (Heat) Treatment issued by the Official Organization, or Non-coniferous wood packing material iss
7、ued by the Seller.c)货物装运后一个工作日内,卖方应传真买方装运通知.Within 1 working day after shipment is effected, the Seller fax freight shipment notice to the buyer.(14)技 术 资 料TECHNICAL DOCUMENT:甲 技术资料一套与货物一起装箱,运交买方.One set of technical documents including operation and service manual shall be packed and dispatched tog

Erection ，operation ，service and repair instruction books. 乙 交 货 期 个 月 前 ， 卖 方 应 将 本 条 甲 项 所 列 1.2.3.4.5.6. 各 种 技 术 资 料 2 套 ， 以 空 邮 寄 交 买 方 。 months before shi
10、pment, , the Sellers shall airmail to the Buyers two complete sets of the technical documents mentioned in points 1,2,3,4, 5and 6 under Item a of this clause. (15) 装 运 条 款 TERMS OF SHIPMENT ：货物装运后,卖方应于24小时之内电告买方有关的船名航次/航班号,开航时间以及货物的名称,包装数量,重量尺寸和合同号.如因卖方未能及时通知买方而造成的损失将由卖方负责. With 24 hours after the g
11、oods are load on board, the Seller shall advise the buyer by fax the Name of Vessel/Flight No. the date of departure and name of goods,number of packages,weight and dimensions of goods and the contract number.Incase the Seller fail to advise the Buyer about the shipment in time, any consequent loss
12、occured to be borne by the Seller.(16) 质 量 保 证 GUARANTEE OF QUALITY: 卖方保证定货系用最上等的材料和工艺制成,全新,未曾用过.卖方并保证本合同定货在正常使用和维护的情况下,自货物到达口岸之日起 十二个月内运转良好. The Seller shall guarantee that the goods are made of best materials, with first class workmanship,brand new, unused and correspond in all respects with the q
13、uality,specifications and performance as stipulated in this contract. The Seller shall also guarantee that if the goods are properly operated maintained,will give satisfactory performance for a period of 12 months starting from the date on which the goods arrive at the port of destination. (17) 检 验
14、和 索 赔 INSPECTION AND CLAIMS甲. 在交货以前制造厂应就定货的质量,性能,规格,数量/重量做出准确和全面的检验,并出具货物和本合同规定相符的证明书.该证明书为议付/托收货款而应提交银行的单据组成部分,但不得作为货物的质量,性能,规格和数量/重量的最后依据.制造厂应将记载实验细节和结果的书面报告附在质量证明书内.a. The manufactures shall before making delivery,make a precise and comprehensive inspection of the goods as regards their quality,
15、performance, specifications and quantity/weight, and issue certificate(s) certifying that the goods are in conformity with the stipulations of this contract.The certificate(s) shall from an integral part of the documents to be presented to the paying bank for negotiation/ collection of payment but s
16、hall not be considered as final in respect of quality, performance,specifications and quantity/weigh.Particulars and results of the test carried out by the manufacturers must be shown in a statement to be attached to the said Quality Certificate.乙. 货物到达目的地后,买方应申请中华人民共和国上海出入境检验检疫局(以下简称检验局)就货物的质量,规格和数
17、量/重量进行初步检验.如发现到货与合同不符,除应由保险公司或航运公司负责外,买方货物到货启120天内凭检验局出具的检验证书有权拒收货物或向卖方索赔.b. After arrival of the goods at the port of destination the Buyer shall apply to the Shanghai Entry-Exit Inspection and Quarantine Bureau of Peoples Republic of China(hereinafter caller the Bureau)for a preliminary insection
18、of the goods in respect of their quality,specifications and quantity/weigh.IF any discrepancies are found by the Bureau regarding the goods with the contract,except those for which either the insurance company is responsible,the Buyer shall,within 120 days after discharge of goods at the port of des
19、tination,have the right either to reject the goods or to claim against the Seller on the strength of the inspection certificate issued by the Bureau.丙. 在 本 合 同 第 16 条 规 定 的 保 证 期 限 内 ， 如 发 现 货 物 无 论 任 何 原 因 引 起 缺 陷 包 括 内 在缺 陷 或 使 用 不 良 的 原 料 ， 买 方 应 申 谐 检 验 局 检 验 并 有 权 根 据 检 验 证 明 向 卖 方 索 赔 。 c. Wit
20、hin the guarantee period stipulated in Clause 16 hereof should the quality and or the specification of the goods be found not in conformity with the contracted stipulations, or should the goods prove defective for any reasons, including latent defect or the use of unsuitable materials the Buyer shal
21、l arrange for an inspection to be carried out by the Bureau and have the right to claim against the Seller on the strength of the inspection certificate Issued by the Bureau.(18)索 赔 解 决 方 法 SETTLEMENT OF CLAMS: 如 货 物 不 符 合 本 合 同 规 定 应 由 实 方 负 资 者 ， 同 时 买 方 按 照 本 合 同 第 16 和 17 的 规 定 拍 在 索 赔 期 限 或 质 量
22、 保 证 期 限 内 提 出 索 赔 ， 卖 方 在 取 得 买 方 同 意 后 ， 应 按 下 列 方 式 理 赔 ： In case the Seller are liable for the discrepancies and a claim is made by the Buyer within the period of claim or quality guaranteeperiod as stipulated in clause 16 and 17 of this contract, the Seller shall settle the claim upon the agree
23、ment of the Buyer in the following ways:甲. 同意买方退货,并将退货金额以成交原币偿还买方,并负担退货而发生的一切直接损失和费用包括利息,银行费用,运费,保险费,检验费,仓租费等一切其他费用.a. Agree to the rejection of the goods and refund to the Buyer the value of the goods so rejected in the same currency as contracted herein and to bear all direct losses and expenses i
24、n connection therewith including interest accrued , banking charges, freight, insurance premium,inspection charges, storage and all other necessary expenses required for the custody and protection of the rejected goods.乙 . 按 照 货 物 的 疵 劣 程 度 ， 埙 坏 的 范 围 和 买 方 所 遭 受 的 损 失 ， 将 货 物 贬 值 。b. Devaluate the
25、 goods according to the degree of inferiority, extent of damage and amount of losses suffered by the Buyer.丙 . 调 换 有 瑕 疵 的 货 物 换 货 必 须 全 新 并 符 合 本 合 同 规 定 的 规 格 质 量 和 性 能 ， 卖 方 并 负 担因此 发 生 的 一 切 费 用 和 买 方 遭 受 的 一 切 直 接 损 失 . 对 换 货 的 质 量 ， 卖 方 仍 应 按 本 合 同 第 16 条 的 决 定 ， 保 证 十 二 个 月 。c. Replace the de
26、fective goods with new ones which conform to the specifications,quality and performance as stipulated in this contract, and bear all expenses incured and direct losses sustained by the Buyer. The Seller shall, at the same time, guarantee the quality of the replacement goods for a further period of 1
27、2 months as specified in Clause 16 of this contract.(19) 人 力 不 可 抗 拒 的 事 故 FORCE MAJEURE:由 于 人 力 不 可 抗 拒 的 事 故 ， 而 卖 方 文 货 迟 延 或 不 能 交 货 时 ， 责任 不 在 卖 方 。 但 卖 方 应 立 即 将 事 故 通 知 买 方 ， 并 于 事 故 发 生 十 四 天 内 将 事 故 发 生 地 政 府 主 管 机 构 出 具 的 事 故 证 明 书 用 空 邮 寄 文 交 买 方 为 证 ， 并 取 得 买 方 认 可 。 在 上 述 情 况 下 卖 方 仍 负
28、有 采 取 一 切 必 要 措 施 从 速 交 货 的 责 任 如 果 事 故 持 续 超 过 十 个 星 期 ， 买 方 有 权 撤 消 本 合 同 。The Seller shall not be held responsible for any delay in delivery or non delivery of the goods due to Force Majeure. However, the Seller shall advise the Buyer immediately of such occurrence and within fourteen davs therea
29、fter, shall send by airmail to the Buyer for their acceptance a certificate issued by the competent government authorities of the place where the accident occurs as evidence thereof. Under such circumstances the Seller, however, are still under the obligation to take all necessary measures to hasten
30、 the delivery of the goods- In case the accident lasts for more than ten weeks, the Buyer shall have the right to cancel this contract.(20) 迟 交 和 罚 款 LATE DELIVERY AND PENALTY:如 延 迟 交 货 除 人 力 不 可 抗 拒 事 故 外 ， 卖 方 应 付 给 买 方 每 一 星 期 按 迟 交 货 物 总 值 的 0. 5% 的 迟 交 罚 款 ， 不 足 一 星 期 的 迟 交 日 数作 为 一 星计 算 ， 此 项
31、罚 款 总 领 不 超 过 全 部 迟 交 货 物 的 5%， 在 议 付 货 款 时 由 银 行 代 为 扣 除 ，或 由 卖 方 在 付 款 时 进 行 扣 款 如 延 迟 交 货 超 过 原 定 期 限 十 星 期 时 ， 买 方 有 权 终 止 合 同。 但 卖 方 仍 应 向 买 方 缴 付 以 上 规 定 之 罚 款 ， 不 得 推 委 或 迟 延 。In case of delayed delivery, except for force majeure cases, the Seller shall pay to the Buyer for every weeks of del
32、ay a penalty amounting to 0.5% of the goods whose delivery has been delayed. Any fractional part of a week is to be considered a full week. The total amount of penalty shall not, however, exceed 50% of the total value of the goods involved in late delivery and is to be deducted from the amount due t
33、o the Seller by the paying bank at the time of negotiation, or by the Buyer direct at the time of payment. Incase the period of delay exceeds 10 weeks after the stipulated delivery date the Buyer have the right to terminate but the Seller shall not thereby by exempted from the payment of penalty.(21
34、) 仲 裁 ARBITRATION: 凡 与 本 合 同 有 关 或 因 执 行 合 同 发 生 的 一 切 争 议, 应 由 双 方 通 过 友 好 协 商 解 决 。 如 果 协 商 不 能 解 决 ， 应 提 交 中 国 国 际 经 济 贸 易 仲 裁 委 员 会, 上 海 分 会 按 照 该 会 现 行 的 仲 裁 规 则 进 行 仲 裁 .该 仲 裁 委 员 会 做 出 的 裁 决 是 最 终 的 ， 买 卖 双 方 应 受 共 约 束 . 仲 裁 费 用 由 败 诉 一 方 负 担 .All disputes in connection with this contract or
35、the execution thereof shall be settled through friendly negotiations. In case no settlement can be reached through negotiations,the case should then be submitted for arbitration to China International Economic and Trade Arbitration Commission，Shanghai Commission in accordance with the rules in force
36、 of the said commission. The arbitration shall take place in Shanghai and the award rendered by the said commission shall be final and binging upon both parties.The arbitration fee shall be borne by the losing party.(22) 适 用 法 律 GOVERNING LAW: 本 合 同 适 用 中 华 人 民 共 和 国 法 律 .This contract shall be gove
37、rned and construed for its meaning and effect in accordance with the substantive laws of the Peoples Republic of China.(23) 附 注 REMARKS： （24）补 充 条 款 SUPPLEMENTARY CONDITIONS： （25）合 同 生 效 EFFECTIVENESS OF THIS CONTRACT：本 合 同 在 以 下 各 方 授 权 代 表 签 署 本 合 同 时 生 效 。 本 合 同 用 英 文 和 中 文 书 就 ， 以 英 文 文 本 为 准 ，
38、正 本 一 式 三 份 ， 由 买 方、 最 终 用 户 和 卖 方 各 执 一 份 为 证 。This contract shall come into force upon the signing of this contract by the authorized representative of each following party. This contract is made out in English and Chinese, with the Chinese edition being authentic in three original copies, one copy to be held by each by the Buyer, the End-user and the Seller in witness thereof.本 合 同 一 式 两 份 , 买 卖 双 方 各 执 一 份 为 证 。This contract is made out in two original copies, one copy to be held by each party in witness thereof.卖 方 买 方 THE SELLER: THE BUYER:
