7、交货周期 ：Production and delivery date:依据实际生产情形；最长不得超过天；According to actual producing situation but it shall withindays maximum.7. 商情报告Market Report为使甲方充分明白现行市场情形， 乙方承担至少每季度一次或在必要时随时向甲方供应市场报告，内容包括与本协议代理商品的进口与销售有关的地方规章的变动、当地市场进展趋势以及买方对甲方按协议供应的货物的品质、包装、价格等方面的看法； 乙方仍承担向甲方供应其他供应商类似商品的报价和广告资料；In order to kee

9、ection with the import and sales of the commodity covered by this agreement, local market tendency and the buyers comments on quality, packing, price, etc. of the goods supplied by Party A underthisagreement.PartyBshallalsosupplypartyAwithquotationsandadvertising materials on similar products of oth
10、er suppliers.8. 广告Advertising依据乙方的销售活动和市场运作活动方案，甲方可供应帮助，包括样本设计，宣扬资料设计，电子版样本；ConcernedadvertisementmaterialforpartyB includingsupplyingcataloguesdesign, leaflets design, electronic edition catalogues.9. 技术支持和培训条款：Technology support and training terms:9.1 技术资料支持：甲方应向乙方供应较为具体和精准的图册和电子版；TechnicalSupport

12、ty Rights10.1 在本协议有效期内，为销售有关产品，乙方可以使用甲方拥有的商标，并承认使用于或包含 于产品中的任何专利商标、版权或其他工业产权为甲方独家拥有；一旦发觉侵权，乙方应立刻通知甲方并帮助甲方实行措施爱护甲方权益；Party B may use the trade-marks owned by Party A for the sale of the product coveredhereinwithinthevalidityofthisagreement,andshallacknowledgethatallpatents, trademarks, copy rights or
13、 any other industrial property rights used or embodied in theproductshallremaintobethesolepropertiesofPartyA. Shouldanyinfringementbe found, Party B shall promptly notify and assist Party A to take steps to protect the lattersrights.10.2 乙方不得申请注册附件一所列商标或者申请与其商标相同或相像的商标；未经甲方特地答应的情形下， 乙方在任何时候都不得表述其拥有商
14、标的权益和商标全部权；乙方必需同意不作出任何损害商标权益或全部权的行为或大事；Party B shall not apply for the registration of the trademarks in Annex or cause to be donesoinwholeorinpartorothertrademarkssimilartheretowithrespecttotheproducts or any other products in territory. Party B shall not represent at any time that it has any right

16、 - - - - - - - -11.1 协议生效 :此协议自有关当事人签署之日起生效；Effectivity of sole agent agreement : the sole agent agreement will come into force upon duly signatures of the concerted parties.11.2 协议有效期：年月日到年 12 月 31 日This agreement when duly signed the concerned shall remain in force to be effective from toDecember
17、31st,2021.11.3 假如乙方未能完成协议规定的阶段目标销售量的% ，甲方有权单方面终止协议，假如乙方完成规定的阶段目标销售量的% 本协议连续生效；IfpartyB couldntfulfillthe%ofsalestargetrequired,partyAhastherightto terminate the Agreement unilaterally. 18、he agreement will be effective.11.4.协议的终止Termination在本协议有效期内，假如乙方被发觉违反协议条款，甲方有权终止协议；During the validity of this agreement, if party B is found to have violated the stipulations herein, party A has the right to terminate this agreement.12. 不行抗力Force Majeure由于水灾、火灾、地震、干旱、战争或协议一方无法预见、掌握、防止和克服的其他大事导致不能或

20、ht, war or any other events which couldnotbepredicted,controlled,avoidedorovercomebytherelativeparty.However,the party affected by the event of Force Majeure shall inform the other party of its occurrencein writing as soon as possible and thereafter send a certificate of the event issued by therelev
21、ant authorities to the other party within 15 days after its occurrence.13. 仲裁条款：Arbitration：此协议适用于中华人民共和国法律；如有争端， 双方友好协商解决；如协商不成的，均应提交中国国际经济贸易仲裁委员会宁波国际经济金融仲裁中心， 依据申请仲裁时该会实施的仲裁规章进行仲裁；仲裁裁决是终局的，对双方均有约束力；This agreement is enforceable in China court of laws and regulations. Incase any disputes, firstly b
22、oth parties shall discuss for the settlement friendly. If can not reach agreement, shall be submitted to Ningbo International Economic and Financial Arbitration Center oftheChinaInternationalEconomicandTradeArbitrationCommission,whichshallbe conducted in accordance with the Commissions arbitration r
23、ules in effect at the time ofapplying for arbitration. And all the attachments ofthis Agreement have the same legal force with this Agreement. The Agreement has bothChinese and English versio
