3、dstipulatedbyMinistryofEngineeringoftheUnionofxx.1.1依照本条约所限制的条目，乙方应以xx工程部规那么的修建规范跟品质请求履行本工程。2.ContractPeriod2.条约限期2.1WorkperiodfortheRoadConstructionProject:theworkshallbecompletedwithin2monthuponsigningtheContract.TheconditionofhandoveristhattheProjectInspection&AcceptanceTeamconstitutedbyPartyA,sh
4、allissuetheInspection&AcceptanceSheetafteronsiteinspection.2.1本次工程时刻周期：条约签订后14个任务日内实现，并以甲方构成的开工验收小组现场测验并出具验收单为开工交代前提。2.2ThiscontractshallbeimplementedafterthisisdulysignedbythelegalrepresentativesorauthorizedrepresentativesofthePartiesandstampedwiththesealsoftheParties,andclosedaftertheonsiteaccepta
5、nceoftheProjectandContractpayment.2.2本条约自单办法定代表人或受权代表人具名盖印后掉效，现场验收及格、款子领取终了后封闭。3.Health,SafetyandEnvironmentPrinciples(HSE)3.安康、平安跟情况原那么(HSE)3.1ThestafffromPartyBshallfollowthearrangementofLocalgovernmentandPartyA(oritsrepresentatives),andcomplywiththelawsandregulationsofMyanmaraswellasrulesandregul
6、ationsonHealth,SafetyandEnvironment(HSE)ofPartyA.3.1乙方任务人员必需遵从所在当局、甲方人员或代表的布置，恪守缅甸执法、法例跟甲方的平安情况安康规章轨制等。3.2BeforeorduringtheimplementationofthisProject,PartyBshallacknowledge,avoidandpreventthepossibledamageoftheProjecttothesurroundingenvironmentandotheraffiliatedfacilities,andtheresultinglossesshall

10、ratefromUSDtoKYATonthedayofpaymentbythehandlingbankofPartyA.UnlessotherwisespecifiedbyPartyBandagreedbyPartyA,PartyAshallonlyconductpaymentinaccordancewiththebankaccountofPartyBagreedinthiscontract.PartyBshallberesponsiblefortheauthenticity,safetyandaccuracyofitsdesignatedaccountinformation.IfPartyA
11、failstopayordelayspaymentduetothecausesofPartyBsaccount,allresponsibilitiesandconsequenceshereofshallbeundertakenbyPartyBitself.TheaccountinformationassignedbyPartyBisasfollows:4.2本条约以美金计价，以美元或等值缅币结算。汇率为付款银行付款当天美元兑缅币的即时汇率。除非乙方有特不阐明并经甲方赞同，甲方仅按本条约商定的乙方银行帐号付款，乙方应答其指定的账户信息实在性、平安性、精确性担任。因乙方账户的缘故形成甲方不克不及付

13、nofMyanmar.TheContractPriceincludeswithholdingtaxandothertaxesofPartyB.4.3本条约签约单方应依照缅甸国度的相干税收执法法例，实行征税任务，乙方在条约总价中包含有预扣所得税跟其余税费局部。4.4ThepaymentofthisContractshallbeconductedinthreeinstalments:4.4本条约付款一次付清，付款方法为电汇:Within10workingdaysaftersigningthisContract,PartyAshallmakethefirstpaymentequalsto30%oft
14、hetotalContractPrice.验收及格后，甲偏向乙方领取全体条约金额。5.Alterations5.变卦事件5.1PartyAshallhavetherighttorequireincreasingtheworkscope(hereinafterreferredtoas“Alterations)onthebasisofthisContract.5.1甲方有权在此条约的根底上，请求添加任务范畴(以下称之为“变卦)。5.2Alltherequirementsonalterationshallbeinthewrittenform,clearlydefiningnecessaryalter
15、ations.PartyBshallsubmitcorrespondingworkplan,workinghoursandcostestimatesaccordingtothealterationsproposedbyPartyAwithin3workingdaysfortheapprovalofPartyA.5.2所有的变卦请求均应以书面的方法，清晰地指明所需的变卦内容，乙方应在三个任务日内对甲方提出的变卦，提交响应的任务方案、工时跟用度估算，供甲方审批。6.TerminationofContract6.条约停止6.1IftheterminationofthisContractiscause
16、dbyPartyA,PartyAshallpayreasonablefeestoPartyBfortheWork(includingpreparatorywork)completedbythedateofterminationofthisContract.Otherwise,iftheterminationofthisContractiscausedbythebreachofPartyB,PartyAshallnotpayfortheexpensesgenerated.6.1在因甲方停止条约的状况下，甲方应领取乙方停止条约停止日时已实现的任务含预备任务及为此项任务已发作的公道用度。假定因乙方违
17、约招致条约停止的，甲方对曾经发作的用度不予领取。7.Responsibilities&Duties7.义务与任务7.1PartyAandPartyBshallguaranteeeachotherthatonepartyshallprovidesupporttoandprotecttheotherpartyfromanyloss,claim,orresponsibilitycausedbyorrelatedtothisContractunderthefollowingconditions:7.1甲方跟乙方均应互相保障，爱护跟支撑对方在发作以下状况时不受因为本条约或与之相干而发生的任何方法的丧掉，
18、索赔或义务：a)Injuriesanddeathsofanyemployee,representativeorsubcontractorspersonnel;a)任何人员，代表或分包方人员的伤亡，b)Propertylossofstaff,representativesorsubcontractorspersonnel;b)人员，代表或分包方人员的财富丧掉，c)Expenses,losses,ordamagesindirectlyordirectlycausedbysignificant,specialoraccidentalevent,nomatterhowitoccursandwhichf
19、ormittakes;c)因为严重，专门或不测(直截了当或直接)形成的用度，丧掉或破坏，不管其怎样发作的，不管是何种方法。7.2Eachpartyshallberesponsibleforthelossofanythirdpartycausedbyitsownintentionorfaults,andundertakerelatedindemnificationobligations.7.2单方应答因为各自成心或差错而形成的任何第三方的丧掉担任并承当相干抵偿任务。7.3IfeitherpartyofthisContracthasrealizedanypossibleaccidentduring

21、rethattheaforesaidinsurancesremaineffectiveduringtheperiodofvalidityofthisContract.AlltheexpensesarisingfromtheaforesaidinsurancesshallbeincludedintheservicefeesunderthisContractandshallbebornebyPartyB.7.4乙方应依照缅甸联邦的相干保险法例的规那么操持各项保险并承当各项保险用度。乙方应确保上述保险在本条约无效时期内继续无效。操持上述保险所发作的所有用度应包含在本条约项下的总费中，由乙方自行承当。
22、8.ForceMajeure8.弗成抗力8.1ForceMajeurereferstotheeventsthatcannotbepredictedbyeitherpartyoftheContractandtheiroccurrenceandconsequencescannotbeavoided,includingbutnotlimitedtowars,unrests,firesandnaturaldisasterssuchaswind,rainandearthquakeetc.8.1弗成抗力是指条约的任何一方不克不及预感，对其发作跟结果不克不及防止.并无奈操纵的事情，包含但不限于跟平、骚动、火
23、警以及风、雨、地动等天然灾祸。8.2AnypartyshalltimelynotifytheotherpartywhenitisunabletoperformtheContractduetoForceMajeure.Aftergainingthecertificateofrelatedauthority,theperformanceoftheContractcouldbedelayedorsuspendedtemporarily.Eachpartyshallnotifytheotherpartyofactualconditions,andcontinueto10performtheContra
24、ctaftertheendordisappearanceofForceMajeure.BothPartiescanbeexemptedfromsomepartsoralloftheliabilitiesforbreachoftheContractaccordingtotheactualconditions.Necessaryremedialmeasuresshallbeadoptedtoreducethelosstotheminimum.8.2任何一方因为弗成抗力不克不及实行条约时，该当实时向对方转达。在获得有关构造证实当前，赞同延期实行或许临时不实行条约。各方应把实践状况告诉对方,并在弗成抗

26、lpartofthisContractandshallhavethesamelegaleffectastheContract.10.1本条约附件是本条约的无效构成局部，与本条约有等同执法效能。10.2.Inrespectofanymattersunmentionedherein,writtencomplementaryagreementshalladditionallybeenteredintobybothpartiesaftermutualagreement.Thewrittencomplementaryagreementshallbeintegralparthereofandshallha
27、vethesamelegaleffectastheContract.10.2本条约未尽事件，经单方敌对协商后，另行签订书面弥补协定。该书面弥补协定作为本条约的构成局部，与本条约存在等同的执法效能。11.Language11.言语TheContractshallbewrittenbyEnglish.andChinese.本条约以英文中文、誊写。12.CopiesandExecutionofContract12.条约份数及掉效TheContractshallbemadeinquadruplicatewiththesamelegaleffect,andBothPartiesshallholdtwoo
