1、消防设备保养英文合同 , hereafter referred as Party A. ., hereafter referred as Party BIt is hereby mutually agreed between the parties hereto, through negotiations, on the maintenance for the firefighting system undertaken by Part B.Clause 1,Maintenance items: 1、Project Name: Maintenance for Firefighting syst
2、em in . 2、Project address: .3、Type of equipment: , and this equipment is produced by .4、List for equipments: 1 set of core controller, 1 set of loop.Clause 2, Contract periodFrom Jan 1,2010 to Dec 31, 2012, totally two year.Clause 3, price & terms of payment1、Price for maintenance, RMB 30,000.( the
3、price for material used for maintenance shall be included into this total price.) 2、Terms of payment: two payments will be paid. Firstly, the amount of RMB15,000 will be effective on Jan ,2010. Secondly, the amount of RMB13, 500 shall be paid on Jan ,2011. The amount of RMB1, 500 will be paid as the
4、 guarantee on Dec, 2011.3、Material cost1）During the contract period, no more cost for material and labor shall be charged. 2）The cost, such as the material & labor, which arises from removing breakage/damage to systems excluding the fire-alarming system, shall be paid within 7 days after being appro
5、ved and signed by Party A.Clause 4, Party Bs right & obligation1、Party B shall organize professionals to perform the regulate maintenance for the firefighting system abovementioned in Clause 1 each month (12 times per year). (Exact time shall be negotiated by both parties.)2、the scope of regulate ma
6、intenance 1) cleaning of controller2） About alarming controller, following test shall be carried out, to test the functions such as auto-inspection, silencing, resetting, alarming when breakage, alarming when firing, memorizing of alarming, the printing, etc. 3） About the firefighting linkage contro
7、ller, the inspection for linkage of equipment and monitor shall be carried out.4） Check the auto-switch function of stand-by power in control box.5） Check the position and signal feedback of detector.6） Check the manual alarm signal.3、The record for maintenance shall be issued to Party A after maint
8、enance work done each time.4、Besides the regulate maintenance work, the call service at 24-hours during the contract period shall be provided by Party B, the service telephone number is .5、After Party As requirement for repairing, the personnel shall be dispatched to work site as soon as possible.6、
9、Party B shall perform the maintenance work strictly following the stipulations in the contract, such as the required period, quality standard, etc.7、Party Bs personnel shall obey Party As regulation when entering into Party As working area.Clause 5, Party As right & obligation1、Party A provide safe
10、environment for Party Bs work, and provide the necessary assistance. 2、The payment shall be paid timely when due.3、The daily monitoring for firefighting system shall be done by Party A, and the personnel for approving and signed on the record of maintenance shall be designated. 4、Properly use the fi
11、refighting system, prevent from the improper operation, otherwise, the cost caused by improper operation shall be born by Party A. 5、Party A shall provide the exact information for the operation of the firefighting system, and follow Party Bs instructions strictly. Any abnormal situation shall be in
12、formed to Party B in time. Clause 6,Infringement of contract1、If the payment couldnt be paid when due, or as the specified amount, Party B may request Party A to execute the contractual obligation, and may stop providing service, or terminate the contract with charging the penalty of RMB 10,000 at P
13、arty As account, and may claim for more relevant loss if applicable. 2、If Party B couldnt provide service in accordance with the contract, Party A may terminate the contract, and claim the penalty at the amount of RMB 10,000 against Party B.3、Any form of subcontracting is not allowed, otherwise, Par
14、ty A may terminate the contract, and the loss shall be born by Party B.Clause 7,other clauses:1、The material for maintenance of firefighting system shall be born by Party B. (the material means the material produce by .2、The problem with systems excluding the firefighting system could be handled by
15、Party A, or it could be resolved by Party B after approving Party Bs quotation for the repairing work.3、The consequence/loss shall be born by Party A, if any problem with the firefighting system cant be informed to Party B in time, 4、Before the expiration of the contract, if Party A is not the consu
16、mer of the firefighting system any more, he shall inform Party B timely, and provide assistance for the contract awarding between the new consumer and Party B. Any cost before the expiration date or before the new contract signed shall be at Party As account.5、 All specified routine maintenance woul
17、d be carried out on working-day (form 8AM to 5PM in non-holiday. The maintenance done out of working-day would be regarded as overtime work, Party A shall pay the additional cost.6、If the payment is not paid by Party A when due, and the payment is still not effected after second times written notice
18、 issued by Party B, the Party B may terminate the contract, meanwhile, stop the contractual obligations temperately. If the due payment cant be received within one month after the written notice for contract termination issued by Party B, the Party B may terminate the contract completely. 7、If there
19、s any personnel not from Party B or being authorized by Party B perform the maintenance work stipulated in the contract, Party B may terminate the contract.8、If Party B couldnt complete the work due to the reason not attribute to Party A, and not execute after two-time written notification from cust
20、omer, Party A may terminate the contract in the written notice.9、If Party B couldnt complete the contractual obligation due to the legal force majeure, Party A may terminate the contract. 10、Unless the agreed termination above mentioned in Point 6,7,8, the earlier termination without mutually agreem
21、ent is not allowed. 11、One month before the expiration of the contract, the contract period would extend one more year if no demur arise from both parties. Clause 8,Dispute settlementAny disputes arise from performance of contract or related with contract herein shall be settled through negotiations
22、, and it could be sued to local court of Party Bs address if negotiation fails. Clause 9,Annexes1、If theres any incomplete item, the supplementary agreement could be signed separately, and accepted as the contract attachment.2、The contract is quadruplicating, two for each party. 3、The contract will be effective after signed and stamped by both parties.
