15、 卖方接触到的买方及米罗利奥集团的物品、文件资料均可能涉及买方及其关联公司的学问产权, 特别是可能包含的买方商标、米罗利奥集团的其他商标, 著作权及商业隐秘； 卖方应对其知悉的买方及其关联公司的商业隐秘进行保密,并应促使卖方全部接触到买方隐秘信息的任何雇员、代理人、客户或其他人士对该信息保密,不得在任何时候为任何目的使用或者向任何第三人披露；卖方不得向除买方及米罗利奥集团以外的任何单位和个人销售、转让涉及买方及米罗利奥集团的商标、标识标记、著作权等学问产权的产品或资料,即使对于过季品、等外品、富余品和废弃不用的产品或资料也不例外；如卖方违反商定, 买方有权依据商定及中国法律规定要求卖方承担包括
