1、第三方物流、仓库、仓储配送协议、合同存储配送服务合同Storageservicecontractof本服务合同由下列甲乙双方于年月日在签订。ThisServiceContractissignedbythefollowingtwopartiesin_on.下面简称甲方是根据中华人民共和国有关法律成立并存在的法人实体。公司地址：邮政编码(HereafterreferredtoA)isaisacompanyestablishedinChinainaccordancewithLawofPRC.Legaladdress:Postcode:下面简称乙方是根据中华人民共和国有关法律成立并存在的有限责任公司，
2、公司地址:邮政编码：(hereafterreferredtoas)isacompanyestablishedinChinainaccordancewithLawofPRC.Legaladdress:.Postcode:鉴于甲方为保证公司生产，拟把合同所列零部件委托给乙方进行存储配送物流服务，乙方愿意承当合同所列零部件物流服务工作。根据中华人民共和国（合同法）和（仓储保管合同施行细则）的有关规定，经甲乙双方一致同意签订本合同。ToguaranteeCsproduction,companyAwillentrustBtotakesparepartslogisticsserviceandBwillta
3、keresponsibilityforlogisticsserviceofallsparepartslistedinthecontract.Bothsidessignthiscontractinaccordancewithpertinentlawtermsin“ContractLawofPRCandthedetailedrulesin“storagecontractactualizingrules.一、合同所列零部件属性(该表格信息甲方必须详实提供)二、物流服务的范围Logisticsservicearea乙方的中转库将负责施行把合同所列零部件从中转库卸货平台起的卸货、接收、记录、再包装、存储
4、然后配送到公司生产工厂门口的指定接货区，以知足公司汽车的生产。WarehouseofBwilltakeresponsibilityfortheunloading,receiving,recording,repacking,storageofsparepartsandtransportingthemtotheareabesidethefactoryappointedbyCFMA.1、接收与录入Receivingandrecording在中转库的卸货平台将装有合同所列零部件的包装箱从运输卡车中卸下到接收区，根据甲方送货单仔细核对、逐一入库。Tounloadcontainerswithunloadi
5、ngplatforminWarehouseandsendthemtoreceivingarea.ThencheckthemcarefullyaccordingtoASNandsendthemintostorehouse.2、储存Storage甲方在中转库的存储量最低为天，最长不得超过公司天汽车生产计划所需零部件的量，超出部分，按月计收，缺乏一月，按一月计费。TheinventoryofcompanyAinWarehouseshallbedaysatleastandnotdemandofBsproductionplanofdays.TheexcessispaidYuan/m2.month.Ift
6、hestoragedateislessthanamonth,itwillchargedforonemonth.3、再包装Repacking需再包装的零部件在接收后将由中转库操作人员按要求将包装箱从接收区放置于包装区然后注入于指定的标准容器或物料周转箱内，根据生产计划要求运往工厂或将标准料箱填补在矮料架上，等待下一次的拉动。Afterbereceived,sparepartswillbesentfromreceivingareatopackingareaandthenputintostandardizedcasesormaterialboxes.Theywillbesenttofactoryor
7、laidontheshelvesforfurtherplan.4、配送Distribution根据甲方的定单ASN，按定单拉动空料箱运回中转库然后将正确的零部件注入空料箱内，用拖车运往汽车生产工厂指定的接货区。AccordingtoASN,emptyboxeswillbereturnedtoWarehouseandaccuratesparepartswillbeputin.TrailerswillcarrythemtoreceivingareaappointedbyB.5、紧急拉动Emergentmove中转库将及时配合紧急拉动生产的要求。WarehousewillcooperatewithB
8、foritsrequirements.6、乙方将为甲方提供场地隔离存放不合格品。CMALwillofferafieldforrejectsstorage.三、服务收费及结算Chargeandbalanceofservice1、服务费Servicecharge(1)、.仓储服务费：按零件个数的计收，数量按当月入库总数计算含废旧产品的入库。Storageservicecharge:tobepaidbyspareparts(includingtax)andtheamountofsparepartswillbecalculatedaccordingtotheamountofsparepartswhic
9、hhasbeensentintostorehouseatthatmonthincludingoldandwornparts.(2)、若在合同年度内，甲方有新车型的配套零件，将按本合同的仓储费标准收取：按零件个数的计收，数量按当月入库总数计算含废旧产品的入库。WhenpartyAputsoutnewpartswithinthecontractduration,allpartswillbechargedfollowingthestoragefeeterms:ofthepartsprice(includingtax)willbecharged,andthequantitywillbedecidedi
10、naccordancewiththeamountofinboundpartsincludingoldandwornparts.(3)、售后服务件若为总成件则按零件个数的计收，数量按当月入库总数计算含废旧产品的入库。Ifafterservicepartsareassemblingpartsofthepartsprice(includingtax)willbecharged,andthequantitywillbedecidedinaccordancewiththeamountofinboundpartsincludingoldandwornparts.发票和付款Invoiceandpayment
11、乙方每月根据当月入库数量给甲方开具当月的服务费发票。甲方在30天以内支付乙方所给予的物流服务费。EverymonthBwillsendinvoicetoCompanyAforservicechargeaccordingtotheamountofspareparts,whichhasbeensentintostorehouseatthatmonth.2、乙方银行帐户AccountofCMAL单位：Name:开户行：Bank:帐号：Numberofaccount:四、双方的责任Responsibilitiesofbothsides甲方责任：ResponsibilitiesofCompanyA:1、
12、甲方应采用方便乙方卸货和堆存的运输工具和包装将合同所列零部件送至乙方库房。甲方在中转库交货时应提供完好的货物装箱清单。CompanyAwilluseconveyanceandpackingforBsconveniencetosendsparepartstowarehouse.AndmeanwhileCompanyAwillpackinglisttoWarehouse.2、甲方在包装箱侧面贴上印刷体的统一标识。保证包装箱内零部件品种及数量与箱外标识相符。CompanyAwillstickunifiedsignonthesideofboxesandguaranteethenumberandtype
13、ofsparepartsintheboxesfitthesign.3、甲方在发货前应通知乙方所发零部件的品种、数量及估计到货时间，以便乙方及时做好接货准备。CompanyAshallinformBaboutthetypeandamountofsparepartsbeforepriortosendinggoodssothatBwillmakegoodpreparation.4、甲方应配合中转库对在途零部件的追踪和对零部件有关问题的质疑。CompanyAshallcooperatewith中储forthetrackingandquestionsofspareparts.5、甲方应承当因其零部件装箱
14、数量与包装不一致，出现短缺或质损而影响公司生产的所有责任。CompanyAshalltakeresponsibilitiesforthelossofbecauseofdisaccordofsparepartsbetweenactualnumberandsignandqualityproblem.6、甲方零部件发现质损需要返修的，由甲方承当返回甲方或由甲方派员到中转库返修的所有费用。Whentherearesomesparepartswhichneedtoberepaired,CompanyAwillpayallexpense.7、盛具的购买及维修由甲方负责。CompanyAwillpaythe
15、chargetheapparatusspurchasingandmaintaining.8、甲方必须及时清理废旧零件。在接到乙方通知工作日内仍未及时处理的，将加收当月%的仓储费。PartyAmustclearalloldandwornparts.%expenseofstoragefeepermonthwillbesurcharged,wheneverpartyAdoesnotmakeanydisposalafterreceivingnoticefrompartyBwithinworkdays.乙方责任：ResponsibilitiesofB1、乙方不仅要承当由仓储和配送经过中出现的质量和数量方
16、面的损失。同时乙方必须承担由于乙方过失造成甲方产品流向外部市场而向第三方例如所负的一切法律上的责任。Bnotonlyshalltakeresponsibilityforthelossofqualityandquantityduringstorageanddistributionofspareparts.AtthesametimeBisliableforthethirdside(forexample)becauseoftheproductsareflowingoutoftheMarket.2、乙方必须有甲方零件的进出台帐，并在每月底提供结存报表。Bmusthavetheaccountbookfo
17、rtheentryandexitofsparepartsandwillofferainventoryreportformattheendofeachmonth.3、乙方保证根据零部件入库日期，对库内零部件施行先进先出。Bmustassuresparepartsfirstentryandfirstoutaccordingtotheirdateofentry.4、乙方应配合甲方对库内零部件进行盘点清查。BshallcooperatewithCompanyAtocheckinventoryinstorehouse.5、乙方必须及时一个工作日内把供货经过中发生的问题及时反应给甲方，甲方及时将处理意见反
18、应给乙方。IfthereisanyproblemduringdistributionBmustmakereporttoCompanyAontime(withinoneworkday).AndCompanyAmustsenditsopinionanddisposaltoBontime.五、合同的有效期、变更和终止Periodofvalidity,modificationandTermination1、本合同将从甲、乙双方签字开场生效。合同期限从年月日至年月日，甲乙双方的任何一方对本合同有意向的做出任何的修改或放弃，须提早30天以书面通知对方，详细事项由双方协商。不然合同继续有效，到期合同将自动延
19、长，延长期为一年。Thecontractshallbecomeeffectivesincethedatewhenbothpartiesthereofsignandstamponit.AndtheperiodofcontractisfromtoUnlesseitherside,whichintenttomakemodificationorabjurationtothecontract,informstheotherinwrittenform30daysinadvancefornegotiation,thecontractshallbecomeeffectiveandthecontractshal
20、lbecontinuedautomaticallyforoneyearwhenitexpires.3、本合同在运行中任何一方违约或终止合同给对方造成的经济损失，甲、乙双方应通过友好协商解决，假如无法达成协议，在双方当地仲裁委员会或人民法院上诉裁决。Ifeithersidebreachesorterminatethecontractandincureconomiclossofotherside,bothsideswillheldfriendlynegotiationforsolution.Ifbothpartiescannotreachanagreement,submittoArbitratio
21、nCommitteeorlocalcourtforadjudication.六、其他Others1、不可抗力：Forcemajeure合同一方因不可抗力未能履行本合同，对于不可抗力的影响存续期间不履行其义务。不可抗力事件造成的损失能够通过协商进行解决。遭受不可抗力的一方应在5日内立即将不可抗力事故原因、事故持续时间以及事故的影响通知给另一方，并且提供充分的证据。Iftheforcemajeureoccursbeyondrationalcontrolofbothsidessothatnoonecanperformtheobligationsunderthiscontractandeithersi
22、deshallnotassumeresponsibilitiesforthedelayorbeingunabletoperformtheobligationsinthecontract.Eithersideshallinformtheothersideinwrittenformwithin5workingdaysafteroccurrenceofforcemajeureandshowenoughevidence.2、保密：Confidentiality任何一方都有责任对对方的相关信息、资料及程序互相保密，不能向第三方透露。Bothsidesmustkeepallrelatedinformati
23、on,datumandprogramasconfidentialandneverdisclosethem.3、如甲方任一零件号产品在乙方仓库的零件连续一个月未使用，甲方应支付乙方的房租费用，房租费按实际使用面积核算每月每平方米30元。IfanypartofPartAstoresinPartBwarehousedoesntuseinasuccessivemonth,PartAshouldpaytherentforPartB.Therentischarged30/m2byactualarea.4、本合同一式两份，双方各持一份，具有同等法律效力。Thecontractshallbeinduplicatewiththesamelegalvalidityandbothpartiesholdonecopyrespectively.本合同为中英文各一，如有任何异议，以中文为准。ThiscontractisinChineseandEnglishversions.Ifthereisanydisputes,theChineseshallbevalid.甲方盖章乙方盖章(Stamp)(Stamp)代表：代表：Representative:Representative:日期：日期：Date:Date:
