8、将以船只，发货港为主要xxxxx，目的港口为上海港。提单日为实际交货日。6.2.DeliveryshallbemadeCIFShanghaixxxseaport,P.R.Chinaforthedeliveryvolumetobeshippedexxxxxx.TransportationwillbeeffectedbyvesselfromxxxxxSeaport,portofdestinationisxxxxx.ThedateoftheonBoardBillofLadingshallbetheactualdateofdelivery.6.3.从中国发货部分的交货条款为是CIP买方现场，买方的现场
9、在XXX省XXX市。运输收货证实书的日期应为实际的交货日期。6.3.DeliveryshallbemadeCIPBUYERssiteforthedeliveryvolumetobeshippedexP.R.China(BUYERssiteisinxxxxCity,xxxProvince).ThedateoftheforwardersCertificateofReceiptshallbetheactualdateofdelivery.6.4.发货前，卖方应对货物的质量、规格、性能、数量和重量做精细全面地检验，并出具证实书，证实货物符合本合同规定。6.4.Beforeshipment,thesel
10、lershallperformapreciseandcomprehensiveinspectionofthequality,specification,performance,quantityandweightofthegoods,andissueacertificatecertifyingthatthegoodsconformtothestipulationsofthiscontract.6.5假如使用海运，卖方应在每批交运生效后的5个工作日内，通过传真或电邮通知买方合同号、发票号、提单号、数量、毛重、集装箱类型、发票值、船名船次、起航日期等信息。6.5.Incaseofseafreight
11、,theSELLERshallinformtheBUYER,within10workingdaysaftereachdeliveryhasbeeneffected,byfaxore-mailabouttheweights,quantityandtypesofshippedcontainers.6.6假如使用国内公路运输，卖方需在发货前通知买方，并在每批交运生效后的1个工作日内，通过传真或电邮通知买方有关接收卡车的发票号、提单号、数量、毛重、发票值、车牌号、出发日期等信息。6.6.Incaseofroadtransportation,theSELLERshallinformtheBUYER,wi
12、thin1daybeforethedeliveryiseffected,byfaxore-mailabouttheweightsandquantitiesofreceivingtrucks.6.7在获得买方许可后，卖方能够分批发货。6.7SELLERisentitledtoeffectpartialshipmentsafterBUYERsagreement.6.8在买方责任下的设备应适当存放，即枯燥，水平，封盖，清洁并且机械稳定。在此情况下设备的耐腐蚀包装要保证维持在6个月以上。6.8StorageofEQUIPMENTwithinBUYERsresponsibilityshallbeadeq
13、uate,i.e.dry,leveled,covered,andcleanandismechanicallystable.InsuchcasethepackagewithstandscorrosionoftheEQUIPMENTforaperiodofupto6months.6.9货物到达目的地买方工厂后，买方有权申请中国商品检验检疫局进行检验，如发现货物的品质及规格与合同不符，除属于承运人或保险公司的责任外，买方有权在货卸目的地后90天内，根据中国商品检验局出具的证实书向卖方提出索赔，因索赔所发生的一切费用(包括检验费)均有卖方负担。6.9Whenthegoodsarriveatthedes
14、tination(BUYERsfactory),theBUYERshallhavetherighttoapplyforinspectionbytheChinaCommodityInspectionandQuarantineBureau,ifthequalityandspecificationofthegoodsarefoundtobeinconsistentwiththecontractandoutoftheliabilityofthecarrierorinsurancecompany,thebuyershallhavetherighttofileaclaimwiththeSELLERwith
15、in90daysaftertheunloadingthegoods.Allcostsincurredintheclaim,includingtheinspectionfee,arebornebytheSELLER.6.10若买方提出索赔后30天内卖方未予答复，则以为卖方已接受上述索赔。6.10IftheSELLERfailstorespondwithin30daysafterthebuyerhasfiledtheclaim,theSELLERisdeemedtohaveacceptedtheclaim.7.合同变更AlterationstothisContract7.1.在设备发运前，卖方保留
16、随着技术进步而改变设备的设计和构造的权利，经买方确认，如有必要卖方能够修改设备的原产地，但上述改变需不影响下列内容：a)合同总价，和/或b)保证，和/或c)交货期，和/或d)生产设备厂房的建筑设计7.1.UntildeliveryoftheEQUIPMENT,theSELLERreservestherighttoalterthedesignandconstructionoftheEQUIPMENTinaccordancewiththeprogressoftechnology,and,ifapplicable,modifytheoriginofEQUIPMENTprovidedthatsucha
17、lterationsdonotaffect?thetotalCONTRACTPRICEand/or?theguaranteesand/or?thedeliverytime,and/or?thedesignofthebuildingsoftheProductionPlant7.2.假如买方提出要求改变设备工程和设计时，若此改变既不影响交货期也不影响其所作的保证，卖方必须知足这样的要求。7.2.ShouldtheBUYERrequestanalterationintheengineeringordesignoftheEQUIPMENT,theSELLERwillusereasonableeffor
18、tstocomplywithsucharequest,providedthatthealterationneitheraffectsthedeliverytimenortheguarantees.7.3.买卖双方须在价格调整、支付条款、延期条款，以及其他所有条款达成一致意见后,合同的变更方为有效。相关文件将由双方受权代表签字。7.3.AnalterationtotheCONTRACTshallnotbecomeeffectiveunlessanduntilthepriceadjustment,thetermsandscheduleofpaymentandtheextensionoftimean
19、dallothertermshavebeenmutuallyagreeduponbetweenthePARTIES.TherespectivedocumentshallbesignedbyanauthorizedrepresentativeofeachPARTY.8.安装、检查和试车SupervisionofInstallation,Check-up&Start-upWork8.1.安装、检查和试车的所有工作参照本合同8.2.安装、检查和试车的工作条件参照本合同8.3.卖方安装、检查和试车工作的责任是卖方的供货范围。8.1.TheSupervisionofInstallation,Check-
20、UpandStart-upworkcomprisesallactivitiesasdefinedunderthisCONTRACT.8.2.TheconditionsforInstallation,Check-UpandStart-upworkwillbeapplicableforallworksasdefinedunderthisCONTRACT.8.3.SELLERsobligationwithregardtoSupervisionofInstallation,Check-UpandStart-upworkonlyreferstoSupervisionofInstallation,Chec
21、k-UpandStart-upworkconcerningSELLERsSCOPEOFSUPPLY.9.产品保证和验收ProductGuarantees,GuaranteeRuns&Acceptance产品保证和验收在本合同附件中注明。ThePRODUCTGUARANTEES,theGUARANTEERUNandtheacceptanceprocedurearesetforthinAppendixIVofthisCONTRACT.10.清偿损失额LiquidatedDamages如交货延迟非人力不可抗力原因所致，确实仅专属卖方的原因，买方有权按下列所述得到清偿损失额。因设备的部分零、部件迟交，
22、或未提供伴随服务，影响到设备的整体投运时间，应买方要求，本招标文件规定：如卖方所供设备的部分零、部件迟交，或未提供伴随服务，按所有设备迟交处理；每延误一周卖方须每周支付合同总价的0.5%百分之零点伍作为清偿损失额，直至全部交货或提供伴随服务后为止，缺乏一周的根据一周算。当延误10周以上时，买方有权取消合同。清偿损失额总额不得超过合同总价的15%百分之拾伍。ShoulddeliveriesbedelayedduetoreasonsnotbeingForceMajeureandsolelyattributabletotheSELLER,theBUYERisentitledtoliquidateda
23、magesasfollows.Ifpartialdelayeddeliveryofparts,ortheaccompanyingserviceaffecttheoverallscheduleofthedeliveryofequipment,theBUYERhastherighttostipulatesthat:thepartialdelayeddeliveryofparts,ortheaccompanyingservicecanberegardedasthedelayeddeliveryofalltheequipment;theSELLERshallpay0.5%ofthecontractpr
24、iceperweek(lessthan7daysshouldalsoberegardedasaweek)foreachdelayastheamountoftheliquidateddamagesuntilthefulldeliveryandtheaccompanyingserviceisprovided.Whenthedelayismorethan10weeks,theBUYERhastherighttocancelthecontract.Thetotalamountoftheliquidateddamagesshallnotexceed15%ofthecontractprice.11.质量保
25、证Warranty11.1.卖方质保是指卖方提供的设备在供货、加工和设计上无缺陷，保证期为在非卖方产品品质问题情况下自设备验收结束之日起计12拾贰个月，但不超过最后一批主要设备到港后18拾捌个月，以先到为准。11.1.SELLERwarrantsthattheEQUIPMENTwillbefreefromdefectsinsupplies,workmanshipanddesignforaperiodof12(twelve)monthscalculatedfromtheSTART-UP,butnotlaterthan18(eighteen)monthsafterthelastmajorshipm
26、ent,whichevercomesearlier.11.2.本合同下交付的货物应符合招标文件技术规格书中明确的标准和技术要求。假如招标文件技术规格书中没有提及适用标准，则应符合下列标准：1与合同货物制造及验收有关的最新有效版本的中华人民共和国国家标准，或。2经买方确认的，卖方随投标文件提供的，与合同货物制造及验收有关的，最新有效版本的货物制造国的官方标准，或。3卖方随投标文件提供的货物验收大纲，经买方确认后，将作为对货物的验收根据之一。4卖方在澄请投标文件时作出的承诺，经买方确认后，将作为对货物的验收根据之一。11.2.ThegoodsdeliveredunderthisContractsh
27、allconformtotheclearstandardsandtechnicalrequirementsinthetechnicalspecificationsdocuments.Iftheapplicablecriteriaarenotmentionedinthetechnicalspecifications,thenthefollowingcriteriashallbeapplied:1)ThelatestvalidversionofthePRCnationalstandardsforthemanufactureandacceptanceofcontractgoods,or.2)Theo
28、fficialstandardsofthelatestandmosteffectiveversioninSELLERscountryrelatingtotheacceptanceofthecontractgoodsmanufacturedbytheSELLERandconfirmedbytheBUYER,or.3)SELLERsdraftedacceptanceofcontractgoodswhichconfirmedbytheBUYERwillbeusedasoneofthebasisforacceptanceofgoods.4)SELLERsclarificationinthetender
29、documentsofthecommitmentmadewhichconfirmedbythebuyerwillbeusedasoneofthebasisforacceptanceofgoods.11.3.假如出现任何可能的质保情况,买方应以书面通知卖方。11.3.Intheeventofany(possible)warranty,theBUYERshallnotifytheSELLERinwriting.11.4.在此保证下，卖方将本人付费，以更换或修理方式立即消除有缺陷的材料或更换或维修所有的缺陷。免费维修或更换有缺陷的货物或部件的响应期限：维修人员应在24小时内到达现场，免费维修或更换有
30、缺陷的货物或部件的响应期限为5天。11.4.Underthisguarantee,thesellerwillpaytoremovedefectivematerialsorreplaceorrepairalldefectsimmediately.Freerepairorreplacementofdefectivegoodsorpartsoftheresponseperiod:maintenancepersonnelshouldarriveatthesitewithin24hours,responseperiodoffreerepairorreplacementofdefectivegoodsor
31、partsshouldbewithin5days.11.5卖方不得以“密码制约用户。如用户工作和维修需要，应无条件免费开放密码。11.5TheSELLERshallnotusepasswordtorestricttheuser.Iftheuserneedstoaccessforworkandmaintenance,SELLERshouldunconditionalgivethepassword.11.6质保期间，卖方承诺免费提供及更换零部件，并承当零部件的所有运输费用。11.6Duringthewarrantyperiod,theSELLERshouldprovideandreplacespa
32、repartsforfree,andalsobearallshippingcostsfortheparts.12.保密Confidentiality在此合同执行经过中,双方分享规格、设计、规划、图纸、软件和任何其他相关数据。假如其中一方需要使用经过买卖双方确认并认同的有价值和重要的资料时，使用资料的一方应在相关资料上注明“保密。除非InperformanceofthisCONTRACTitmaybemutuallyadvantageoustothePARTIEStosharecertainspecifications,designs,plans,drawings,software,oranyotherdata.ThePARTIESrecognizeandagreethatinformationmaybevaluableandimportanttothedisclosingPARTY.Inthisevent,thedisclosingPARTYshallmarktherelevant
