4、finishing the production.4.付款条件付款条件：Payment terms4.1 付款货币美元（USD）。The currency of payment should be USD4.2 买方在签订本合同后的3个工作日内70%定金，剩余30%货款与下次订单一起支付。The purchaser should pay 70% deposit, 30% payment together with the next order within 3 working days after signing this contract. 4.3 所有中国境内的银行费用需由卖方负责，中国境
5、外的银行费用由买方负责。All the expenses concerning the Bank within China should be in the charge of the seller, and expenses concerning Bank beyong China should be in the charge of the purchaser.5.技术要求与货物检验条款技术要求与货物检验条款:Technology demanded and terms of examining the goods. 5.1 货物质量符合本合同及货物制造商技术标准。The quality o
6、f the goods should meet the contract and the technical standard of the manufacture. 5.2 如果在货物质量、数量方面出现差异，买方应于货到目的地之日起30日内以进口国有关政府机构出具的有效证书向卖方提出。买方未在规定时间内提出异议，则视为卖方货物符合合同约定。买方对运输中货物或包装的损坏、遗失所提任何异议应由保险公司、运输机构或邮递机构负责，卖方不负任何责任。尽管有上述规定，但双方在本合同中另有约定的除外。If there is something wrong with the qulity and quant
7、ity of the goods, the purchaser should put it forward on conditions of supplying the attestation of the authoritys of his country within 30 days.If the purchaser hasnt put forward any dissidence about the goods, then it should be considered the sellers goods meet the stipulation. And if the purchase
8、r put forward any objection to the broken of the goods or the package as well as the lost of them during the shipment, and it shouod be in the charge of the insurance company, the shipping agent or the postal agencies, and the seller would not charge for it. Although it is stipulated as above, it is
9、 except that the two parties have stipulated otherwise. 6质保质保:Guarantee 6.1 质量保证:Quality Guarantee6.1.1 卖方承诺其货物无设计及材料上的缺陷，是新生产的而且没有被使用过。The seller warrants that all the commodities delivered by the seller should be new and unused.6.1.2 如果由买方操作或者维修不当而引起的问题，卖方不负责任。If problems caused by the wrong opera
10、tion or the incorrect maintain of the purchaser, the seller would not be responsible for it. 6.2 不可抗力：不可抗力：Force Majeure若发生不可抗力事件（如：战争、内乱、封锁、地震、火灾、水灾等。）以及任何双方未能预见并且对某发生后果不能防止或避免的意外事故妨碍或干扰了本合同的履行时，发生不可抗力方须在事件发生结束之起 30日内将本有关机构出据的不可抗力事件的证明寄交对方，据此证明豁免责任，并由双方协商中止或继续履行合同事宜If God taking place after making
11、the contract due to the war, civil disturbance,blockage, earthquake, fire or flood etc, and any events that the parties cant forsee nor prevent by reasonable messures that disturb execution of the present contract, and the party which encountered such events should mail the attestation of the author
12、ity to the other party, thereunder to release the duty, and then deciding whether to carry out or stop the contract further.6.3 迟延交货迟延交货:Terms about delaying the delivery除了本合同第7.2条不可抗力原因外，如卖方不能按照合同规定的时间交货而引起买方的损失，买方会考虑接受卖方在支付罚款的条件下延期交货，罚款率按每天0.02%计算，不足1天时以1天计算，但罚款不得超过迟交货物总价的2%。但因船期或者买方迟付款原因导致交货延期，卖方
13、不负任何责任。Except the force majeure stipulated in 7.2 of this contract, if the seller cant deliver the commodities on time which caused the loss of the purchaser, the purchaser would consider to accept the delaying delivery on conditions of the seller pay for the fine, and the fined rate based on 0.02%
14、of the total commodities amount per day, and people considered it as one day if it falls short of a day. But the fine should not be beyond 2% of the total amount of the delayed commodities.If the delayed delivery due to the delaying of the shipping date or the purchaser s not paying off, the seller
15、would not be responsible for it. 7. 仲裁仲裁:Arbitrition本合同执行过程中双方产生分歧时，应该本着友好协商的方式解决。如果协商不能取得满意的结果时，则应提交在中国北京的中国国际经济贸易仲裁委员会仲裁，并依据申请仲裁时现行的仲裁规则进行。该仲裁为终局裁决，对双方均有约束力。If disagreement occurs during the execution of the contract, the parties should negotiate about it. If the parties cant get satisfied result,
16、 they should put it forward to the China National Economic and Trade Arbitration Commision to arbitrate, and carry out it accoding the present arbitrated regulations. The arbitration is the final award, and has constraints to the both parties.8.其他条款其他条款:Other terms 8.1 合同自双方代表签字后生效。The present contr
17、act comes into effect since the moment of its signing provided by the stamp and signatures of both parties. 8.2 任何对此合同的修改补充，只有以书面形式经双方代表人签字后方生效。Any amendment, supplement or subtraction to this contract shall be in written and be valid upon the signature of the representatives duly authorized by the
